Supply Chain Management. 10.1 The Service Providers shall in carrying out their obligations under this Framework Agreement and any Call Off Contract:
10.1.1 adhere to and cooperate in achieving the Framework Objectives;
10.1.2 use their reasonable endeavours to ensure that all members of their respective Supply Chains adhere to and cooperate in achieving the Framework Objectives; and
10.1.3 work cooperatively with the members of the Client’s and the Authorised Entities’ Supply Chains with a view to achieving the Framework Objectives.
Supply Chain Management in the process of implementing a sophisticated system for the reporting of goods and conveyances. This system will enable SARS for the first time to have real-time data matching between declaration and logistics data and to account for all goods imported or exported in South Africa.
Supply Chain Management. Jazz and Skyworks supply chain management members shall meet promptly upon identification, by either party, of a yield issue. If within [. . . *** . . .] the supply chain management is unable to define a correction plan to the satisfaction of Skyworks, the yield issue will be escalated to senior management.
Supply Chain Management. (Logistics)
Supply Chain Management. Flextronics agrees to take responsibility to manage the supply chain to support the business and Nortel Networks Customer deliveries and Customer service performance to the extent provided below. Flextronics will manage all elements of the supply chain, which activities shall include but not be limited to the following:
(a) optimize the supply chain performance;
(b) perform short and long term capacity planning;
(c) as further set out in Section 4.5, application test any SC Material at Flextronics or at an other EMS Supplier, and perform application testing for NC Material (as directed by Nortel Networks); provided however, Flextronics’s obligation to perform NC application tests is subject to available capacity and will be scheduled accordingly. There will be no separate charge for application testing unless otherwise agreed. As set out in Section 4.5, qualify any SC Material and qualify any SC Supplier that is not already approved on the BOM for any Product at the time of the transfer or introduction of a production Product to Flextronics and maintain the qualification of SC Supplier and SC Material (which includes component product changes notices, known as PCN’s) on the BOM for any Product in the ordinary course of business, subject to Nortel Networks’ approval and consistent with the quality requirements of Exhibit 3;
(d) manage Tier 2 Supplier contracts and relationships to obtain maximum flexibility to respond to Market Forecasts and upside flexibility requirements as set out in the relevant VSHA;
(e) enter into contracts with SC Suppliers and administer Nortel Networks contracts with NC Suppliers, as applicable, and where NC Supplier fails to perform in accordance with the terms of its contract with Nortel Networks, and subject to Section 4.6, request Nortel Networks assistance as necessary;
(f) beginning 6 months after the transfer of a Product to Flextronics, require in its contracts with SC Suppliers last-time buy notifications of at least 12 months and a delivery period of an additional 6 months;
(g) enforce all applicable contracts with Tier 2 Suppliers, and in the case of a NC Supplier, with the assistance of Nortel Networks if necessary, subject to Section 4.6;
(h) enter into vendor managed inventory programs where appropriate and subject to Section 4.6 in the case of a NC Supplier, with Nortel Networks’ assistance where necessary;
(i) manage cost reduction programs, implementation and operational efficiencies, including documented benchmark...
Supply Chain Management. Mintek maintains a turnkey supply chain management solution where all procurement of goods and services are centralised. This ensures proper control and adherence to policies and procedures. Additional controls to curb wasteful expenditure include: - Review of all requisitions above R10 000 by Chief Financial Officer for validity and reasonability; - Authorisation of all requisitions in terms of Delegation of Authority; and - Thorough tender process for expenditure exceeding R500 000.
Supply Chain Management. Supplier is responsible for its supply chain. Supplier shall ensure that its suppliers have adequate quality management systems to ensure quality and delivery performance throughout the entire supply chain as Supplier deems reasonably necessary. Supplier shall have adequate agreements in place with its suppliers and ensure the quality of incoming goods.
Supply Chain Management. (a) Purchases from AVL. Customer shall provide to Flextronics and maintain an Approved Vendor List. Flextronics shall purchase from vendors on a current AVL the Materials required to manufacture the Product. Customer shall include Flextronics on AVL’s for Materials that Flextronics can supply and, if Flextronics is competitive with other vendors with respect to reasonable and unbiased criteria for acceptance established by Customer, Customer shall raise no objection to Flextronics sourcing Materials from itself. For purposes of this Section 4.2 only, the term “Flextronics” includes any Flextronics Affiliates.
Supply Chain Management. 3.1 Relations with suppliers, contractors and other associates
(a) Does the company screen and monitor all major suppliers, contractors, sub-suppliers, joint-venture partners, and other major business associates for commitment on human rights/social issues?
(b) Does the company assure that subcontractors have policies and practices that: assure adequate health and safety, prohibit unlawful discrimination, permit freedom of association and collective bargaining, prohibit use of child and forced labor, and required payment of minimum wages and overtime? The Governments of the United States and the United Kingdom, companies in the extractive sectors (“Companies”), and non-governmental organizations, all with an interest in human rights and corporate social responsibility, have engaged in a dialogue on security and human rights. We recognise the importance of the promotion and protection of human rights throughout the world and the constructive role business and civil society (including non-governmental organizations, labor/trade unions and local communities) can play in advancing these goals. The participants in this dialogue developed a set of voluntary principles to guide Companies in maintaining the safety and security of their operations within an operating framework that ensures respect for human rights and fundamental freedoms. Mindful of these goals, the participants agree to continue this dialogue and keep under review these principles to ensure their continuing relevance and efficacy. This has been a cooperative and constructive process. The Governments salute the willingness of the participants — Companies and civil society alike — to address these issues seriously and with a determination to both understand and account for each other’s concerns. We look forward to continuing this dialogue in the spirit of cooperation and mutual understanding that led to broad consensus among the participants on these voluntary principles. We hope that other companies, governments, and civil society organizations as well as international institutions will share these goals and choose to be involved in this continuing dialogue.
