UNANTICIPATED TASKS. The Contract value includes 10% of the total Contract amount for unanticipated tasks. These funds may be used at the state’s discretion. Unanticipated tasks will be contracted for on an as-needed basis and shall be optional throughout the term of the Contract. Work for unanticipated tasks will be assigned and agreed to in writing by the Contractor and the state via a Work Authorization (WA) before the work can commence. The rates for unanticipated tasks must not exceed the hourly rates specified in Attachment B1 for unanticipated tasks and the total expenditures for unanticipated tasks shall not exceed the total amount set aside for unanticipated tasks.
UNANTICIPATED TASKS a. Any services, functions or responsibilities not specifically described in this Contract that are consistent with industry standards, an inherent, necessary or customary part of the Services or are, consistent with industry standards, required for proper performance or provision of the Services in accordance with this Contract shall be deemed part of the Services and Contractor shall provide them as part of the Services without additional charge.
b. In the event that any other work must be performed which was wholly unanticipated and is not specified in the Statement of Work, but which in the opinion of both parties is necessary to the successful accomplishment of the general scope of work outlined for particular Deliverable(s) and/or Service(s), the procedures outlined in this Section will be employed.
c. For each item of wholly unanticipated work not specified in the Statement of Work, a Work Authorization will be prepared.
d. It is understood and agreed by both parties to this Contract that all of the terms and conditions of this Contract shall remain in force with the inclusion of any such Work Authorization. Such Work Authorization shall in no way constitute a Contract other than as provided pursuant to this Contract and shall not in any way amend or supersede any of the other provisions of this Contract.
e. Each Work Authorization shall consist of a detailed statement including justification of the need for the wholly unanticipated work, a description of the work to be accomplished by Contractor, the job classification or approximate skill level of the personnel to be made available by Contractor, an identification of all significant material to be developed by Contractor and delivered to the State, an identification of all significant material to be delivered by the State to Contractor, an estimated time schedule for the provision of the work by Contractor, completion criteria for the work to be performed, the name or identification of Contractor personnel to be assigned, Contractor’s estimated work hours per person (and/or estimated subtotal of rates and charges per Deliverable(s) and/or Service(s)) required to accomplish the work, Contractor’s billing rates per work hour per person (and/or estimate rates and charges per unit for Deliverable(s) and/or Service(s)) required to accomplish the work, and Contractor’s estimated total cost of the Work Authorization.

In the event that additional work shall be performed which was wholly unanticipated and is not specified in the SOW but which in the opinion of bothparties is necessary to the successful accomplishment of the general scope ofwork outlined, the procedures outlined in this Section will be employed.
2. For each item of unanticipated work not specified in the SOW, a WOA will beprepared.
3. It is understood and agreed by both parties to this contract that all of the terms and conditions of this Contract shall remain in force with the inclusion ofany such WOA. 7. The Contractor's estimated work hours required to accomplish thepurpose, objective or goals, and
8. The Contractor's billing rates as identified in Exhibit 4, Cost WorkbookUnanticipated Tasks, and the contractor's estimated total cost of the WOA.
5. All WOAs shall be in writing prior to beginning work and signed by the Contractor and CDPH. The Contractor shall not begin work on a WOA until theauthorized CDPH, staff (Staff Counsel, IT Acquisitions Manager, and CDPH, Contract Official) and the Contractor have approved the WOA.
6. CDPH, has the right to require the Contractor to stop or suspend work on anyWOA pursuant to the “Stop Work” provision of the General Provisions.
7. Personnel resources will not be expended (at a cost to California Department ofPublic Health, on task accomplishment in excess of estimated work hours required unless the procedure below is followed:

UNANTICIPATED TASKS. This Agreement may include Unanticipated Tasks including services, including work products, not specifically set forth in this Agreement, but which are subsequently identified as in-scope and necessary for the successful delivery of the services described in this Agreement. Prior to commencement of any work being performed for Unanticipated Tasks, the Contractor shall have received an approved State Work Authorization for such work. The rates for Unanticipated Tasks shall not exceed rates as stated in Attachment 2 - Cost Worksheet and Payment Provisions. State Work Authorizations for Unanticipated Tasks shall include the Contractor’s estimated number of hours required to complete the work, multiplied by the unanticipated tasks hourly labor rates specified therein, or shall be consistent with the rates specified in Attachment 2 - Cost Worksheet and Payment Provisions. The State will release payment for any State Work Authorizations upon State Acceptance of the acceptance criteria specified in the approved State Work Authorization in accordance with Attachment 2 - Cost Worksheet and Payment Provisions

In the event that additional billable work must be performed that was wholly unanticipated, and that is not specified in the Purchase Order(s), but which in the opinion of both Parties is necessary to the successful accomplishment of the contracted scope of work, Vendor shall prepare a work authorization to be submitted to the University's project manager and to the University’s Department of Procurement Services. All work authorizations must be written and signed by Vendor and an authorized representative in the University’s Department of Procurement Services prior to Vendor beginning any such additional billable work.

UNANTICIPATED TASKS. 14.1 During the contract period, legislative and / or program changes may necessitate changes to the contracted services. Request for changes must support or enhance the scope of the contract.
14.2 Unanticipated tasks are additional work that must be performed and that is within scope of the contract but was not identified in the State's RFI2 document or Scope of Work (SOW). Both the State and the Contractor shall agree upon the work that needs to be performed which will result in unanticipated costs. No work can be performed in advance of State's approval of unanticipated task(s) work.
14.3 The State limits the budget for unanticipated tasks not to exceed fifteen percent (15%) of the sum of the base contract identified in the Exhibit B-1, Cost.
14.4 If additional work must be performed, the procedures outlined in this section will be followed.
14.4.1 Unanticipated tasks include, but are not limited to, corrections to errors made by State staff.
14.4.2 It is understood and agreed by both parties to this Agreement that all the terms and condition of this Agreement shall remain in force with the inclusion of any new task. Such new task shall in no way constitute an Agreement other than as provided pursuant to this Agreement nor in any way amend or supersede any of the other provisions of this Agreement.
14.5 All new task must be in writing prior to beginning work and signed by the Contractor and State. The Contractor shall not begin work on a new task until the authorized State staff has approved the new task.
14.6 The State has the right to require the Contractor to stop or suspend work on any new task.
UNANTICIPATED TASKS. 5.1 Contractor shall use its best efforts to work on any unanticipated tasks that are directly related to this scope of work, as requested by the OSG.
