OBLIGATIONS OF THE SUPPLIER. In addition to the Article 4.2 of the GPC, it is specified that:
OBLIGATIONS OF THE SUPPLIER. 6.1. The Supplier hereby agrees and undertakes to perform the Services to the Purchaser as set out in Scope of Work (PART 4: SPECIFICATIONS).
6.2. The Supplier will perform the Works as expeditiously as possible and furthermore agrees and undertakes to perform the services in accordance with the operational requirements of the Purchaser.
6.3. The Supplier will ensure that the Works will be of a satisfactory quality and fit for purpose.
6.4. The Supplier shall, ensure that its employees, agents, representatives, sub-Suppliers and suppliers comply with this Contract and all applicable Laws in the execution of the Works.
6.5. The Supplier will not conduct any activity of whatsoever nature which may be detrimental to the Purchaser’s reputation and goodwill.
OBLIGATIONS OF THE SUPPLIER. 2.1 Notwithstanding any other obligation set forth herein, the Supplier undertakes to deliver the relevant goods and/or to provide HERO with the relevant services, to the full satisfaction of the latter. Therefore, the Supplier undertakes to use any technical, human and material resources which may be necessary for the proper execution of the delivery and/or the service, being held globally liable for the products and/or services subject matter of the agreement.
2.2 The Supplier expressly states that it is up to date regarding Social Security and Public Treasury payments having met all provisions of any applicable laws and regulations in relation to the aforementioned public bodies as well as with any other public bodies; the Supplier has provided HERO with the relevant Social Security and AEAT (State Agency for Tax Administration, as per the Spanish acronym) certificates, or certificates by the equivalent bodies if the Supplier was not Spanish. During the validity term of this agreement, the Supplier must be up to date regarding Social Security and Public Treasury payments and therefore it undertakes to provide HERO, upon its request, with any documents proving the relevant compliance with any Social Security- and AEAT- related obligations, or with the obligations established by equivalent bodies if the Supplier was not Spanish.
2.3 The Supplier undertakes to comply, during the validity term of this agreement, with all applicable Regulations, being held solely liable for any breach thereof. The Supplier undertakes to adapt to any regulatory changes that may be applicable during the validity term of this agreement, as well as to promptly inform HERO of any amendment in the relevant regulations that may affect the Supplier as soon as it is aware of such amendments.
2.4 Likewise, the Supplier undertakes to comply with all applicable regulations regarding Social Security, Collective Agreements and Trade Union Agreements in relation to salaries so that any Social Security, labour or criminal liability that may arise from a breach of said regulations shall be the sole liability of the Supplier, at its full cost, and HERO shall not be held jointly liable thereof, whether directly or indirectly.
2.5 Besides, the Supplier undertakes to obtain and maintain throughout the validity term of the agreement any licences and permits that may be necessary for the ordinary course of its business.

OBLIGATIONS OF THE SUPPLIER. Supplier shall (1) comply with reasonable requests of Buyer, including without limitation, attending meetings with Buyer and its consultants and advisers, (2) adhere strictly with any timelines required by Buyer, (3) carry out such duties, functions and additional services which are incidental to and/or necessary for the performance of its obligations under the Agreement, (4) at all times be answerable to Buyer and prepare and submit to Buyer promptly such reports as may be requested by Xxxxx from time to time, (5) use its own resources, equipment, materials and services to carry out its obligations under the Agreement, and (6) do nothing (whether by act or omission) that is adverse or prejudicial to the standing and reputation of Buyer.
OBLIGATIONS OF THE SUPPLIER. The Supplier shall provide the Deliverables to Buyer in accordance with Buyer's requirements. The Supplier shall ensure that the Deliverables are provided in accordance with, and with due regard to, all relevant Laws. The Supplier shall ensure that accurate and comprehensive records are maintained of all activities of the Supplier under this PO. The Supplier shall provide Buyer with such information and documents in connection with the Deliverables as Buyer may request from time to time. The Supplier shall (1) comply with reasonable requests of Buyer, including without limitation, attending meetings with Buyer and its consultants and advisers, (2) adhere strictly with any timelines required by Buyer, (3) carry out such duties, functions and additional services which are incidental to and/or necessary for the performance of its obligations under this PO, (4) at all times be answerable to Buyer and prepare and submit to Buyer promptly such reports relating to the Supplier's obligations as may be requested by Buyer from time to time, (5) use its own resources, equipment, materials and services to carry out its obligations under this PO, (6) exercise due skill and proper care and shall at all times maintain the highest professional standards, and (7) do nothing (whether by act or omission) that is adverse or prejudicial to the standing and reputation of Buyer.
OBLIGATIONS OF THE SUPPLIER. Without derogating from the remaining obligations of the Supplier as set out in this Agreement, the Supplier shall:
10.1 Manage and co-ordinate the day to day activities of its employees;
10.2 upon reasonable request furnish PRASA CRES with employment criteria and any other documentation relating to its employees;
10.3 develop a formal procedure aimed at ensuring the efficient conduct of all day to day activities necessary for the successful rendering of the Goods;
10.4 in addition to all the items listed under “Specifications” in the RFQ, at its cost supply all soaps, detergents, polish etc., required to fulfil the contract;
10.5 ensure that its employees exercise the utmost degree of good faith, skill and care in all matters relating to the Goods;
10.6 furnish its employees with uniform and employee identification cards, which shall be worn by the Personnel at all times whilst on duty;
10.7 in the event of any of its employees allocated to be at the Site not being available to supply goods in terms of this Agreement, provide a competent replacement for such a person within one (1) hour after being informed by PRASA CRES of that person’s non availability. The Supplier shall ensure that the rendering of the supply of googs is not compromised by any of the circumstances contemplated in this clause;
10.8 ensure that all its duties are performed in accordance with the Occupational Health and Safety Act, 1993 (Act no. 85 of 1993) and adhere to all safety rules and regulations as laid down by the Department of Labour;
10.9 any defect or problem identified on the Site shall immediately be reported to PRASA CRES’s Representative and If the Supplier fails to deliver any or all of the goods or to perform the Services as required in the Contract, PRASA shall, without prejudice to any rights/ remedies under the Contract, deduct from the Contract price, as a penalty, a sum calculated on the delivered price of unperformed Services for each day of the occurrence of the failure of performance or apply credit note. PRASA may also consider termination of the Contract pursuant to General Condition of the Contract or penalties may also be imposed in cases of breach of confidentiality as envisaged in this Contract;
10.10 all areas referred to in this agreement shall be inspected by the Supplier’s “Person in Charge” on a weekly basis and the said “Person in Charge” shall immediately thereafter submit a written report to PRASA CRES;

OBLIGATIONS OF THE SUPPLIER. 5.1.1 Subject to and on the terms and conditions of this Agreement, the Supplier shall, [ at its own cost and expense” if Supplier is NOT a Trading Licensee, or insert “through the Developer” if Supplier is a Trading Licensee], procure finance for and undertake the development, operation and maintenance of the Power Station and observe, fulfil, comply with and perform all its obligations set out in this Agreement or arising hereunder. [further in case Supplier is a Trading Licensee; The Supplier shall further ensure that the Developer maintains all consents, clearances and permits as required under Applicable Law for the operation and maintenance of Power Station and production of power, in full force and effects during the Term of this Agreement]
5.1.2 The Supplier shall comply [and shall cause the Developer to comply if Supplier is a Trading Licensee] with all Applicable Laws and other Applicable Permits (including renewals as required) in the performance of its obligations under this Agreement.
5.1.3 Save and except as otherwise provided in this Agreement or Applicable Laws, as the case may be, the Supplier shall, in discharge of all its obligations under this Agreement, conform with and adhere to Good Industry Practice at all times.
5.1.4 The Supplier shall [ensure that the Developer shall if Supplier is a Trading Licensee] operate and maintain the Power Station in accordance with the Specifications and Standards and the Maintenance Requirements such that the Availability of the Contracted Capacity of the Power Station is at least [85% (eighty five per cent) thereof during each year of the Contract Period (the “Normative Availability”).
OBLIGATIONS OF THE SUPPLIER. 3.1 MAINTENANCE OF HARDWARE AND SOFTWARE EQUIPMENT SERVICES - Support and Routine Assistance The Supplier’s support personnel shall be available to assist and consult with the staff of the Bank 12 hours per day five days per week. The Supplier shall provide necessary support services to answer questions and to assist the Bank in resolving problems related to the use and operation of the Software supplied and installed by the Supplier. The Supplier shall be responsible for training the Bank’s Staff to operate new and/or upgraded Solution. The Supplier shall appoint a Local Agent and notify the name to the Bank in case it is not physically present in the Bank’s host country. - Errors and Corrections of defects for the products The Supplier agrees to correct defects of the products sold to the Bank and to supply replacements to the Bank at no additional charge. The Bank agrees to report promptly to the Supplier any and all defects in, or problems with, the devices, which it may discover. The Supplier shall correct the defects promptly after they are discovered by the Bank or are reported by the Supplier.
OBLIGATIONS OF THE SUPPLIER. 5.1 The Supplier shall perform all its obligations under this Contract with all necessary skill, diligence, efficiency and economy to satisfy generally accepted professional standards expected from experts and in accordance with DFID’s Supply Partner Code of Conduct (Appendix B).
5.2 If the Supplier is a joint venture or an unincorporated consortium then each of the joint venture or consortium partners shall bear joint and several liability where liability may arise.
5.3 In performing its obligations under this Contract, neither the Supplier, nor any of its Affiliates, shall embarrass DFID or otherwise bring DFID into disrepute by engaging in any act or omission which is reasonably likely to diminish the trust that the public places in DFID, regardless of whether or not such act or omission is related to the Supplier’s obligations under this Contract.
5.4 The Supplier shall gather, collate, and provide such information and cooperation as DFID may reasonably request for the purposes of ascertaining the Supplier's compliance with its obligations under this Contract.
5.5 The Supplier shall ensure that the Services:
5.5.1 comply in all respects with the description of Services in Section 3 (Terms of Reference) or elsewhere in this Contract; and
5.5.2 are supplied in accordance with the provisions of this Contract and the Tender.
5.6 The Supplier shall perform its obligations under this Contract in accordance with:

OBLIGATIONS OF THE SUPPLIER. The Supplier shall perform the Services and carry out their obligations hereunder with all due diligence, efficiency and economy, in accordance with generally accepted professional standards and practices, and shall observe sound management practices, and employ appropriate technology and safe and effective equipment, machinery, materials and methods. The Supplier shall always act, in respect of any matter relating to this Contract or to the Services, as faithful advisers to the SNDB, and shall at all times support and safeguard the SNDB legitimate interests in any dealings with Sub-Suppliers or third Parties.
