Change Implementation. The execution of the Change Request Form by both parties will cause the Change Request Form to become part of and incorporated into the SOW. Commencement of the performance of the requested change is conditioned upon the mutual execution of the Change Request, and LogRhythm’s receipt of an additional P.O. authorization to cover the agreed upon price for each requested change.
Change Implementation. If the COUNTY proposes to implement a change in matters within the scope of representation as defined by ORS 243.650(7) and not specifically mentioned in this Agreement that would result in more than a de minimus effect on the bargaining unit, the COUNTY will notify the ASSOCIATION in writing prior to implementing the proposed change. Upon timely request of the ASSOCIATION (within fourteen (14) days), the following shall apply:
A. The COUNTY will provide the ASSOCIATION with all records about its plan that are relevant to the proposed plan as required by law.
B. The COUNTY will notify the ASSOCIATION that it will implement the plan after forty-five (45) days unless the ASSOCIATION demands to bargain.
C. The COUNTY will, upon demand by the ASSOCIATION, meet in good faith as often as the ASSOCIATION believes is necessary to discuss the COUNTY'S plan up until the end of the forty-five (45) day period, subject to the normal business needs of the COUNTY.
D. If the COUNTY and the ASSOCIATION do not reach an agreement on the issue at hand, the ASSOCIATION may take the matter to final offer arbitration not less than ten (10) days no more than thirty (30) days after the first negotiations meeting. Should the ASSOCIATION fail to do so, the COUNTY may, at its sole discretion, implement all or part of any plan that was presented to the ASSOCIATION.
E. Should the matter be submitted to arbitration pursuant to this provision, the authority of the arbitration shall be limited to the sole questions as to which party's offer is most appropriate to the issue at hand. The most appropriate offer as determined by the arbitration shall be implemented.
Change Implementation. No Change Order shall become effective without the written approval of the applicable Customer Project Manager. In addition, certain Changes may only be approved by the Customer Corporate Contract Manager or his or her designee as set forth in Customer's Delegation of Authority. Under no circumstances shall Supplier be entitled to payment for any Product or Service provided pursuant to a Change Order that has not been so approved by the Customer Project Manager or the Customer Corporate Contract Manager or his or her designee.
Change Implementation. (a) RDNS will nominate a person whose responsibility shall include ensuring that consultation with their representatives, affected Employees and their managers occurs once the organisational change proposal has been decided by RDNS, but prior to its implementation.
Change Implementation. 15.1 During the duration of this Agreement both parties may initiate Change Request’s (CR) according to the procedures as agreed. Change Request’s by either party will be done in writing.
15.2 Change Request’s will only become effective after a written approval by “CUSTOMER”.
15.3 Should “CUSTOMER” request changes to the product specification during the period of business cooperation, “SUPPLIER” will implement these changes after discussing with “CUSTOMER”, if any, the financial consequences and the effects to delivery schedules, provided that the changes lie within the technical possibilities of “SUPPLIER”.
15.4 If “SUPPLIER” intends to make technical modifications, “SUPPLIER” will notify “CUSTOMER” in advance about the planned changes in writing, incorporating, if any, the financial consequences and the effects to delivery schedules.
Change Implementation. (a) Upon the request of AVADEL, RPC shall make any Changes in the Process, Material Specifications, Product Specifications and/or Testing Specifications that are required or requested by any applicable Governmental Authority; provided, however, that if either Party reasonably demonstrates that any such Change will result in an increase or decrease in production costs to RPC, the Parties shall negotiate in good faith and agree upon a corresponding adjustment to the Purchase Price payable to RPC prior to RPC being required to implement such change. Notwithstanding the foregoing, any such Change shall be subject to the agreed upon change control requirements as set forth in the Quality Agreement.
(b) Other Changes to the Process, Material Specifications, Product Specifications and/or Testing Specifications shall be by mutual agreement of the Parties, provided, however, RPC shall not unreasonably refuse any request from AVADEL to make any Changes desired by AVADEL. Any Changes to Process, Product Specifications and/or Testing Specifications shall be implemented on terms and conditions to be agreed upon in good faith, which may include but are not limited to, reasonable adjustments (which may be upward or downward, as appropriate) to the Purchase Price payable to RPC for its services hereunder. Notwithstanding the foregoing, any such Change shall be subject to the agreed upon change control requirements as set forth in the Quality Agreement.
Change Implementation a) NSYSA will notify KPSRA Youth Assignor(s) and KPSRA Webmaster regarding any reschedule or change that occurs so that KPSRA can modify their own system of such changes.
b) If a particular Change/Modification to the schedule requires a new record to be created on the KPSRA Website, NSYSA will provide a new Upload File to the KPSRA Webmaster in the same format/manner as the original schedule.
c) KPSRA agrees to upload all additional match records to incorporate all schedule change/modifications as soon as possible to ensure the change/s is reflected into the KPSRA website as soon as possible.
Change Implementation. (a) Upon the request of Purchaser, Supplier shall, and shall use its Commercially Reasonable Efforts to cause its applicable sub-contractor to, make any Changes in the Process, Product Specifications or Testing Specifications that are required or requested by any applicable Governmental or Regulatory Authority or to the extent reasonably necessary to address patient safety concerns, provided that, if any such Changes arising in connection with patient safety concerns would impact any Product Registration, such Changes shall require BMS’ prior consent. Supplier shall use its Commercially Reasonable Efforts to, or, as applicable, use its Commercially Reasonable Efforts to cause its applicable sub-contractor to, effect such Changes no later than ninety (90) days after Purchaser’s request therefor. Notwithstanding the foregoing, any such Change shall be subject to the terms and conditions of the Transaction Agreement and the agreed-upon change control requirements set forth in the Quality Agreement. If Supplier reasonably demonstrates that any such Change will result in an increase in production costs to Supplier, the Parties shall negotiate in good faith and agree upon a corresponding adjustment to the relevant Purchase Price payable to Supplier; provided, further, however, that the implementation of any such Change shall not be delayed during such negotiation. The Parties shall undertake commercially reasonable efforts to complete negotiations of the relevant Purchase Price within thirty (30) days from the commencement of the negotiations of the relevant Purchase Price.
(b) Subject to Section 8.05, except for Changes requested by Purchaser pursuant to Section 5.07(a), any Changes to the Process, Product Specifications and/or Testing Specifications shall be by mutual agreement of the Parties, with Supplier’s consent not to be unreasonably withheld, and, if applicable, Supplier’s applicable sub-contractor and Supplier shall cause such sub-contractor to promptly approve such Change. Any such Changes to Process, Product Specifications and/or Testing Specifications shall be implemented on terms and conditions to be agreed between the Parties upon in good faith, which may include but are not limited to, reasonable adjustments to the relevant Purchase Price payable to Supplier for the Products hereunder.
