Conferences of Affiliates. Up to a total of ten (10) person days for representatives of the Association to attend conferences or conventions of state and national affiliated organizations for matters allowed by law. Requests for leave will be made through the Association President and approved by the Vice President of Instruction and Student Services. The individual department shall be responsible for the affected classes.

Conferences of Affiliates. Up to two (2) days with pay, if the conference takes place during scheduled school days, for authorized representatives of the Association to attend conferences and conventions of state and national affiliated organizations, upon prior approval of the Board of Education. Proof of attendance is required.
Conferences of Affiliates. The Association shall be allowed up to a total of twenty (20) days of release time per year to attend conferences, workshops or meetings of state and national affiliated organizations for matters directly relating to the collective bargaining relationship with the College. The employee will request such release time from their supervisor after prior approval for such a request from the Association President. The request for release time should be made at least five (5) working days in advance or as soon as possible after the release time request is approved by the Association President.

Conferences of Affiliates. Up to thirty (30) days per contract year shall be available for all Association representatives leave purposes. Association leave is limited to attendance at conferences or conventions of state and national affiliated organizations relating to collective bargaining and administration of bargaining contracts or professional development which aligns with District and/or building initiatives. Days may also be used for local bargaining preparation. Up to ten (10) of the thirty (30) total days per contract year shall be available to attend professional development type conferences or conventions. Representatives will receive pay for the days gone but will not be entitled to District reimbursement for travel, meals or lodging. Notice of the conference or convention and dates of attendance together with the names of the representatives will be provided to the District ten (10) days in advance of the conference or conferences. This leave may not be used to attend the annual Representative Assembly or PAC Convention. If the Association wishes to use some or all of the thirty (30) available days for Representative Assembly or the PAC Convention, participating employees must take the leave without pay. The Association will reimburse the District the cost of a substitute, if one is hired by the District while the employee is absent, except when the leave is used for Representative Assembly or Association Convention.
Conferences of Affiliates. The Board shall grant requests for released time for representatives of the Association to attend conferences or conventions of state and national affiliated organizations. 1. The Association shall be permitted to send one or more employee representatives to such meetings with all expenses of these conventions to be paid by the Association for a cumulative total of 12 days (i.e., 12 people for one day each or 3 people for four days each or 4 people for three days each or 6 people for two days each) 2. The Board may grant released time for representatives of the Association to attend seminars and workshops promoting the educational objectives of the School District with expenses for such meetings to be paid by the Association for a cumulative total of 8 days (i.e., 4 people for two days each or 2 people for four days each).
Conferences of Affiliates. The Association shall be permitted to send one of its representatives annually for four (4) days; three (3) with pay by the District, one (1) day paid by the Association, to attend conferences or conventions of state and national affiliated organizations. Such leave shall not be cumulative. Such leave shall not constitute a break in service.

Conferences of Affiliates. Up to six (6) days for the Association per year shall be allowed for employees to attend conferences and conventions of State or National affiliated organizations. No employee shall be granted more than three (3) such days in any year (July 1 through June 30). In the event said individuals have not been present for work on the days of N.J.E.A. Convention, have not attended the Convention and have not been excused for some other purpose, they shall suffer a loss in pay for the day or days involved.

Notice of meetings of the Board of Directors, the boards of directors and equivalent governing bodies of Echo’s Subsidiaries and any committees thereof shall be furnished (together with all materials to be provided to the Board of Directors) to each non-voting observer no later than, and using the same form of communication as, notice of meetings of the Board of Directors, the Board of Managers, the boards of directors and equivalent governing bodies of Echo’s Subsidiaries and any committees thereof, as the case may be, that are furnished to the members of the Board of Directors, the Board of Managers, the boards of directors and equivalent governing bodies of Echo’s Subsidiaries and any committees thereof, respectively; provided, that Echo, the Company or its Subsidiaries, as the case may be, shall be entitled to remove such observer from such portions of a meeting of the Board of Directors, the Board of Managers, the boards of directors or equivalent governing bodies of any of Echo’s Subsidiaries or any committees thereof, in each case, to the extent such observer’s presence would be likely to result in the waiver of any attorney client privilege. Any observer designated under this Section 3.1(h) shall be permitted to attend any meeting of any of the Board of Directors, the boards of directors and equivalent governing bodies of Echo’s Subsidiaries and any committees of either of the foregoing, in each case, using the same form of communication permitted for members of such Board of Directors, boards of directors and equivalent governing bodies of Echo’s Subsidiaries or any committees thereof.

Such Observer shall be entitled to attend all Board meetings (which meetings shall generally be held telephonically) but will not be entitled to vote at any Board meeting. Such Observer shall be entitled to receive all consents, proposed consents or Board actions, documents, materials, information and notices (whether or not in writing) provided to the Board; provided, however, that the Company reserves the right to exclude such Observer from access to any material or meeting or portion thereof (only if the Observer is notified of such withholding) if the Board votes in good faith after advice of counsel, that such exclusion is necessary (taking into account any confidentiality agreements that such Observer has executed or is willing to execute): (a) to preserve the attorney-client privilege; (b) to prevent a breach by the Board of Directors of its fiduciary duties; or (c) to avoid the impairment of the Company’s ability to enforce its rights under this Agreement in any bona fide dispute with the Observer. Such Observer may be removed from office only by Tranche Holdings, LLC, except that the Observer may be removed for cause by the Board of Directors in the event of willful misconduct or material breach of any confidentiality agreement with the Company or its affiliates; provided such Observer shall not be removed for cause until after Tranche Holdings, LLC has been notified of the Board’s intent to remove such person for cause and is given Tranche Holdings, LLC a reasonable amount of time to appoint another person as an Observer. Upon the payment and satisfaction in full of Tranche A Term Loan, Tranche Holdings, LLC shall cease to possess the right to designate an Observer, and any Observer so designated will automatically and without further action be removed from the Board. At any time during which there is an outstanding balance on the Tranche A Term Loan (as defined in the Credit Agreement), all travel and other reasonable expenses incurred by Tranche Holdings, LLC or its designee in connection with its rights in this Section 3.1.8 shall be reimbursed by the Company.
