Cooperation Contents. 2.1 The Parties agree that within the Term of this Agreement, the Parties will conduct comprehensive business cooperation in the following areas.
2.2 Within the Term of this Agreement, Tencent will refer to the plan and principles listed in Schedule A-1 of this Agreement, to conduct business cooperation with Pinduoduo on opening and providing Weixin Wallet Portal services and Weixin payment services.
2.3 Tencent will refer to the plan listed in Schedule A-2 of this Agreement to carry out sharing of resources with Pinduoduo in QQ Wallet payment rates and other professional areas.
2.4 In addition to the proposed cooperation under this Agreement, the Parties agreed to seek further opportunities for in-depth strategic cooperation in a wider range of areas to achieve a win-win situation.
2.5 For cooperation matters under this Agreement, if Pinduoduo needs to register or use any software, products, functions, interfaces (including but not limited to Weixin) and any form of intellectual property rights developed, owned or operated by Tencent, Pinduoduo shall comply with Tencent’s service agreement, individual function agreements, operating rules and other rules and agreement regarding such software, products, functions and interfaces.
Cooperation Contents. The Parties will cooperate with respect to the following matters. The specific cooperation contents are as follows:
3.1 Party A will be responsible for the planning, productions, publicity and promotion, and customer services in respect of the Party A’s Product and the Cooperation Business.
3.2 Party B will provide Party A with the SMS, MMS, WAP, IVR and other business channels of China Mobile, China Unicom, China Telecom (and other newly added operators) on a paid basis as the channels of Party A’s business [including, but not limited to, game, reading business] (the “Cooperation Business”).
3.3 The Parties agree that in respect of the relevant telecom value-added business of the cooperation hereunder, the proceeds of the Cooperation Business will be distributed between the Parties at the rates and terms as agreed by the Parties (refer to the proceeds distribution section for the detailed information).
3.4 Any other requirement for cooperation shall be otherwise negotiated and determined by the Parties.
Cooperation Contents. 2.1 Party A entrusts Party B to provide Party A with professional services in terms of [effect advertising delivery agency], including:
2.1.1 Advertising account management and recharge service
2.1.1.1 According to the requirements of Party A, Party B shall open an account in the name of Party A on the media platform and submit Party A’s qualification documents required for advertising to the media platform.
2.1.1.2 Party B shall recharge the advertising fee in advance to the corresponding account of Party A according to the requirements of Party A. The amount recharged by Party B shall be subject to the amount of order placed by Party A. Party B shall not overcharge.
2.1.2 Advertising content production and delivery services
2.1.2.1. Party B shall produce and modify the corresponding advertising materials (graphic, video, Flash, landing page, etc.) according to the content forms and elements required by Party A.
2.1.2.2. According to the requirements of Party A, Party B shall set up the advertising delivery plan, develop the delivery strategy, select and determine the implementation details of advertising delivery from dimensions of advertising type, advertising space and advertising cost, and be responsible for the implementation of advertising delivery.
Cooperation Contents. 2.1 Party A hereby entrusts Party B to provide creative video shooting and production services, and Party B accepts the entrustment and carries out the work.
2.2 This contract is a framework contract, and the term of cooperation starts from [October] [31], [2019] and ends on [October] [30], [2020].
Cooperation Contents. In line with the principle of mutual benefit and through sincere negotiations, Party A and Party B decide that Party B conducts the business of Party A’s Client Review BPO. To confirm the rights and obligations between Party A and Party B and to protect their respective legitimate rights, both parties enter into this contract on the basis of equality and free will in accordance with relevant laws and regulations, to which they shall strictly adhere to.
Cooperation Contents. Party B produces products according to the formula provided by Party A, and Party A labels its owned registered trademark to the product. Party A shall supervise Party B’s entire production process with an appointed staff. Party A purchases products from Party B through purchasing order (see appendix) and pays the purchase expenses.
Cooperation Contents. Both parties decide to carry out a business cooperation on the payment and settlement services of fund depository business, according to actual cooperative scheme and technological realization, the scope of cooperation is as follows:
(1) Party A is responsible for using its Internet system to provide the access service of fund depository business for Party B.
(2) Party A is responsible for providing customer application, the use of Party A's electronic accounts, various of payment and settlement as well as financial services for Party B.
(3) Party A provides supporting and auxiliary services of data transmission interface, related documents and other fund depository business for Party B's intermediary platform of P2P lending information in legal operation, including support for account opening/card binding, for the change of binding card, for recharging, collection/deduction, suspension and cash withdrawal.
Cooperation Contents. 1. Party A supply CMOS Image Sensor and IC market information and technical support in concerned applications to Party B.
2. Party A agrees to authorize Party B to doing any business with the trademark of Party A.
3. Party A agrees to supply the technical support to Party B for all kinds of design plans in integrative applications.
4. Party A agrees to supply the more preferential payment term to Party B.
5. Party A agrees to authorize Party B to be the sole agent in Taiwan. The intelligent right of the product belongs to Party A, The intelligent right of cooperation product belongs to both sides. Any Party can not cooperate with the third side without the other Party’s agreement in written.
Cooperation Contents. 1 Party A and Party B cooperate to develop the position business, the title of which shall be discussed by both Parties, and finally decided by Party A as the owner of the business title.
Cooperation Contents. 1. Party B agrees to record relevant videos for Party A for free use by Party A and the third party designated by Party A;
2. Party A agrees to publicize Party B's experience in financial and taxation industry and improve Party B's popularity;
3. Party B agrees to accept Party A's arrangement to jointly develop fiscal and tax management courses;
4. Party B agrees to accept Party A's appointment to give lectures or training courses in its cooperative educational institutions. Party B shall charge Party A RMB 10,000 yuan per day, and the relevant remuneration and other travel expenses shall be borne by the cooperative organization;
5. Party B agrees to accept Party A's appointment to undertake Party A's management consulting project. Party B shall accept Party A's arrangement and ensure that sufficient personnel are organized to complete the work according to the requirements of Party A; Party A will pay 50% of the project amount to Party B, and the payment progress shall refer to the management consulting agreement signed between Party A and a third party. When undertaking the management consulting project of Party A, Party B shall ensure the work and service quality. If Party A suffers losses due to Party B's work and service quality problems, Party A has the right to deduct the corresponding amount from the project amount allocated to Party B.
6. Party A has the right to invite Party B to attend various social activities such as lectures, seminars, training courses, gatherings and business salons organized by Party A, and invite Party B to participate in social activities organized by Party A from time to time. Party A provides everyone with a communication platform free of charge.
