General Inspection. Purchaser has previously inspected and tested the improvements located on the Real Estate, including, without limitation, heating and air conditioning systems, interior plumbing systems, electrical systems, roofs, walls, ceilings, floors, windows and foundations, and has found the improvements acceptable.
General Inspection. For a period expiring forty-five (45) days after the date of this Agreement (the "Inspection Period"), Buyer and its agents shall have the right to make, at Buyer's sole cost and expense, a physical inspection of the improvements located on the Real Property; provided, however, that Buyer's activities hereunder shall not damage such improvements, disrupt any business operations on the Real Property, or endanger, or otherwise constitute a nuisance to, persons or property in the vicinity of the Real Property. Buyer's access to, and inspection of, the Real Property shall be at Buyer's sole risk and expense and Seller shall have no responsibility therefor. Buyer shall immediately repair any loss or damage to the Real Property caused by the acts or omissions of Buyer in connection with its inspection of the Real Property. Buyer shall indemnify and hold Seller harmless from and against any and all liability, loss, damage, cost or expense (including court costs and reasonable attorneys and expert/consulting fees), of whatever nature and by whomever asserted, arising out of, resulting from or in any way connected with the acts or omissions of Buyer, its employees, agents or contractors in connection with their access to and inspection of the Real Property. Notwithstanding anything to the contrary in this Agreement, such obligations to repair and to indemnify shall survive the Closing or any termination of this Agreement. If any inspection performed by Buyer or Buyer's Representatives discloses material defects in the improvements located on the Real Property that, when taken as a whole, have a Material Adverse Effect ("Defects"), then Buyer shall give Seller written notice of the Defects before the end of the Inspection Period. If Buyer fails to do so, then Buyer shall be considered to have waived all such objections. If Buyer gives Seller written notice of any Defects within the permitted period, then Seller shall have fifteen (15) days from receipt of Buyer's notice to cure the Defects. If Seller is unwilling or unable to so cure within such period, Buyer and Seller shall apply the procedures set forth in Section 4.10. 14

The fee assumes 8 full time hours of inspection services per working day to complete the following tasks. • Provide on-site inspection and monitoring as requested to inspect the technical conduct and progress of the construction. The Construction Inspector will not be responsible for the means, methods, techniques, or procedures of the construction selected by the Construction Contractor(s) or for any failure of Construction Contractor(s) to comply with laws, ordinances, rules, or regulations applicable to the construction work. The parties recognize that the construction Contractor(s) is responsible for ensuring that construction is in accordance with the plans and specifications. • Project Daily Report. Prepare daily construction reports, detailing the construction Contractor’s operations performed for each day, and records decisions and observations of a general or specific nature in chronological order. Measure quantities of materials installed, log equipment and staff used, and other related items. • Verify in the daily report that the Contractor is working with the proper traffic control plans. • Document CITY-authorized work being done on a force account basis. • Coordinate the verification of material approvals and ensure they are complete prior to materials being used on site. • Coordinate Materials Testing and Inspection. In those instances where unsatisfactory test results are obtained, notify the construction contractor to rectify the discrepancies, and retest the materials after corrections are made. • Collect scale certifications. • Progress Payment Verification. • Collect and tabulate all quantity delivery tickets. • Prepare field note records in accordance funding requirements. • Check that Manufacturer’s Certificates of Compliance and Certificates of Material Origin are received prior to payment. • Verify that the acceptance sampling and testing frequencies reflect the actual quantities used. • Photographs. Thru Pavia Headlight, tabulate construction photographs and progress photographs of construction activities, daily, to document progress of the work and job site conditions encountered. Particular attention will be given to any work performed below the finished grade. • Project closeout, formal acceptance, review and recommendation. General Inspection the Property may be inspected by any person who – in Purchaser’s sole discretion – is qualified to conduct home inspections. Purchaser shall, within the inspection period, inform Seller of any General Repair items (“Repair Demand”) that are not in the condition acceptable to Purchaser, by delivering to Seller a written notice and upon written request by Xxxxxx a copy of the portion of the inspector’s written report specific to such items.

General Inspection. (a) The CTA will at all times have access to the Project Site. Accordingly, the Contractor must provide proper facilities for safe access to allow proper inspection of the Work.

All materials and equipment and each part or detail of the Work shall be subject at all times to inspection by the County or its authorized representatives and the Contractor will be held strictly to the true intent of the Specifications in regard to quality of materials, workmanship and the diligent execution of the Contract. Such inspection may include mill, plant, shop and field inspection and any material or equipment furnished under the Specifications is subject to such inspection. The County or its representatives shall be allowed access to all parts of the Work and shall be furnished with such information and assistance by the Contractor as is required to make a complete and detailed inspection.
General Inspection. 3.1 Unipath will randomly sample each delivery in accordance with BS6001 (equivalent to MIL 105E) single normal sampling at Inspection Level I, AQL as follows: Critical Defects: AQL = 0.4% Major Defects: AQL = 0.65% Minor Defects: AQL = 2.5% For this purpose a “unit” is defined as a single wick. The sampling plan (Appendix I for inspection level I) defines the maximum number of defects allowed in each category, if the batch is to be accepted by Unipath, Ltd.
General Inspection. Between the Effective Date and the Closing Date, unless this Agreement is sooner terminated, Seller will afford Purchaser and Purchaser’s representatives full and free access, during normal business hours, to all of Seller’s assets, properties, books, records, financial statements, corporate documents, accountants’ work papers, contracts and insurance policies related to the Business, to Seller’s personnel, accountants, customers, clients, contractors and suppliers in connection with the Business, provided that any such access must be used by Purchaser in a manner that does not unreasonably disrupt the operation of the Business, and will furnish Purchaser during such period with all such information concerning the Business as Purchaser may reasonably request. Access to Seller’s customers and clients will be done in conjunction with Seller and with Seller’s input. Seller will use its commercially reasonable best efforts to arrange introductions to such customers and clients as Purchaser specifies.
