Network Operations. (a) Except as set forth on Schedule 3.27(a), the network of the Company and its Subsidiaries, taken as a whole, is in good working condition and is without any material defects for purposes of operating the business of the Company and its Subsidiaries as operated by the Company and its Subsidiaries.
(b) Except as set forth on Schedule 3.27(b), the Company and its Subsidiaries have indefeasible rights to use (or lease) approximately 1,016 route-miles and approximately 19,014 fiber-miles of fiber in each of the metropolitan areas set forth on Schedule 3.27(b).
(c) The Company and its Subsidiaries have good and valid title to approximately 9,389 route-miles and approximately 693,902 fiber-miles of fiber between the city pairs set forth on Schedule 3.27(c), and have indefeasible rights to use approximately 11,830 route-miles and approximately 720,677 fiber-miles of fiber between the city pairs set forth on Schedule 3.27(c) (including the names of the respective fiber vendors).
(d) The Company and its Subsidiaries have good and valid title to the switches listed on Schedule 3.27(d) and each such switch is in good operating condition and repair, free from all material defects, subject only to normal wear and tear.
Network Operations. A. Insofar as service requirements permit, the Company shall assign tours within the work group in accordance with the preference of employees in the order of their seniority no less frequently than every four (4) weeks. The Company reserves the right to make assignments as may be necessary for compliance with the law, training or retraining and to determine the particular job classification experience level, or specialized training required for the tours being assigned.
1. When scheduled Saturday day tours (falling between 7:00 a.m. - 8:00 p.m.) are required, the assignment to work on Saturday will be rotated among all qualified employees in the same group who work at the same location(s) and who normally work day tours during the week. The hours of such tours will be assigned by the Company.
B. Each employee shall exercise the choice of tours from the posted schedule in accordance with seniority.
C. Tours will generally consist of two (2) four-hour sessions; however, there will be situations requiring sessions of three (3) hours and five (5) hours and/or three and one-half (3 1/2) hours and four and one-half (4 1/2) hours, separated by a lunch period of not less than one-half (1/2) hour except for employees on night tours falling wholly between 4:00 p.m. and 8:00 a.m. Where no lunch period is provided during the tour, the tour will be considered as consisting of two four-hour sessions.
D. Once a schedule assignment is complete, no change shall be made in the assignment until the next selection period except where the Company finds it necessary for service requirements to revise the schedule to less than four (4) weeks. For each such revision, the opportunity to exercise preference for choice of tours will be afforded.
E. An employee returning from leave of absence, or layoff or coming in by transfer, or employees who have their service bridged following the selection, shall be granted choice of tours in accordance with their seniority at the next revision of the schedule or selection as provided above.
F. Not more than four (4) weeks prior to the effective date of a new schedule the Company will post the schedule notice for the work group. The notice shall state the effective date of the new schedule and the date for submitting preference.

Network Operations. (a) The network of Parent and its Subsidiaries, taken as a whole, is in good working condition and is without any material defects for purposes of operating the business of Parent and its Subsidiaries as operated by Parent and its Subsidiaries.
(b) Parent and its Subsidiaries have good and valid title to or otherwise have the right to use all items and equipment necessary to operate and maintain the network of Parent and its Subsidiaries and such items and equipment are in good operating condition and repair, free from all material defects, subject only to normal wear and tear, except for any of the foregoing as would not, individually or in the aggregate, have a Parent Material Adverse Effect.
Network Operations. The Contractor shall provide 24x7 support for network operations and security issues with Government network operations centers. If available, the Contractor shall remotely “suspend” or “kill” cellular phones and devices in the event of theft or loss. The Contractor shall resume service upon request by the Ordering Entity.
Network Operations. 4.1 Client is responsible for the design of, and maintaining the content of, Client's web site (if any). Upon request, Cavion will refer Client to a web site design consultant. If transactional services are selected, Client is responsible for validating the transactions of its members, including assigning passwords. Client is solely responsible for providing support to its members regarding their use of CUiNet and the network services.
4.2 Cavion will provide telephone support to Client during regular business hours at the nearest Cavion staffed facility. Emergency support is available 24 hours per day, 365 days per year. Cavion will maintain, administer and upgrade the network as appropriate (in Cavion's judgment) for effective network operations. Should an upgrade of the network require upgrade of Client's equipment or software to remain compatible, the upgrade of Client's equipment or software will be Client's responsibility.
4.3 Cavion will maintain the network connection equipment provided to Client's facility under this agreement, whether the equipment belongs to Client or Cavion. However, Client is responsible for maintaining an appropriate operating environment and restricting access to the connection equipment. Cavion relies on Client to promptly notify Cavion of any problem affecting Client's connection to the network, and to cooperate with Cavion (including providing access to Client's facility and technical personnel) as needed to correct any such problem.
4.4 CUiNet uses standard telecommunication links and standard network server technology. While expected to be minimal, unscheduled temporary service disruptions cannot be completely eliminated. Network service will also be limited or interrupted from time to time for scheduled maintenance, network expansion, upgrades or other administrative purposes. Cavion will make commercially reasonable efforts to notify clients in advance of scheduled downtime, and to limit scheduled downtime to off-peak hours.
4.5 Cavion reserves the right to monitor CUiNet traffic as appropriate (in Cavion's judgment) for proper operation of the network and as otherwise required or permitted by law. However, Cavion does not have the practical ability to control the conduct of users of the network and assumes no liability for such conduct.
Network Operations. 4.1 Operation of the Network. Licensee shall be responsible for paying for all items relating to the operation, performance, and maintenance of the Network, including without limitation (a) maintenance of the Sites and the related towers and base station equipment, utility charges for the Sites, cell site dedicated facilities (including without limitation T-1s, DS3s, etc.), (b) the payment of all vehicle lease payments, expenses of operation, and repair, (c) all expenses relating to RF Engineering, (c) all toll interconnection expenses, and (d) all roaming expenses. All such payments shall be made pursuant to SECTION 12.1.
Network Operations. Globalgig provides a ticketing system service as a single point of contact for Incidents associated with the Managed Network Service. Customer’s authorized staff may be updated by Customer at any time by written notice to Globalgig. When Globalgig’s ticketing system receives Notification of an Incident, the Network Operations Center will record, monitor, and manage all Incidents; and provide Customer with regular and periodic updates on the status of resolution.
Network Operations. (b) The Company and its Subsidiaries have good and valid title to approximately 2,908 route-miles and approximately 172,240 fiber-miles of fiber in each of the metropolitan areas set forth on Schedule 3.25(b), and have indefeasible rights to use (or lease) approximately 1,372 route-miles and approximately 69,522 fiber-miles of fiber in each of the metropolitan areas set forth on Schedule 3.25(b).
(c) The Company and its Subsidiaries have good and valid title to approximately 59,362 route-miles and approximately 1,328,712 fiber-miles of fiber between the city pairs (and/or submarine IRUs) set forth on Schedule 3.25(c), and have indefeasible rights to use approximately 23,416 route-miles and approximately 461,872 fiber-miles of fiber between the city pairs (and/or submarine IRUs) set forth on Schedule 3.25(c) (which Schedule includes the names of the respective fiber vendors).
(d) The Company and its Subsidiaries have good and valid title to or otherwise have the right to use all items and equipment necessary to operate and maintain the network of the Company and its Subsidiaries and such items and equipment are in good operating condition and repair, free from all material defects, subject only to normal wear and tear.
Network Operations. (a) Except as set forth on Schedule 4.25(a), the network of Parent and its Subsidiaries, taken as a whole, is in good working condition and is without any material defects for purposes of operating the business of Parent and its Subsidiaries as operated by Parent and its Subsidiaries.
(b) Parent and its Subsidiaries have good and valid title to approximately 11,874 route-miles, 1,757,747 fiber-miles of fiber in each of the metropolitan areas set forth on Schedule 4.25(b), and have indefeasible rights to use (or lease) approximately 15,195 route-miles and approximately 252,311 fiber-miles of fiber in each of the metropolitan areas set forth on Schedule 4.25(b).
(c) Parent and its Subsidiaries have good and valid title to approximately 48,520 route-miles and approximately 4,994,826 fiber-miles of fiber between the city pairs (and/or submarine IRUs) set forth on Schedule 4.25(c), and have indefeasible rights to use approximately 32,644 route-miles and approximately 418,479 fiber-miles of fiber between the city pairs (and/or submarine IRUs) set forth on Schedule 4.25(c) (including the names of the respective fiber vendors).
(d) Parent and its Subsidiaries have good and valid title to or otherwise have the right to use all items and equipment necessary to operate and maintain the network of Parent and its Subsidiaries and such items and equipment are in good operating condition and repair, free from all material defects, subject only to normal wear and tear.
