O&M obligations of the Concessionaire. 17.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Bus Terminal in accordance with this Agreement either by itself, or through the O&M Contractor and if required, modify, repair or otherwise make improvements to the Bus Terminal to comply with the provisions of this Agreement, Applicable Laws and Applicable Permits, and conform to Specifications and Standards and Good Industry Practice. The obligations of the Concessionaire hereunder shall include: (a) permitting safe, smooth and uninterrupted flow of traffic on the Bus Terminal during normal operating conditions; (b) minimising incidents affecting the safety and use of the Bus Terminal by providing a rapid and effective response and maintaining liaison with emergency services of the State; (c) carrying out periodic preventive maintenance of the Bus Terminal; (d) undertaking routine maintenance including prompt repairs of Ticket Counters, Workshops, Authority‟s Office and other infrastructure as mentioned in the Operation and Maintenance Schedule, (e) undertaking major maintenance such as per the Maintenance Schedule of the major infrastructure in the Bus Terminal]; (f) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Bus Terminal; (g) protection of the environment and provision of equipment and materials therefor; (h) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Bus Terminal; (i) maintaining a public relations unit to interface with and attend to suggestions from the Users, passengers, government agencies, media and other agencies; (j) complying with Safety Requirements in accordance with Article 18; (k) operation and maintenance of all Project Assets diligently and efficiently and in accordance with Good Industry Practice; (l) maintaining punctuality and reliability in operating the Bus Terminal; and (m) maintaining a high standard of cleanliness and hygiene on the Bus Terminal. 17.1.2 The Concessionaire shall remove promptly from the Bus Terminal all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Bus Terminal in a clean, tidy and orderly condition, and in conformity with the Applicable Laws, Applicable Permits and Good Industry Practice. O&M obligations of the Concessionaire. 16.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Project and provide Services to the Users in accordance with this Agreement either by itself, [or through the O&M Contractor who may be appointed only after taking prior written approval of the Authority] and if required, modify, repair or otherwise make improvements to the Project to comply with the provisions of this Agreement including the Specifications and Standards, Applicable Laws and Applicable Permits, and conform to Good Industry Practice. The obligations of the Concessionaire hereunder shall include the following: (a) submit 30 (thirty) days prior to the Commercial Operation Date, in consultation with the Authority and Independent Monitor[s], a Service Quality Manual (the “Service Quality Manual”) outlining strategy to achieve services specification including the Specifications and Standards outlined and shall ensure and procure that at all times during the Operation Period, the Project Facilities is operated and maintained in accordance with the provisions thereof; (b) provide a monthly status report on the key performance indicators as included in Schedule-[D]; (c) undertake, in compliance with the terms and conditions of this Agreement, including the [Specifications and Standards, Applicable Laws, Applicable Permits, Clearances, the Maintenance Manual, the Service Quality Manual and Good Industry Practice, Good Clinical Practice and Good Healthcare Practice (i) the operation of the Project Facility by itself and provide Services to the Users, and (ii) the maintenance of the Project Facilities by itself [or through an O&M Contractor(s)] who may be appointed only after taking prior written approval of the Authority; (d) achieve and maintain accreditation of the Project from the [National Accreditation Board for Hospital]; (e) to obtain and maintain throughout the Concession Period, recognition of the Medical Council of India (the “MCI”) or other relevant statutory bodies for the operation of the Medical College and other allied medical facilities; and (f) [other obligations pertaining to other allowed commercial activities to be specified by the Authority from time to time].

The obligations of the Concessionaire hereunder shall include: (a) permitting safe, smooth and uninterrupted flow of visitors on the Project during normal operating conditions; (b) collecting and appropriating the User Charges; (c) undertaking routine maintenance including prompt repairs; (d) undertaking maintenance of equipment; (e) preventing, with the assistance of concerned law enforcement agencies, any unauthorised use of the Project; (f) preventing, with the assistance of the concerned law enforcement agencies, any encroachments on the Project; (g) protection of the environment and provision of equipment and materials therefore as required under applicable laws; (h) operation and maintenance of all communication, control and administrative systems necessary for the efficient operation of the Project; (i) maintaining a public relations unit to interface with and attend to suggestions from the Users, government agencies, media and other agencies; and (j) complying with Safety Requirements in accordance with Article 17. 16.1.2 Prior to the Commercial Operation Date, the Concessionaire shall remove promptly from the Project all surplus construction machinery and materials, waste materials (including hazardous materials and waste water), rubbish and other debris (including, without limitation, accident debris) and keep the Project in a clean, tidy and orderly condition, and in conformity with the Applicable Laws, Applicable Permits and
O&M obligations of the Concessionaire. 16.1.1 In addition to what is provided elsewhere in this Concession Agreement, the Concessionaire shall have the following obligations and responsibilities during the Operation Period:- a. The Concessionaire shall be responsible, at his own cost, for the overall maintenance and management of each C T SCAN , MRI ,SONOGRAPHY,ECHO CARDIOGRAPHY Centre including: i. Routine maintenance and repair works and minor alterations; ii. Maintenance, repair and renewal/ replacement of the C T SCAN , MRI ,SONOGRAPHY,ECHO CARDIOGRAPHY Equipment and supporting infrastructure in the C T SCAN , MRI ,SONOGRAPHY,ECHO CARDIOGRAPHY Centre; iii. Cleaning and sanitization of the Diagnostic centres and infectious disease control within the Diagnostic centres; iv. Safety and security of persons and property within the Diagnostic centres; and v. Taking applicable and adequate safety measures while conducting the C T SCAN , MRI ,SONOGRAPHY,ECHO CARDIOGRAPHY Tests; vi. Ensuring that no discomfort is caused to the patients during the waiting time; vii. Any situation which has arisen or is likely to arise on account of any accident or other emergency is responded to as quickly as possible and its adverse effects controlled/minimized; viii. Any kind of disturbance or damage or destruction to the Diagnostic centres by the Concessionaire or its contractors is controlled/minimized; ix. Members of the public are treated with due courtesy and consideration by its employees/ agents; x. Deployment of Clinical and Non-Clinical staff in accordance with the provisions of this Agreement; xi. Make appropriate arrangements for security of the Diagnostic centres including C T SCAN , MRI ,SONOGRAPHY,ECHO CARDIOGRAPHY Equipments installed within them; xii. Management and disposal of all medical and other waste produced in the Diagnostic centres with particular regard to the protocols and obligations set out under the following: • Bio-Medical Waste (Management and Handling Rules), 1998; • Bio-Medical Waste (Management and Handling) (Amendment) Rules,2003; • Atomic Energy Regulation Board – Radiation Surveillance procedures for medical applications; and • All other applicable rules and regulations, amended time to time. b. The obligations of the Concessionaire hereunder shall include the following: (a) provide quarterly status report on the key performance indicators as included in Schedule-[D]; (b) undertake the execution of the Project, in compliance with the terms and conditions of this Agreement, including the Specifications and Standards, Applicable Laws, Applicable Permits, the Maintenance Manual, Good Industry Practice, MCI Regulations, etc. ; (c) to facilitate in obtaining and maintaining throughout the Concession Period, recognition of the Medical Council of India (the “MCI”) or other relevant statutory bodies for the operation of the Medical College and other allied medical facilities.
O&M obligations of the Concessionaire. 16.1.1 During the Operation Period, the Concessionaire shall operate and maintain the Project and provide Radiotherapy Services to the Patients in accordance with this Agreement and if required, modify, repair or otherwise make improvements to the Project to comply with the provisions of this Agreement including the applicable specifications and standards, Applicable Laws and Applicable Permits, and conform to Good Industry Practice. The obligations of the Concessionaire hereunder shall include the following: (a) submit 30 (thirty) days prior to the Commercial Operation Date, in consultation with the Authority and Independent Monitor, a service quality manual (the “Service Quality Manual”) and shall ensure and procure that at all times during the Operation Period, the Project Facility(s) is operated and maintained in accordance with the provisions thereof; (b) provide a monthly status report on the key performance indicators as included in Schedule- E; (c) undertake at its own cost, in compliance with the terms and conditions of this Agreement, including the Operational Specifications & Performance Standards as mentioned under Schedule-D of this Agreement, Applicable Laws, Applicable Permits, clearances, the Maintenance Manual, the Service Quality Manual and Good Industry Practice, Good Clinical Practice and Good Healthcare Practice (i) the operation of the Project Facility(s) including replacement of Project Assets as required and provide Radiotherapy Services to the Patients by itself, and (ii) the maintenance of the Project Facility(s) by itself. Upon written request from Concessionaire, the Medical College shall support in providing necessary documents and information to Concessionaire for maintaining compliance with Applicable Permits and (d) In case Medical College obtains NABH accreditation, the Concessionaire shall obtain and maintain NABH accreditation for the Project Facility(s) within 6 (six) months or any extended time period as mutually agreed among the Parties from the date of receiving a notice from the respective Medical Colleges. Upon obtaining NABH accreditation, the Concessionaire shall ensure that the NABH accreditation is maintained during the Concession Period as per applicable regulations. Further, the Authority shall use their best efforts to assist the Concessionaire in obtaining the NABH accreditation.

O&M obligations of the Concessionaire. The Concessionaire shall operate and maintain the Power Plant either by itself or through an O&M contractor, in accordance with the Applicable Approvals and Applicable Laws, including in particular, the Grid Code, the Functional Specification and Prudent Utility Practices. During the Term, the Concessionaire shall have the following obligations: (i) ensure safe, smooth and uninterrupted supply of electricity from the Power Plant; (ii) undertake operation and maintenance of the Power Plant, in compliance with the Applicable Laws including the Central Electricity Authority (Grid Standards) Regulations, 2010 and the Central Electricity Authority (Measures relating to Safety and Electric Supply) Regulations, 2010; (iii) carry out periodic preventive maintenance of the Power Plant; (iv) decommission or shut down the Power Station, in whole or in part, in the event of any disturbance at the Grid or forced outage, after duly intimating the particulars thereof to the Discom and SDMC, the SLDC and abide by the directions, if, any, given by them; (v) Re-commission the Power Plant or whole or in part, as early as possible upon the cessation of the circumstances necessitating the decommissioning; (vi) As far as possible, not schedule the maintenance of a Unit when another Unit of the Project is shut down or expected to be shut down except under Force Majeure or when the operation of Unit is not permissible due to technical considerations; (vii) Cooperate with the Discom and the Independent Engineer in conducting the performance test time to time.
