Partial Assignments. Subject to the provisions of Section 17.1(c), Customer may assign a portion of the Services it is entitled to hereunder (a “Partial Assignment”) for any period of time up to and including the remainder of the Term, or all of its entitlements for a period of time that is less than the remaining Term, upon notice but without the prior consent of SABINE, to one or more assignees, provided that; and: (i) Customer and all assignees designate one of them, or a third party, to act on behalf of Customer and all assignees as Scheduling Representative for purposes of giving and receiving all notices, statements and other communications from or to Customer and exercising all rights of Customer under this Agreement (including all rights under Clause A, Sections 2.3, 3.5, 8.2, 10.2, 11.3, 18.1, 20.1, and 20.2) jointly, without delay or hindrance to each Party’s performance of this Agreement; and (ii) no Partial Assignment shall reduce the responsibility of Customer or SABINE in respect of the Services or increase SABINE’s responsibilities to Customer and the assignees under this Agreement. Customer shall remain liable for all payments due under this Agreement and SABINE shall continue to send all statements required under Article 11 to Customer. Customer shall indemnify and hold SABINE harmless from any Liabilities incurred by SABINE arising from a failure by Customer and all assignees to designate a Scheduling Representative under Section 17.2(d)(i) above.
Partial Assignments. The Developer may assign this Agreement, including the benefits and obligations thereof, with respect to any portion of the Site comprising no less than twenty (20) acres, provided (i) the assignee is the purchaser of the portion of the Site (the “Transferred Portion”) to which the assignment pertains, and (ii) the Developer and the assignee deliver to the School District and the City an assignment and assumption agreement wherein the assignee assumes the obligations of the Developer with respect the Transferred Portion. For avoidance of doubt, (a) the assignee's obligations will include payment of the Developer Contribution with respect to the Transferred Portion (or, as may be agreed by the Developer and the assignee, so long as the entire Estimated Developer Contribution is paid and the School District is provided an accounting of the funding), (b) if the assignment occurs after the passage of the applicable Phase I TIF Ordinance and payment of the amount due pursuant to Section 5(a) above, the assignee shall not be responsible for the payment of the Estimated Developer Contribution described in Section 5a above, and (c) the covenant and agreement regarding a minimum investment of $75,000,000 will remain an aggregate obligation of the Developer and assignee.
Partial Assignments. 10.1 The Tenant may partially assign this Lease and its rights under this Lease with respect to particular Stalls to purchasers of strata lots within the Strata Development or to the Strata Corporation. Any such partial assignment will be for such consideration as the Tenant may in its sole discretion determine, which consideration may be retained by the Tenant for its own benefit. Any partial assignment by the Tenant, or by any subsequent assignee of this Lease and its rights under this Lease pertaining to a particular Stall: (a) will be absolute, and the assignee and its guests, lessees, successors and permitted assigns will be entitled to the use and enjoyment of such Stall so assigned for the balance of the Term; (b) will be an assignment of rights to which an assignee will only be entitled for so long as such assignee owns a strata lot within the Strata Development unless the assignment is to the Strata Corporation; (c) may only be assigned to an owner or purchaser of a strata lot within the Strata Development or to the Strata Corporation; (d) will not be effective until written notice of such assignment (together with a copy of such assignment if available) is delivered by the assignee to the Strata Corporation, subject to Section 11.1 of this Lease; and (e) if the Stall is an Electric Vehicle Stall or Handicap Stall, the Strata Corporationmay, upon receipt of a written request to do so, give 30 days' written notice (the "Notice") to an assignee of such Electric Vehicle Stall or Handicap Stall requiring such assignee to transfer such Electric Vehicle Stall or Handicap Stall to another owner within the Strata Development in exchange for a Stall which is not an Electric Vehicle Stall or Handicap Stall. There shall be no monetary consideration for such exchange. Upon the expiration of the Notice period, the parties shall enter into partial assignments of the Lease with respect to the parking stalls being exchanged in the form attached hereto as Schedules "C" and "D" respectively. In the event either of the parties do not execute the required assignment of Lease, the assignment will be deemed to have occurred without execution of a partial assignment of the Lease. Notwithstanding the foregoing, a Notice shall only be given by the Strata Corporation if: (i) the owner of the Strata Lot holding the Lease of such Electric Vehicle Stall or Handicap Stall, or a full-time occupant of such Strata Lot, is not the owner or lessee of an electric vehicle or a holder...

Contributions to STRS shall be proportionate to the time served and salary earned.

Partial Assignments. Customer may assign a portion of the Services Quantity (or Services in respect of any Make-Up Quantity) for any period of time up to and including the remainder of the Term of the Agreement, or all of its entitlements for a period of time that is less than the remaining Term (collectively, a “Partial Assignment”), without the prior consent of SABINE, to one or more assignees, provided that: (i) the assignees deliver to SABINE the written undertaking required by Section 17.1(b); (ii) in relation to all such partial assignments: a. Customer and all assignees shall designate one of them, or a third party, to act on behalf of Customer and all assignees as Scheduling Representative for the purposes of (a) exercising all rights of Customer under Section 5.1 in relation to the Customer LNG Receipt Schedule, provided that the Scheduling Representative shall identify each Unloading Window within the Customer LNG Receipt Schedule and to each of the assignees, and (b) exercising all rights of Customer under Section 5.2 in relation to Gas nominations, provided that the Scheduling Representative shall identify the portion of each daily nomination to be delivered for the account of Customer and for the account of each of the assignees, and b. Customer and all assignees shall exercise all rights of Customer under this Agreement (including all rights under Sections 2.3, 3.6, 4.5, 6.1, 8.2, 10.2, 11.3, 18.1, 20.1, 20.2, and 24.1) jointly, without delay or hindrance to each Party’s performance of this Agreement; and (iii) Customer’s Guarantor agrees that the Guarantee extends to the obligations assigned pursuant to this Section 17.2(d). No Partial Assignment shall (a) serve as a novation of this Agreement; or (b) reduce the responsibility of Customer to SABINE in respect of the Services Quantity or increase SABINE’s responsibilities to Customer and the assignees under this Agreement. Customer shall indemnify and hold SABINE harmless from any Liabilities incurred by SABINE arising from a failure by Customer and assignees to designate a Scheduling Representative or to exercise all rights of Customer jointly under (ii) above.
Partial Assignments. If Licensee sells, conveys, or transfers some, but not all, of Licensee’s Attachments, and such assignment complies with this Article 13, the assignee must nonetheless obtain a separate agreement from SMEU for the assignee’s Attachments in accordance with City of San Marcos and SMEU policies, rules, regulations and Ordinances in effect at that time. Until the assignee executes a separate agreement, the assignment is not binding upon SMEU and the assignee’s Attachments shall continue to be deemed to be the Attachments of Licensee for all purposes hereunder, including but not limited to, billing and payment of Annual Usage Charges.
