Position Duties and Location. Employee shall serve in the position(s) set forth on Schedule A attached hereto. Employee shall devote substantially all of Employee’s working time and efforts to the business and affairs of the Company and shall not engage in any other business activity without prior written approval from the Company’s CEO. Employee shall perform the services required by this Agreement at the location(s) indicated on Schedule A except for customary business travel to other locations as may be necessary to fulfill Employee’s duties and responsibilities hereunder.
Position Duties and Location. During the Employment Period, Executive shall, subject to the provisions of Section 1 above, serve as Chairman and Chief Executive Officer of the Company and shall be nominated for election, and if so elected shall continue to serve, as a member of the Board of Directors of the Company and, unless the Company and Executive shall jointly determine otherwise, Chairman of the Board of Directors of the Company (the "Board"). During the Employment Period, Executive shall have the duties, responsibilities and obligations (a) as are customarily assigned to individuals serving as the Chairman and Chief Executive Officer of comparable companies and (b) as have been assigned, exercised or assumed in accordance with past practice, together with such other duties, responsibilities and obligations consistent with such positions as the Board shall from time to time specify, provided that such additional duties, responsibilities and obligations are fair and reasonable under the circumstances, do not unreasonably increase the demands upon the Executive's time or energies, and are not inconsistent with the Executive's position as Chairman and Chief Executive Officer. During the Employment Period, the Executive will be the most senior executive to report to the Board. The Executive shall devote such time and energy to the business and affairs of the Company as he deems reasonably necessary to perform the duties of these positions and shall use his best efforts, skills and abilities to improve and advance the business and interests of the Company and its subsidiaries. Without limiting the generality of the foregoing, the Company hereby acknowledges that the Executive has certain responsibilities to Xxxxxx Capital, M Capital and related companies, and, provided that the Executive otherwise has performed his duties on behalf of the Company hereunder, the Company agrees that nothing contained in this Agreement shall interfere with such responsibilities. Nothing contained in this Section 2 shall preclude Executive from (i) serving on the board of directors of any business corporation, unless such service would be contrary to applicable law, (ii) serving on the board of directors of, or working for, any charitable or community organization or (iii) pursuing his personal financial and legal affairs, so long as such activities, individually or collectively, do not interfere with the performance of Executive's duties hereunder or violate any of the provisions of Section 6 hereof. Position Duties and Location. Executive shall serve as Executive Vice President, Chief Medical Officer of the Company and Parent, with such responsibilities, duties and authority normally associated with such positions and as may from time to time be assigned to Executive by the Chief Executive Officer of Parent or the Management Board or the Supervisory Board of the Parent (either one, the “Board”). Executive’s normal place of work shall be at the Company’s office in the Boston, Massachusetts metropolitan area. Executive shall devote substantially all of Executive’s working time and efforts to the business and affairs of the Company (which shall include service to its affiliates, including Parent as applicable) and shall not engage in outside business activities (including serving on outside boards or committees) without the consent of the Board, provided that Executive shall be permitted to (i) manage Executive’s personal, financial and legal affairs, (ii) participate in trade associations, and (iii) serve on the board of directors and committees of not-for-profit or tax-exempt charitable organizations, in each case, subject to compliance with this Agreement and provided that such activities do not materially interfere with Executive’s performance of Executive’s duties and responsibilities hereunder. Executive agrees to observe and comply with the written rules and policies of the Company and Parent as adopted by the Company or Parent, as applicable from time to time, in each case as amended from time to time, as set forth in writing, and as delivered or made available to Executive (each, a “Policy”).
Position Duties and Location. Executive shall serve as Executive Vice President, Finance, Corporate Controller & Treasurer reporting to the Company’s Chief Executive Officer (CEO). Executive shall perform those duties and responsibilities as are customary for such position and as may be directed by the Company and the Board from time to time. Executive is expected to attend and participate in Board of Director or any appropriate Board Committee meetings unless CEO determines otherwise. During Executive’s employment with the Company, Executive shall devote Executive’s best efforts and substantially all of Executive’s business time and attention to the business of the Company, except for approved vacation periods and reasonable periods of illness or other incapacities permitted by the Company’s general employment policies. Executive’s primary office location will be the Company’s offices in New York, New York. Notwithstanding the foregoing, the Company reserves the right to reasonably require Executive to perform Executive’s duties at places other than Executive’s primary office location from time to time, and to require reasonable business travel. During Executive’s employment with the Company, Executive shall not engage in any activity that conflicts with or is detrimental to the Company’s best interests, as determined by the CEO. Executive may participate in side activities such as board or committee member, advisor or consultant (the “Activities”), provided that Executive obtains the CEO’s prior written consent, and that none of the following activities involve activities in the area of neurology, detract from Ovid’s reputation, impact Executive’s full time duties to the Company, or could reasonably result in the disclosure or use of the Company’s proprietary or confidential information. The CEO may rescind the consent to Executive’s participation in the Activities, or participation in other business or public activities, if the CEO, in the CEO’s sole discretion, determines that such activities compromise or threaten to compromise the Company’s business interests or conflict with Executive’s duties to the Company. Position Duties and Location. (a) The Employee shall serve as Chief Financial Officer of the Company, reporting to the Board, with such duties and responsibilities as are customarily assigned to such position and such other duties and responsibilities not inconsistent therewith as may be assigned to him from time to time by the Board.
(b) During the Employment Period, and excluding any periods of vacation and sick leave to which the Employee is entitled, the Employee shall devote his full-time efforts to the business and affairs of the Company and use his best efforts to carry out such responsibilities faithfully and efficiently. It shall not be considered a violation of the foregoing for the Employee to (i) serve on corporate, civic or charitable boards or committees, (ii) deliver lectures or fulfill speaking engagements, (iii) manage personal investments, or (iv) engage in other business activities, so long as such activities do not materially interfere with the performance of his responsibilities as an employee of the Company in accordance with this Agreement.
(c) Employee will initially be based at the Company’s U.S. headquarters in or around New York, New York (the “Initial Headquarters”); provided that the Company anticipates that its headquarters may be relocated to San Diego, California at which time Employee will be expected to move to that location.
Position Duties and Location. During the Term,
(a) Position. Executive shall serve as the Executive Vice President and Chief Financial Officer of the Company, with the duties and responsibilities customarily assigned to such position and such other customary duties as may reasonably be assigned to Executive from time to time by the Chief Executive Officer of the Company (the "Chief Executive Officer") consistent with such position. The Executive shall at all times report directly to the Chief Executive Officer.
Position Duties and Location. (a) Subject to the terms hereof, the Company hereby employs Executive as Chief Executive Officer and President, and Executive accepts such employment with the Company on the terms set forth in this Agreement. In such capacity, Executive shall perform the duties appropriate to such office or position, and such other duties and responsibilities commensurate with such position as are assigned to him from time to time by the Board or its designees.
(b) Executive shall devote his full working time and best efforts to the performance of his duties under this Agreement for and on behalf of the Company and shall not engage in any activity in competition with or detrimental to the Company. Notwithstanding the foregoing, Executive shall be permitted (i) to serve on corporate, civic or charitable boards or committees, so long as the Board consents in advance in writing to such activities, such consent not to be unreasonably withheld, and such activities do not materially interfere with the performance of his responsibilities as an Executive of the Company in accordance with this Agreement. The Executive shall not require prior Board approval or be prohibited from serving on those charitable or corporate Boards he currently is appointed to.
Position Duties and Location. Executive shall initially serve as General Counsel, Corporate Secretary and Chief Compliance Officer reporting to the Company’s Chief Executive Officer. Executive shall perform those duties and responsibilities as are customary for such position and as may be directed by the Company and the Board from time to time. During Executive’s employment with the Company, Executive shall devote Executive’s best efforts and substantially all of Executive’s business time and attention to the business of the Company, except for approved vacation periods and reasonable periods of illness or other incapacities permitted by the Company’s general employment policies. Executive’s primary office location will be the Company’s offices in New York City, NY. Notwithstanding the foregoing, the Company reserves the right to reasonably require Executive to perform Executive’s duties at places other than Executive’s primary office location from time to time, and to require reasonable business travel. During Executive’s employment with the Company, Executive shall not engage in any activity that conflicts with or is detrimental to the Company’s best interests, as determined by the CEO. Executive may participate as in side activities such as board or committee member, advisor or consultant (the “Activities”), provided that Executive obtains their manager’s prior written consent, and that none of the following activities involve activities in the area of neurology, detract from Ovid’s reputation, impact Executive’s full time duties to the Company, or could reasonably result in the disclosure or use of the Company’s proprietary or confidential information. The manager may rescind their consent to Executive’s participation in the Activities, or participation in other business or public activities, if the manager, in their 148402431 v2 1946726.1 00000-0000-000 1946726.1 00000-0000-000 sole discretion, determines that such activities compromise or threaten to compromise the Company’s business interests or conflict with Executive’s duties to the Company.
Position Duties and Location. You will continue to serve as the Company’s Chief Financial Officer. During the term of your employment with the Company, you will devote your best efforts and substantially all of your business time and attention required to promptly and faithfully perform all of your obligations in a competent and professional manner consistent with the expectations of the Company’s board and its President and CEO, except for approved vacation periods and reasonable periods of illness or other incapacities permitted by the Company’s general employment policies. You shall continue to perform such duties as are required by the Company’s President and CEO, to whom you will report. Your primary office location will be the Company’s Santa Clara, CA office. The Company reserves the right to reasonably require you to perform your duties at places other than your primary office location from time to time, and to require reasonable business travel. The Company may modify your job title and duties as it deems necessary and appropriate in light of the Company’s needs and interests from time to time.
Position Duties and Location a. Effective on the Commencement Date, Executive shall serve as the President and Chief Operating Officer of the Company. The Executive shall continue to serve as a director on the Board of Directors of the Company (the "Board"). Executive shall report to the Chief Executive Officer of the Company and at all times, Executive shall have such duties and authority as are commensurate with his then positions.
b. During the Employment Term, Executive will devote substantially all of Executive's business time and efforts to the performance of Executive's duties hereunder and, except as provided in the next sentence, will not engage in any other business, profession or occupation for compensation or otherwise, without the prior written consent of the Chief Executive Officer of the Company. Nothing herein shall preclude Executive from accepting appointment to civic or charitable directorships or trusteeships, or otherwise being involved in charitable activities or managing his personal and family passive investments; provided in each case, and in the aggregate, that such activities do not materially conflict or interfere with the performance of Executive's duties hereunder or conflict with Section 9. Executive may continue to serve as a director, trustee or advisory board member on the organizations in which he currently serves, or may serve and which he has identified in writing to the Company prior to or on the date of this Agreement, provided, that, Executive shall resign from such position, upon notification by the Company, that an organization became a competitor of the Company.
c. Unless otherwise mutually agreed by the parties, Executive's principal offices shall be located at the Company's headquarters, which commencing in November 2002, shall be in Short Hills, New Jersey.
