Reduction of Duties. No more than six (6) members of the Association negotiating team shall be allowed to count their service on the negotiating team as service to the University. The service on the negotiating team shall commence one (1) month prior to the start of negotiations and continue throughout the period of active contract negotiations. The chief negotiator will be given a total of two course releases, which shall be coordinated with the chief negotiator’s Chair.

Reduction of Duties. Notwithstanding any other provision of this Agreement to the contrary, the Officer may voluntarily terminate his employment under this Agreement following a Change in Control of the Corporation, whether approved in advance by the Board of Directors or otherwise, and shall thereupon be entitled to receive the payments described in Section 7(e) of this Agreement, upon the occurrence, or within 30 days thereafter, of any of the following events, which have not been consented to in advance by the Officer in writing; (i) if the Officer would be required to move his personal residence or perform his principal executive functions more than 20 miles from the city limits of Charlotte, North Carolina; (ii) if in the organization structure of the Corporation, the Officer would be required to report to a person or persons other than the Board of Directors, Chairman of the Board, President, or Executive Vice President; (iii) if the Corporation should fail to maintain employee benefits and welfare benefit plans, including incentive compensation, vacation, fringe benefit, stock option and retirement plans providing at least the same level of benefits afforded Officer as of the date hereof; (iv) if the Officer would be assigned duties and responsibilities other than those normally associated with his position as Senior Vice President; or (v) if the Officer's responsibilities or authority have in any way been diminished.
Reduction of Duties. 6.1 Faculty are required to inform their practices with research. The Employer shall provide the support services that are necessary for this to occur within approved budgetary allocations and/or the exigencies of the College. 6.2 Where a Faculty Member is involved in research separate and apart from his/her assigned duties that requires significant involvement, he/she may, in writing, request a reduction in workload. Such requests should be submitted to the Director and copied to the relevant Vice President. Normally, a written request should be submitted four (4) months prior to the semester affected. Upon receipt of such requests, the Director must respond to the Faculty Member in writing within ten (10) working days. Chairs provide leadership in planning, implementing and administering the work of a School, represent the opinions of Faculty to administration, communicate administrative decisions to Faculty and have reporting responsibilities to their respective Xxxx. 1 Eligibility Faculty shall be eligible for the position of Chair if they 1.1 have a master’s or doctoral degree. 1.2 hold the rank of Assistant Professor or higher. 1.3 have administrative and/or programme development experience. 1.4 have a minimum of five (5) years in higher education or relevant experience at the time of the election, inclusive of three (3) full years’ service in the relevant School. In the event of the amalgamation or restructuring of schools, experience in any of the former schools will be considered as equivalent. Note: Faculty on contract must be eligible for a new contract; however, the term of office automatically ends at the expiration of the contract unless the contract is renewed.

For example, if a Member turns 69 on March 1 of year 1, he/she must notify his xxxx/director no later than July 1 of year 1, and the Member must either retire or continue on a half-time appointment on July 1 of year 2. 10.19.2.3 If a Member’s 69th birthday falls in the period July 1 to December 31 of a given year, the Member shall, no later than January 1 of the following year, notify his/her xxxx/director of his/her decision of whether to retire or continue on a half-time appointment. On January 1 of the next following year, the Member’s decision shall become effective. For example, if a Member turns 69 on September 1 of year 1, the Member shall make his/her notification no later than January 1 of year 2, and the Member shall either retire or continue on a half-time appointment on January 1 of year 3. 10.19.2.4 As the University is notified by Members of their decision, the University shall promptly notify the Association. 10.19.2.5 Members who continue on half-time appointments shall enjoy the same benefits as other Members on reduced appointments as provided for in sections 10.6, 10.7, 10.12, 10.13 and 10.14. Section 10.8 shall also apply, excluding eligibility for the Long Term Disability Income Plan and contributions to the University of Manitoba Pension Plan. Sections 10.9 and 10.10 shall not apply. Section 10.11 shall also apply, excluding the reference to long-term disability. 10.19.2.6 Within a reasonable time before the half-time appointment begins, the xxxx/director shall consult with the Member, and assign an allotment of duties that is consistent with the provisions of this Agreement on the duties of faculty members, librarians or instructors, and which amounts to half of a full load. 10.19.2.7 Within twenty (20) working days after the end of each academic year, the University shall provide the Association with a report that confirms the total number of full-time equivalent positions that have been relinquished pursuant to

The University will designate bulletin board space for use of the Association in each of the major academic buildings on the SOU campus for use by the Association in communicating with employees in the unit. 2. The Association shall be allowed the use of the facilities of the University for meetings, through standard scheduling procedures when such facilities are available and the meetings would not conflict with the business of the University. 3. The Association shall have reasonable access to existing University telephone service, its intra campus mail distributing facilities to the extent permitted by the U.S. Postal Service, its duplicating, copying, computing and word processing facilities, as well as media equipment. The Association shall reimburse the University for its use of supplies, services, photocopying, postage, long distance telephone charges, computing and network services at rates customarily charged by the University to its affiliated organizations. 4. The University will make available to the Association an office in a convenient location, furnished and serviced commensurate with those of faculty generally. The Association will reimburse the University for its utilities and janitorial costs at the standard rate as calculated annually.

  • Limitation of Duties The Custodian in its capacity as such: (a) in the course of its review of the Mortgage Files, shall not be required to make determinations (1) of a legal nature or (2) as to the authority of any officer or agent of the Master Servicer, Trustee or other entity who has executed (or certified with respect to) any document which is part of the Mortgage File; (b) shall have no duties or obligations other than those specifically set forth herein or as may subsequently be agreed upon in writing by the parties hereto and shall use the same degree of care and skill as is reasonably expected of financial institutions acting in comparable capacities; (c) will be regarded as making no representations and having no responsibilities as to the validity, sufficiency, value, genuineness, ownership or transferability of any Mortgage Loans and will not be required to and will not make any representations as to the validity, value or genuineness of the Mortgage Loans; (d) shall not be obligated to take any legal action hereunder which might in its judgment involve any expense or liability unless it has been furnished with reasonable indemnity; (e) may rely on and shall be protected in acting upon any certificate, instrument, opinion, notice, letter, telegram or other document, or any security, delivered to it and reasonably believed by it to be genuine and to have been signed by the Master Servicer or the Trustee; (f) may rely on and shall be protected in acting upon the written instructions of the Master Servicer or the Trustee and such employees and representatives of the Master Servicer and the Trustee, as applicable, may hereinafter designate in writing; (g) may consult counsel satisfactory to it (including counsel for the Trustee or the Master Servicer) and the opinion of such counsel shall be full and complete authorization and protection in respect of any action taken, suffered, or omitted by it hereunder in good faith and in accordance with the opinion of such counsel (provided that the fees of such counsel in connection with such consultation and opinion shall be paid by the Custodian); and (h) shall not be liable for any error of judgment, or for any act done or step taken or omitted by it, in good faith, or for any mistake of fact or law, or for anything which it may do or refrain from doing in connection therewith, except in the case of a breach of any of the Custodian’s obligations hereunder, negligence or willful misconduct. The Custodian shall be held to the same standard of conduct, and shall be entitled to the same protections, privileges and immunities as other custodians acting in a custodial capacity are generally afforded. No covenant or agreement contained herein shall be deemed to be the covenant or agreement of any member of the Board of Directors, or any director, officer, agent, employee or representative of the Trustee, Master Servicer or the Custodian in his or her individual capacity and none of such persons shall be subject to any personal liability or accountability by reason of the execution of this Agreement, whether by virtue of any constitution, statute or rule of law or by the enforcement of any assessment or penalty, or otherwise.

  • Delegation of Duties The Administrative Agent may perform any and all of its duties and exercise its rights and powers hereunder or under any other Loan Document by or through any one or more sub-agents appointed by the Administrative Agent. The Administrative Agent and any such sub-agent may perform any and all of its duties and exercise its rights and powers by or through their respective Related Parties. The exculpatory provisions of this Article shall apply to any such sub-agent and to the Related Parties of the Administrative Agent and any such sub-agent, and shall apply to their respective activities in connection with the syndication of the credit facilities provided for herein as well as activities as Administrative Agent.

  • STATEMENT OF DUTIES Upon written request, an employee shall be provided with a complete and current statement of the duties and responsibilities of his or her position, including the classification level and, where applicable, the point rating allotted by factor to his or her position, and an organization chart depicting the position’s place in the organization.

  • Nature of Duties Agent shall have no duties or responsibilities except those expressly set forth in this Agreement and the Other Documents. The duties of Agent as respects the Advances to Borrowers shall be mechanical and administrative in nature; Agent shall not have by reason of this Agreement a fiduciary relationship in respect of any Lender; and nothing in this Agreement, expressed or implied, is intended to or shall be so construed as to impose upon Agent any obligations in respect of this Agreement except as expressly set forth herein.
