Responsibilities of Party A. 6.1 Party A shall establish a special organisation or designate special personnel for the following main functions, including: (1) promoting, managing and submitting users’ original demand; (2) organizing user testing and training and promoting launch; (3) organizing users to participate in the verification after changes in production environment, such as release of a new version or changes in infrastructure settings; (4) timely feedbacking business activities to the system operation department of the Service Providers that may lead to changes in the peak access volume, periodicity of access peak and access location of relevant application systems. 6.2 Party A shall accept and confirm the work results and bills delivered on time by the Service Providers hereunder, and pay service fees thereof to the Service Providers within the prescribed period. 6.3 Should Party A’s business development lead to a sharp increase in the workload or a decline in service levels of the Service Provider, Party A shall notify the Service Providers to prepare human resources and technical information 30 working days in advance. 6.4 Party A’s request shall be submitted to the Service Providers in a formal manner, including in writing. After receiving Party A’s request, the Service Providers shall conduct a comprehensive assessment of resources, costs, and performance capabilities. All Parties will jointly develop a specific work plan based on the conclusions of such assessment. 6.5 For the Products/Services approved in writing by the Parties, the Service Providers may not provide such Products/Services to Party A as agreed without prior investment of resources and costs. Therefore, should Party A be intended to cancel or reduce the scale of a Product/Service, the Service Providers will endeavour to re-allocate such resources and assist Party A in transferring such Product/Service to other customers of Ping An Group with similar needs. Party A shall bear all costs incurred by the Service Providers for providing such Product/Service before its successful transfer.

Responsibilities of Party A. In addition to its other obligations under this Contract, Party A shall undertake the following responsibilities: (1) assist the Joint Venture Company in obtaining other approvals, licenses and rights required for the Joint Venture Company to undertake activities within its scope of business during its term of operations, including without limitation the Auction License; (2) assist the Joint Venture Company in purchasing, leasing or otherwise procuring office furniture and equipment, vehicles, products and other materials required for the Joint Venture Company’s operations from sources in China; (3) assist the Joint Venture Company in applying for licenses for the import of office furniture and equipment, vehicles, products and other materials required for the Joint Venture Company’s operations, and in carrying out all import and customs formalities in respect thereto; (4) assist the Joint Venture Company in recruiting skilled managers and technical personnel; (5) assist the Joint Venture Company in opening Renminbi and foreign currency bank accounts and in converting Renminbi into foreign currency for the Joint Venture Company to make outbound payments; (6) (in order to enable the Joint Venture Company to carry out its business operation in the Beijing Free Port) provide periodic reports (whenever there is any material change that can reasonably be expected to impact on, or relate to, the Joint Venture Company) to Party B on (i) the progress for it to obtain Third Party financing/investment to the Beijing Free Port, (ii) the status and time estimate for it to achieve the construction milestones of the Beijing Free Port, and (iii) any events or circumstances that can reasonably be expected to impact on its ability to obtain Third Party financing/investment to the Beijing Free Port or achieve the construction milestones of the Beijing Free Port; and (7) handle other matters entrusted by the Board of Directors.
Responsibilities of Party A. 8.1.1 Party A shall be responsible for (A) fulfilling its cooperative conditions in accordance with the terms and conditions as provided under this CONTRACT; (B) obtaining in the Company's name all approvals, permits, licenses and registrations from and with the PRC authorities for the due establishment, the good standing and the normal operation of the Company, including but not limited to obtaining favourable tax treatment and filing of the international loan agreement with the appropriate administration for exchange control in order to repay any obligation or liability arising out thereof; (C) assisting the Company in obtaining all necessary credits or funds from financial institutions inside or outside PRC for the business operation of the Company as approved by the Board; (D) providing the Company with all necessary documents for the purpose of financing of the Gongguo Project. (E) assisting the Company in applying for exploration licenses or mining permits, in other areas not included within the Project Area as directed from time to time by the Board; (F) assisting the Company with the import of machinery, equipment, materials and supplies required by the Company, and assisting with the transportation thereof within the PRC as directed by the Board; (G) assisting the Company in obtaining Chinese machinery, equipment, external water supply, transportation, communications and other items required for the Company's operation at competitive prices in accordance with local industry standards as approved by the Board; (H) assisting the Company in recruiting qualified Chinese employees and obtaining all entry visas and work permits for the Company's foreign staff and employees in accordance with applicable laws and regulations, arranging lodging of the foreign staff and providing office, local transportation and medical emergency; and (I) assisting the Company in handling other matters entrusted to it by the Company from time to time.
Responsibilities of Party A. In addition to its other obligations under this Contract, Party A shall have the following responsibilities : (a) Be responsible for obtaining all necessary approvals, permits and licenses for the establishment of the Company and have the obligation to use their best efforts in obtaining all the approvals necessary for the ongoing operation of the Company; (b) Be responsible for carrying out all registration procedures for land use right for the Site, and all other land use rights needed by the Company, in a timely manner so as not to delay development and construction of the GT Plant. (c) Obtain, on behalf of the Company, all infrastructure needed, including external water supply, power supply, Gas supply, transportation, communications, and other services, on the most favorable terms and conditions available; (d) Assist the Company in applying for the most preferential tax treatment and other investment incentives available under applicable laws and regulations; (e) Assist the Company in obtaining necessary approvals to import raw materials and equipment. Assist the Company in arranging for transportation of imported materials and equipment between Chinese ports and the Site; (f) Assist the Company with the procedures for procuring import licenses and facilitating customs formalities for the import of machinery and equipment, fuel, materials, supplies and office equipment on preferential terms; (g) Assist the Company's expatriates to obtain all necessary entry visas and work permits; (h) Assist the Company in opening Renminbi and foreign currency bank accounts; (i) Assist the Company in recruiting qualified Chinese personnel; (j) Obtain necessary approvals for the Company to utilize various methods permitted under Chinese law to balance its foreign exchange as needed and to meet the Company's foreign exchange needs, including Party C's ability to convert dividends and return of capital into foreign exchange for remittance overseas; (k) Handle other reasonable matters entrusted by the Company from time to time.
Responsibilities of Party A. In addition to its other obligations under this Contract, Party A shall have the following responsibilities: (a) assist the Company in obtaining all necessary approvals, permits and licenses for the operation of the Company; (b) assist the Company in liaising with the relevant authorities to effectively procure the external water supply, fuel supply, power supply, transportation, communications, and other services required for the Plant at the most preferential prices available; (c) assist the Company in obtaining raw materials from sources in China; (d) assist the Company in opening Renminbi and foreign currency bank accounts and in obtaining Renminbi loans when necessary; (e) assist the Company in arranging for the transportation of imported equipment and materials between ports in China and the Plant; (f) assist with the procedures for applying for and procuring licenses, and on carrying out all customs procedures, for the import of machinery, equipment, materials, supplies and office equipment; (g) assist the expatriate employees of the Company to obtain all necessary entry visas and work permits; (h) assist the Company in recruiting various types of qualified Chinese personnel; (i) assist the Company in obtaining the Certificate of Authentication of its status as an "Integrated Circuit (IC) Manufacturing Enterprise" permitting the Company to be entitled to all the Value-Added Tax ("VAT") and other investment incentives as provided for by the governments including in State Council Document No. (2000) 18 on Policies to Encourage the Development of the Software and Integrated Circuit (IC) Industries dated on June 24, 2000 and in policies promulgated by the Sichuan Provincial Government; (j) assist the Company in obtaining approval of its status as a Technologically Advanced Enterprise and/or Export-oriented Enterprise and securing the appropriate confirmation certificates; thus permitting the Company to enjoy the preferential tax treatment and other benefits available to such enterprises under the current and future government sponsored programs including programs promulgated under the western region modernization policies; (k) assist the Company to obtain access to sources of foreign exchange; (l) assist the Company to apply for and obtain approval from the Customs that the Company's factory and all other facilities will be treated as a bonded factory or warehouse in accordance with Chinese legal regulations;
Responsibilities of Party A. (1) Assist in the going through of the formalities with competent PRC governmental authorizes necessary for the obtaining of the approval of the establishment of, the registration and filing of, and the issuance of the business license of the Company, and in the obtaining of the approvals and certificates necessary for the production and operation of the Company; (2) at the request of the Company, Assist the Company to procure or lease inside China equipment, office supplies, motor vehicles, and communication equipment, etc.; (3) Assist the Company to recruit in China management members, technical staff, workers and other necessary staff of Chinese nationality, including translators of Japanese; (4) at the request of the Company and upon consent of Party A, handle or cause its affiliates to handle, matters relating to the Products sales by the Company; (5) Assist in the obtaining of entry visas, work permits, and residence permits for, and in the going through of the formalities necessary for the medical care, transportation and travel of, the expatriate Employees of the Company as well as the relevant personnel of Party B and Party C; (6) Assist in the arrangement of the accommodations or residences for secondees from Party B or Party C, including directors and Employees of the Company; (7) Assist the Company to apply to competent PRC tax authorities and Customs for all the incentives for which the Company is eligible; (8) Assist the Company to handle any labor management matters; (9) submit any and all the documents concerning Party A required by any Approval Authority or Registration Authority in relation to the Company; (10) Assist in the introduction and establishment of the system for the presentation of final consolidated financial statements for the Company and its Subsidiaries; (11) cause an appropriate company to apply for the construction permit for the buildings intended to be used by Lentuo Aoxiang so as to obtain within three years as from the Establishment Date, from the competent governmental authorities the Construction Project Planning Permit required by the construction of such buildings, failure of which, Item 10.2 (12) shall apply; (12) In the event that (i) Lentuo Aoxiang is rendered unable to continue with its operation due to any issue relating to the land or buildings used by it, or (ii)the Construction Project Planning Permit for the buildings intended to be used by Lentuo Aoxiang fails to be obtained from the competent government...
Responsibilities of Party A. (I) To complete the “individual internship planprior to the internship and attend various practical competency training courses according to the plan. (II) To attend the pre-internship briefing session about safety lectures, layout of safety protection equipment at the internship site and related occupational safety and health measures organized by Party B, before heading for the internship provider. (III) Party A shall be co-supervised by Party C’s internship counselor and Party B’s internship advisor during the internship. (IV) To complete the “Student Internship Feedback Questionnaire” at the end of the internship for discussion and improvement of future internship courses.

Responsibilities of Party A. (a) Establishing and improving the company’s fire safety system and organization, implementing the fire safety responsibility system, determining the persons responsible for fire safety and management at all levels, and providing fire safety training to the staff of the unit. (b) Assisting the public security fire department to carry out fire safety publicity and education for Party B, and guiding and checking Party B to fulfill its fire safety responsibilities. (c) Establishing the volunteer fire department of this project of Cascade City in accordance with the law, formulating fire fighting and emergency evacuation plans, and participating in the fire fighting drills organized by Party B on a regular basis. (d) Cooperate with the fire department to organize fire safety inspections, carry out daily fire safety inspections in the areas managed by Party A itself, and eliminate all kinds of hidden dangers in a timely manner. (e) In accordance with the relevant provisions of the State and the relevant agreements of the Housing Lease Contract, cooperate with the fire-fighting authorities to urge Party B to improve the fire-fighting facilities, fire safety signs, and configure the fire-fighting equipment, and remind Party B to organize regular inspections, repairs, and maintenance, so as to ensure that the fire-fighting facilities and equipments are in good condition and effective, and that evacuation routes and safety exits are unobstructed. (f) Approve fire safety procedures for Party B’s renovation, open-flame operations, promotions and other activities, and monitor the implementation of its fire safety measures. (g) Ensure that the fire monitoring system for which Party A is responsible is in good working order. (h) In accordance with the relevant local regulations and actual needs, coordinate Party B with fire-fighting functions. (i) Define the fire safety responsibilities and management interface with Party B in accordance with the Housing Lease Agreement and the Property Management Service Agreement signed between Party B and the property management company. (j) In case of emergency, Party A has the right to enter Party B’s leased area directly without prior notice to carry out fire inspection and disposal of the situation, and Party A shall not be required to compensate for any loss or impact caused to Party B as a result. (k) Other related responsibilities of Party A as stipulated in laws and regulations and the contract.
Responsibilities of Party A. 1. Party A and its affiliates are willing to submit the test specimens to Party C for testing according to the testing items agreed and to be handled by the Parties. 2. If Party A’s affiliates have large quantities of samples for non-agreed items to be tested, Party A’s affiliates shall notify Party B 14 days in advance so that Party B can make all preparations in time. 3. Party A’s affiliates shall collect samples according to the sampling requirements in Annex 5, indicate the sampling time, and pretreat and preserve the samples. 4. The informed consent form template agreed by Party A and its affiliates and technical licensing Parties requires the examinee to sign the informed consent form for testing in triplicate, with Party A, Party B and the examinee keeping one copy each. 5. Delivery of samples: Party A’s affiliates will send samples to Party C by courier. The test report will be sent to Party C within 10 business days from the date of receipt of qualified samples. If the report cannot be delivered within the agreed time, Party A’s affiliates shall be notified in writing or by telephone immediately. 6. Party A’s affiliates shall specify the reporting department or contact (xxxx) of the critical value according to the critical degree of the test results to clinical diagnosis and treatment; 7. In the event of quality problems in the testing project or the revocation of qualification by relevant authorities, Party A and its affiliates shall have the right to unilaterally terminate the Agreement and reserve the right to investigate Party B’s responsibilities. 8. During the cooperation between Party A and Party B, Party A shall not cooperate with any other enterprises that conduct early liver cancer screening by the same methodology (except [***] products which Party A has cooperated with). In case Party A meets with a third-party product provided by Party B herein, which has the same product description, service quality and effect, but the price is significantly lower than that of Party B, Party A and Party B may separately negotiate product price adjustment or other solutions.
Responsibilities of Party A. 1. Party A shall apply for building fire protection of the installation plant, which shall be handed over to Party B for use after acceptance by relevant departments (fire extinguisher and other fire protection equipment shall be purchased by Party B). Party B shall handle environmental protection and enterprise licenses (with the assistance of Party A), and shall be responsible for all necessary expenses. 2. After delivering the plant to Party B for use, Party A shall supervise and inspect the use of the plant to Party B. Party B shall repair the damaged doors and Windows, and deliver the doors and Windows and facilities to Party A in good condition upon expiration of the contract. (1) Party B shall pay attention to the maintenance of the workshop and facilities like the water, firefighting & electricity, ensure the public roads and roads for firefighting purpose are clear and the normal use of supporting facilities, and maintain the cleanliness, greening and beautification of the plant. (2) During the lease term, with the consent of Party A, Party B may, on the condition that the building structure of Party A is not affected, temporarily set up in the open space, and Party B’s water & electricity facilities in the plant shall not be dismantled after the expiration of the contract and shall be owned by Party A free of charge. (3) If Party B needs to rebuild or expand the plant, it shall notify Party A in writing, Party A shall approve the construction, and Party B shall be responsible for the expenses. Party A shall only be responsible for connecting water and electricity to the gate of the plant. Party B shall be responsible for the installation of water and electricity in the plant area in accordance with fire and safety regulations.
