YOUR OBLIGATIONS AND WARRANTIES. 6.1 You warrant that you will not canvass, employ, induce or attempt to employ, induce, solicit or entice away from us, any employee or contractor that was employed by or contracted to us during the term that we provide Services to you or the prior 12 month period. 6.2 You warrant that throughout the term of these Terms that: (a) there are no legal restrictions preventing you from agreeing to these Terms; (b) you will cooperate with us and provide us with information that is reasonably necessary to enable us to perform the Services as requested by us from time to time, and comply with these requests in a timely manner; (c) the information you provide to us is true, correct and complete; (d) you will not infringe any third party rights in working with us and receiving the Services; (e) you will inform us if you have reasonable concerns relating to our provision of Services under these Terms, with the aim that we and you will use all reasonable efforts to resolve your concerns; (f) you are responsible for obtaining any consents, licences and permissions from other parties necessary for the Services to be provided, at your cost, and for providing us with the necessary consents, licences and permissions; (g) you consent to the use of your name and Intellectual Property in relation to the Services in a way which may identify you; (h) you hold a valid ABN which has been advised to us; and (i) if applicable, you are registered for GST purposes.

YOUR OBLIGATIONS AND WARRANTIES. 5.1 You warrant that: (a) there are no legal restrictions preventing you from agreeing to these Terms; (b) you will cooperate with us, and provide us with information that is reasonably necessary to enable us to perform the Services as requested from time to time, in a timely manner; (c) the information you provide to us is true, correct and complete, including but not limited to plans and water point locations; (d) you will not infringe any third party rights in working with us and receiving the Services; (e) you will inform us if you have reasonable concerns relating to our provision of Services under these Terms, with the aim that the Parties will use all reasonable eorts to resolve your concerns; (f) you are responsible for obtaining any consents, licences and permissions from other parties necessary for the Services to be provided, at your cost, and for providing us with the necessary consents, licences and permissions; (g) You will ensure that, if the Services are to be performed on a property, you are authorised to occupy the premises and obtain the Services; (h) You will ensure that if the Services are to be performed on a property, that at all times the property is safe and that all facilities provided by you for the purposes of enabling the Services to be performed are also safe, including restraining any pets; (i) You will ensure that we have free and unimpeded access to the place in which the Services are to take place and that you will do all things to ensure that we are not delayed by maers within your control; (j) You accept that we have the right to impose stand down charges and recover additional costs incurred where work is delayed by reason not in our control and where we are unable to reasonably reschedule services; and (k) you will not employ, canvass, solicit, entice, induce or aempt to employ our employees or contractors.

YOUR OBLIGATIONS AND WARRANTIES. 4.1 You warrant that throughout the term of these Terms that: (a) there are no legal restrictions preventing you from agreeing to these Terms; (b) in attending sessions and/or group classes forming part of the Services you will conduct yourself in a respectful, courteous and non-judgmental manner; (c) the information you provide to us is true, correct and complete; (d) you will not tamper with or modify our website or Platform, knowingly transmit viruses or other disabling features, or damage or interfere with our website or Platform, including using by using trojan horses, viruses, piracy or programming routines that may damage or interfere with our website or Platform; (e) you will inform us if you have reasonable concerns relating to our provision of Services under these Terms, with the aim that the Parties will use all reasonable efforts to resolve your concerns; and

Exercise reasonable care and prudence, skill and foresight in granting credit to the Insured Buyers and continue to take all practicable measures available to you to prevent or minimize any loss which you or your group companies may have incurred or may be likely to incur (to you and / or us) with the same diligence as if were it not insured including any measures which we may require you to take, to B. Exercise the right to stop the goods in transit from being delivered and stop shipment of further consignments, to the Insured buyer or its group companies unless ECGC consents in writing to you (the Insured) on your request refraining from doing so, if during the course of transit of goods, it comes to your knowledge that - (i) the Insured Buyer has refused to honour its commitment under the contract or payments in respect of any of your earlier shipments to that Insured Buyer are remaining unpaid after its due date of payment; or (ii) you have knowledge of that Insured Buyer having failed and defaulted in meeting its obligations to any other supplier of goods or services; or (iii) the Insured Buyer has become Insolvent or you have received information to the effect that they are facing grave financial problem or are likely to be in Insolvency; or (iv) for; or (v) n of goods; or (vi) lead to any loss. D. Furnish in writing to us promptly with all such information as we may require at any time following our receipt of notification or with regard to the shipment of goods pertaining to the Insured Buyer and initiate such measures that we may require you to take with our prior written approval, wherever applicable. YOUR OBLIGATIONS AND WARRANTIES. You represent, warrant, acknowledge and agree that: (a) you have effected and will maintain appropriate insurance policies as required by law, for the duration of our provision of the Goods and Services under these Terms. You agree to provide us with evidence of such arrangements, if requested; (b) you (and any of Your Personnel) are not entitled to the benefit of any accident, third party liability, public liability or indemnity policies of insurance or workers compensation policies that we may hold; (c) there are no legal restrictions preventing you from engaging us, or agreeing to these Terms; (d) you have not relied on any representations or warranties made by us in relation to the Goods and Services (including as to whether the Goods and Services are or will be fit or suitable for your particular purposes), unless expressly stipulated in these Terms; (e) you will cooperate with us, and provide us with all documentation, information, instructions and access necessary to enable us to provide the Goods and Services, as requested by us, from time to time, and in a timely manner; (f) the information you provide to us is true, correct and complete; (g) you will not infringe any third party rights in working with us and receiving the Goods and Services; (h) you will provide us and Our Personnel with sufficient access to the Site and other facilities at the Site, to enable us to provide the Goods and Services (including at the dates and times that we may reasonably request); (i) you will ensure that the Site is safe and free from harm or risk to health or safety; (j) you are responsible for obtaining, and providing to us if necessary, any access, consents, licences, Approvals and permissions from other parties necessary for the Goods and Services to be provided, at your cost; (k) you are not and have not been the subject of an Insolvency Event; (l) if applicable, you hold a valid ABN which has been advised to us; and (m) if applicable, you are registered for GST purposes.
YOUR OBLIGATIONS AND WARRANTIES. Upon applying for the issuance of a certificate, you agree to: • Provide accurate and complete information in order to process the certificate issuance application; • Generate or have generated its cryptographic keys in a way that complies with the requirements of the applicable policy; • Review the certificate issued to it to determine the accuracy of the data contained in it and either accept the certificate or notify WISeKey or TuringSign of any modifications required. • Upon accepting the certificate issued to you, you warrant that: o The data contained in the certificate is accurate; o The private cryptographic key associated with the public key contained in the certificate has not been compromised; o You shall only use the cryptographic key pair and certificates in accordance with the applicable Certificate Policy; o You shall exercise reasonable care to maintain the security of the private cryptographic key associated with the public key contained in the certificate as well as avoid its unauthorized use; o You shall promptly notify WISeKey or TuringSign to suspend or revoke its certificate if you suspects or knows that your private key, the device it is stored in, or the PIN/Passphrase has been compromised, lost or its security is in any other way materially affected. o You shall follow the necessary procedures for the revocation of certificates in accordance with applicable practices and policies. o You shall pay the fees for the certification services provided in accordance with the applicable price list. • If you request to revoke your certificate, you need to specify the appropriate reason among these options: o “Key Compromise”: The certificate subscriber must choose the “key compromise” revocation reason code when they have reason to believe that the private key of their certificate has been compromised, e.g., an unauthorized person has had access to the private key of their certificate.
