BOARD MANAGEMENT RIGHTS. The Board retains each and every managerial prerogative, right, and privilege not expressly waived, modified or abridged by a specific provision of this Contract. Specifically, the parties agree that the Board has the unilateral right to exercise the following powers, the enumeration of which shall not constitute an exhaustive listing nor be indicative of the diminution of any other right, power, or privilege provided by law, including but not limited to:
A. The Board retains the right to direct its employees and to hire, retain, promote, demote, reprimand (orally or in writing), suspend, or discharge, or take any other disciplinary action which the Board shall deem reasonable and for which just cause shall exist.
B. The Board retains the right to direct the work of its Employees, to make, revoke, and modify the assignment and duties of its employees, at its discretion.
C. The Board retains the right to determine the school calendar, the curriculum, the materials which are to be used in the instructional programs established by the Board, and to take all such other action as the Board may deem necessary within its discretion to carry forth its mission; provided, however, that in the event that the exercise of such discretion shall impact on wages, hours, or other terms and conditions of the Employees covered by the Contract, then the Board shall bargain, upon demand and consistent with applicable law with the Union.
D. Nothing herein shall be construed as giving the Board the unilateral right to change, amend, delete or add to the specific terms of this Agreement unless that right is reserved in another part of this Contract.
BOARD MANAGEMENT RIGHTS. 1. The Board has the responsibility and shall exercise at all times its exclusive authority to manage and direct on behalf of the public all the operations and activities of the School District to the full extent authorized by law. The exercise of these powers, rights, authority, duties and responsibilities by the Board and the adoption of such policies, regulations and rules as it may deem necessary shall be limited only by the specific and express terms of this agreement, as entered in the Board minutes with the organization representing the Negotiating unit. The exercise of any of the foregoing management rights requires neither prior negotiation with, nor agreement of, Local #357.
BOARD MANAGEMENT RIGHTS. The Board has the responsibility and shall exercise at all times its exclusive authority to manage and direct the District in all operations and activities of the school district to the full extent authorized by law. The exercise of the powers, rights, authority, duties and responsibilities conferred upon the Board by law and the adoption of such policies, rules, and regulations as the Board may deem necessary shall be lawful and proper except to the extent that the exercise of any such authority, duties, or responsibilities is limited by a specific provision of this Agreement.
BOARD MANAGEMENT RIGHTS. The Board has the following enumerated rights, except as expressly and specifically modified by the express terms of this Agreement:

The exercise of these powers, rights, authority, duties and responsibilities by the Board and the adoption of such policies, regulations and rules as it may deem necessary shall be limited only by the specific and express terms of this agreement. For members of the bargaining unit hired after January 1, 2005, their paychecks shall be deposited directly to a bank of their choice subject to mandatory and authorized withholdings, contributions and deductions. All bargaining unit members are required to have their paychecks direct deposited into a bank of their choice.
BOARD MANAGEMENT RIGHTS. 1. The Board and Union agree to respect the responsibilities each has to itself and to the other in matters found within this Master Contract. The Board retains and reserves unto itself, without limitation, all powers, duties and responsibilities conferred upon and vested in it by the constitutions of the United States and the State of Ohio and all applicable statutes, including but not limited to, those rights and responsibilities set forth in ORC §4117.08 (C), to manage and direct, on behalf of the public, all operations and activities of the District to the fullest extent authorized by law and consistent with this Master Contract, and reserves the right to use discretion in exercising such rights and to adopt, rescind, or modify policies and rules in the course of exercising its powers, duties and responsibilities, except only as limited by the specific and express terms of this Master Contract.

B. These rights include: the right to manage and control school properties and facilities; select, assign and direct personnel; determine, manage and control the school curriculum; relieve employees from duties; take such action as it deems necessary to maintain efficiency in the operation of the school system; determine the methods, means and personnel by which the functions of the school district will perform.
BOARD MANAGEMENT RIGHTS. A. Except as specifically modified by this Agreement, the Board retains, without limitations, all powers, rights and authority vested in it by laws, and the rights of an employer to manage the schools under its direction.
B. These rights include: the right to manage and control school properties and facilities; select, assign and direct personnel; determine, manage and control the school curriculum; relieve employees from duties; take such action as it deems necessary to maintain efficiency in the operation of the school system; determine the methods, means and personnel by which the functions of the school district will perform; and to adopt, modify, discontinue and enforce rules, policies and procedures for performance, discipline and safety.
BOARD MANAGEMENT RIGHTS. A. The Board, on its own behalf and on behalf of the electors of the District, hereby retains and reserves unto itself, without limitation, all powers, rights, authority, duties, and responsibilities conferred upon and vested in it by the laws and the Constitutions of the State of Ohio and of the United States, including but without limiting the generality of the foregoing, the right:
1. to the executive management and administrative control of the school system, its properties and facilities; and of the educational employment activities of its employees;
2. to hire all employees and, subject to the provisions of law, evaluate training and experience for initial placement on the salary schedule, to determine their qualifications and the conditions for their continued employment, dismissal, demotion, promotion, or transfer of all such employees as in accordance with this Agreement;
3. to establish grade levels and courses of instruction, including special programs, and to provide for athletic, recreational, and social events for students, all as deemed necessary and advisable by the Board; and
4. to all matters pertaining to wages, hours, or terms and other conditions of employment and the continuation, modification, or deletion of an existing provision of a collective bargaining agreement are subject to collective bargaining between the public employer and the exclusive representative, except as otherwise specified in this Article.
B. Unless agreed otherwise in this collective bargaining Agreement or prohibited by State Statute, nothing in Chapter 4117 of the Ohio Revised Code impairs the right and responsibility of the Board to:
1. determine matters of inherent managerial policy which include, but are not limited to areas of discretion or policy such as the functions and programs of the public employer, standards of services, its overall budget, utilization of technology, and organizational structure;
2. direct, supervise, evaluate, or hire employees;
3. maintain and improve the efficiency and effectiveness of governmental operations;
4. determine the overall methods, process, means, or personnel by which governmental operations are to be conducted;
5. suspend, discipline, demote, or discharge for just cause, or layoff, transfer, assign, schedule, promote, or retain employees;
6. determine the adequacy of the work force;
7. determine the overall mission of the employer as a unit of government;
8. effectively manage the work force; and
