Co-Applicants. If the Agreement is signed by two or more Applicants, it shall be the joint and several obligation of each. Bank shall designate in the Credit as account party and as Applicant, who without joinder of the account party shall have the exclusive right to issue all instructions on any matters relating to the Credit. If the foregoing information is left blank or incomplete, the Bank at its discretion may accept an Application, or seek instruction, from any Applicant regarding a Credit, including, without limitation, any amendment thereto or waiver of any discrepancy thereunder, and until Bank at the office at which the relevant Credit is issued actually receives written notice of revocation, each Applicant shall be bound by and hereby affirms the instructions of the other.

Co-Applicants. (a) If this Agreement is signed by two or more Persons (each a “Co-Applicant”), then the term “Applicant” shall mean each such Person and all such Persons shall be jointly and severally liable for all obligations of the “Applicant” hereunder and in respect of the Letters of Credit issued pursuant hereto. Any Co-Applicant shall have the right to issue all instructions relating to Letters of Credit (including, without limitation, instructions as to the disposition of documents and waiver of discrepancies) and to agree with the Bank upon any amendment, extension, renewal or modification of, or change in the amount of, any Letter of Credit, and such instructions and agreements shall be binding upon all Co-Applicants. Each Co-Applicant shall be bound by (i) any notice from the Bank to any other Co-Applicant, (ii) any other Co-Applicant’s settlement or release of any claim against the Bank arising under this Agreement and (iii) any default under this Agreement attributable to any other Co-Applicant. (b) Each Co-Applicant agrees that if at any time all or any part of any payment theretofore applied by the Bank to any of the Liabilities is or must be rescinded or returned by the Bank for any reason whatsoever (including the insolvency, bankruptcy or reorganization of any Co-Applicant), such Liabilities shall, to the extent that such payment is or must be rescinded or returned, be deemed to have continued in existence, notwithstanding such application by the Bank, and the obligations of such Co-Applicant with respect thereto shall continue to be effective or be reinstated, as the case may be, as to such Liabilities, all as though such application by the Bank had not been made. (c) The Bank may, from time to time, in its sole discretion and without affecting the obligation of any Co-Applicant, take any or all of the following actions: (a) retain or obtain the primary or secondary obligation of any other obligor, in addition to such Co-Applicant, with respect to any of the Liabilities, and take any security for the obligations of any such other obligor, (b) extend or renew any of the Liabilities for one or more periods (whether or not longer than the original period), alter or exchange any of the Liabilities, or release or compromise any obligation of any other Co-Applicant or any obligation of any nature of any other obligor with respect to any of the Liabilities, (c) release its security interest in, or surrender, release or permit any substitution or exchange for,...

Co-Applicants. A. The Co-Applicants (all Partners except C/CAG, which is the Lead Applicant) verify that each has the staff capacity, expertise, and abilities to perform the duties and responsibilities outlined below and as further detailed in the Project Work Plan in Exhibit B, and commits to fulfilling these duties and responsibilities: a. To further support the goals and deliverables of the Project, the Co-Applicants will provide subject area technical expertise in the following areas: a) BAWSCA will provide technical input and expertise on regional and local water supply policies, regulations, programs and infrastructure related to regional water supply, water conservation and water reliability strategies, climate resilience, and interagency coordination and collaboration. b) City of San Bruno will provide technical input and expertise on local and regional stormwater policies, regulations, programs and infrastructure, as well as community-specific climate resilience challenges and opportunities, related to storm drain systems, green stormwater infrastructure, climate resilience, water supply, and sanitary sewer systems in the San Bruno Creek Watershed area. c) City of South San Francisco will provide technical input and expertise on local and regional sanitary sewer policies, regulations, programs and infrastructure, as well as community-specific climate resilience challenges and opportunities related to sanitary sewer systems in the San Bruno Creek Watershed area and for the sewer collection system serviced by the South San Francisco-San Bruno Water Quality Control Plant. d) Climate Resilient Communities will provide technical input and expertise on regional and local equity and social justice policies, regulations, and programs, as well as community-led strategies to address historic underinvestment and inequity...

Co-Applicants. By executing this Agreement, the Co-Applicants agree that they serve as Co-Applicants, with the City serving as a Lead Applicant, for the submission of the TCC Proposal. Co-Applicants will lead in one or more of the TCC Proposal projects and transformative elements, based on the categorization of the projects and transformative elements for which they are confirmed lead (see Appendix A}, and will actively engage across all the transformative elements. As project or transformative element leads, the Co-Applicants commit to all duties and responsibilities corresponding to the Co- Applicant role and the execution of the respective goals and strategies associated with the TCC Proposal for the length of the TCC Grant term. Submitting all required documents and reports to the Lead Applicant in a timely fashion, including financial, management and project status activity reports; and f. Coordinating the services and activities included in their workplan, indicator plan and budget.
