ELEMENTARY PARENT CONFERENCE TIME. 31.1 For grades kindergarten through six, the parties agree to schedule four (4) early dismissal half-days and one (1) evening in January and three (3) early dismissal half-days in October for the purpose of conferencing with parents regarding an individual student. Conferences shall be scheduled for all parents during each conference period. The evening of parent conferencing in January is recognized as a trade for an early dismissal of staff and students on the day before Thanksgiving. 31.2 For half-day Kindergarten classes, students shall attend school on the same schedule as grades one through six and the District shall pay teachers at per diem for conferencing during the other half of the day on the days identified in Section 31.1. For those half-day kindergarten teachers who are unavailable to conference during regularly-scheduled parent conference time, a substitute will be provided to release them to conduct conferences. If any teacher is assigned AM and PM Kindergarten classes, the District and the Association shall meet and agree upon an alternative instruction and conference solution. 31.3 Classroom teachers (K-6) with more than 30 parent conferences shall be provided with an additional 90 minutes of substitute time. Classroom teachers (K-6) with more than 33 conferences shall be provided with a half-day substitute. 31.4 The District agrees to provide upon request of the teacher and building administrator additional released time for parent conferencing for special student needs.

ELEMENTARY PARENT CONFERENCE TIME. A. The District will provide conferences and written reports for parents of K-5 students through the following procedures: 1. Elementary schools will provide Grade K-5 parents with one formal conference each year. Parent conferences can be scheduled during Mission Defined Staff Designed time on Wednesday afternoon. In addition, three (3) half-days will be provided for parents to conference with half day kindergarten, full day kindergarten and Grade 1-5 teachers in the fall. (See Part 6 below for more information on kindergarten conferences). Staff may provide parents with the option of electronic conferences (computer or telephone) rather than face to face. Those parents who spend regular time in the classroom may determine that a formal conference is not necessary. 2. To accommodate parent schedules, K-5 teachers may schedule conference appointments during conference days, before or after school, or in the evenings. During the conference schedule teachers may choose to conference before or after school or in the evenings without additional compensation. In the event that conferences are held outside of the workday to accommodate parents, up to six (6) hours per year of Wednesday collaborative time may be taken as compensatory time (see Section 2.3.4). Every effort should be made to schedule sibling conferences on the same day. 3. For each student beyond twenty-four (24) that a teacher conferences, the District will provide the teacher either one (1) hour of release time or one (1) hour of per diem pay. If, due to family circumstances, the teacher is requested to schedule two separate conferences for the same student, each conference shall count as one in the District’s formula for allocating release time and/or pay.   • Pro Forma Financial Information The pro forma financial statements included in the Registration Statement, the Time of Sale Disclosure Package and the Final Prospectus include assumptions that provide a reasonable basis for presenting the significant effects directly attributable to the transactions and events described therein, the related pro forma adjustments give appropriate effect to those assumptions, and the pro forma adjustments reflect the proper application of those adjustments to the historical financial statements amounts in the pro forma financial statements included in the Registration Statement, the Time of Sale Disclosure Package and the Final Prospectus. The pro forma financial statements included in the Registration Statement, the Time of Sale Disclosure Package and the Final Prospectus comply as to form in all material respects with the application requirements of Regulation S-X under the Exchange Act.

  • Additional Financial Information The Company shall provide Parent with the Company’s audited financial statements for the twelve month periods ended December 31, 2022 and 2021 consisting of the audited consolidated balance sheets as of such dates, the audited consolidated income statements for the twelve month period ended on such date, and the audited consolidated cash flow statements for the twelve month period ended on such date (the “Year End Financials”). Subsequent to the delivery of the Year End Financials, the Company’s consolidated interim financial information for each quarterly period thereafter shall be delivered to Parent no later than forty (40) calendar days following the end of each quarterly period and consolidated interim monthly information for each month thereafter shall be delivered to Purchaser no later than 20 days following the end of each month (the “Required Financial Statements”). All of the financial statements to be delivered pursuant to this Section 7.3, shall be prepared under U.S. GAAP in accordance with requirements of the PCAOB for public companies. The Required Financial Statements shall be accompanied by a certificate of the Chief Executive Officer of the Company to the effect that all such financial statements fairly present the financial position and results of operations of the Company as of the date or for the periods indicated, in accordance with U.S. GAAP, except as otherwise indicated in such statements and subject to year-end audit adjustments. The Company will promptly provide with additional Company financial information reasonably requested by Parent for inclusion in the Proxy Statement and any other filings to be made by Parent with the SEC.

  • SPECIAL CONFERENCES Special conferences for important matters may be arranged between the Union and the designated representative of the Board upon the request of either party.

  • Parent Information The information relating to Parent and its Subsidiaries to be contained in the Proxy Statement and the S-4, or in any other document filed with any other regulatory agency in connection herewith, will not contain any untrue statement of a material fact or omit to state a material fact necessary to make the statements therein, in light of the circumstances in which they are made, not misleading. The Proxy Statement (except for such portions thereof that relate to the Company or any of its Subsidiaries) will comply with the provisions of the Exchange Act and the rules and regulations thereunder.
