Learning Services. Customer undertakes to acquire and maintain the competence necessary to enable it to use the PeopleDoc Solution. For this purpose, PeopleDoc recommends Customer to subscribe to the Learning Services for Customer personnel. Where applicable and as specified in the Order Form, Learning Services will be subject to Exhibit F.
Learning Services. As part of the Learning Materials, and subject to this Agreement, Vlocity may make available the Vlocity online industry vertical application (the “Learning Services”) within a complimentary Xxxxxxxxxx.xxx account for a limited period of time (e.g., 30 days) to be used by Customer Users in connection with and as part of the Learning Materials. Notwithstanding anything to the contrary, the Learning Services are provided “as is” with no warranty. Any data entered into the Learning Services, and any customizations made to the Learning Services, during Term will be permanently modified or lost upon termination of each Learning Services instance. The Learning Services may not be used for production purposes and only with dummy data. For clarification, the Learning Materials includes the Learning Services but does not include certification testing or rights, which are provided pursuant to separate terms to individual applications.
Learning Services. SunSpectrumSM eLearning Library Plan. Sun will provide Customer access to select education modules from the SunSpectrum eLearning Library plan for training. Available training modules can be found at xxxx://xxx.xxx.xxx/training/sunspectrum.html. Sun Learning Service Credits. (See Note 1) Sun will designate and deliver a set of educational services designed to help improve employee technical competency during each twelve month period Customer's support contract is in effect. Each such set must be used within that twelve month period. These educational services will focus on understanding a Customer's existing skills, assessing Customer's learning needs, and delivery of blended learning services that help address the identified needs. The educational services delivered may include any service from Sun's complete education portfolio (excludes Corporate Learning Pass). The number of credits will not exceed the greater of 2% of the Customer's annual contract value or $50,000 (or equivalent in local currency) in any 12 month period.
Note 1: Sun Learning Service credits will be delivered to Customer when its support contract meets an annual SunSpectrum plan contract value minimum. A support contract value is determined by calculating the net annual SunSpectrum plan contract value for all Covered Systems on one service contract. If Customer's support contract does not meet the annual minimum contract value, these educational services will not be provided. Customer may go to xxxx://xxx.xxx.xxx/service/support/localinfo.html to view the applicable contract value minimum or contact its Sun sales representative for more information.
Learning Services. 9.1 If agreed, Studytube will provide the Client with Learning Service(s).
9.2 Requests for a Learning Service will only be processed if they are submitted via the designated online request form.
9.3 Studytube's customer service desk is available during Working Hours. The response time for the Learning Service is 16 Working Hours.
Learning Services. 2.1. All Learning Services shall be as specified in the Order.
2.2. Learning Services provided under an Order may consist of a combination of Supplier Learning Services, Bespoke Learning Services and/or Third Party Learning Services.
2.3. The terms in this Condition 2 apply to all Learning Services.
2.4. Each Order for Learning Services may be subject to:
2.4.1. web portal access terms and conditions which must be accepted by the Customer’s Learners; and
2.4.2. Joining Instructions provided by the Supplier to the Customer’s Learners, and Learners must comply with such terms in order to access Learning Services and the Customer will be responsible for the Learners compliance with the same.
2.5. The Customer shall only use Learning Services for the Customer's own internal business purposes and shall not be entitled to commercially exploit or resell Learning Services.
2.6. The Customer shall reimburse the Supplier for such additional travelling, subsistence and other expenses as are properly incurred by the Supplier in the performance of its duties under an Order provided that all such costs and expenses shall be agreed in advance with the Customer.
2.7. Where the Customer orders a predefined selection of bundled Learning Services at a fixed price (a "Bundle"):
2.7.1. Learning Services within a Bundle are, unless otherwise agreed in writing by the Supplier or unless specified otherwise within these Terms, allocated to a particular Learner and such allocation cannot be transferred to any other Learner or individual;
2.7.2. the Customer may not modify the Learning Services within a Bundle, and may not exchange Learning Services within a Bundle for other Learning Services; and
2.7.3. each Bundle is valid for twelve (12) months. The Customer may only use the Learning Services within a Bundle during the twelve (12) month period immediately following the Order Start Date of the relevant Order. Any Learning Services within a Bundle that remain unused will expire on the Order End Date and shall be deemed used.
2.8. The Supplier reserves the right to cancel, re-schedule, change course content or venue, deliver virtually/online/remotely, discontinue or limit the size of training courses or events, in which case:
2.8.1. it shall promptly notify the Customer and the Supplier shall use commercially reasonable endeavours to ensure any changes do not impact the quality of the Learning Services provided; and
2.8.2. in the event of cancellations, if the Supplier does not...
Learning Services. Learning Partner must provide all services marked with a number in the Partner Profile Criteria. A Learning Partner must qualify for all Learning Services meeting the CLP Program Requirements, which are located xxx.xxxxx.xxx/xx/xxxxxxxxxx.

HealthStream hereby agrees to maintain, at its cost, Gateways on the World Wide Web so that Authorized Users may access, register for and take courses (the "Learning Services") through the use of a password on the Gateway. The Learning Services provided hereunder will enable each Authorized User to:
A. Register on the Gateway; B. Search, select, enroll and take courses; C. Take exams and have exams graded and scored; D. Access a personalized educational transcript that documents each Authorized User's completed courses, completion dates and test scores (the "Educational Transcript"); E. Utilize the LMS; and F.
Learning Services. Subject to the payment by Customer to Talend of applicable fees, Talend will provide Customer with the Learning Services specified in the Order Form. Learning Services shall be provided on an annualized subscription basis during the Subscription Term, as set forth on the applicable Order Form. All access and resources provided with a Learning Services may only be consumed during the Learning Subscription Term. Talend reserves the right to modify the contents of the Learning Services from time to time, in its sole discretion.

HealthStream hereby agrees to maintain, at its cost, Gateways on the World Wide Web so that Authorized Users may access, register for and take Courseware (the "Learning Services") through the use of a password on the Gateway. The Learning Services provided hereunder will enable each Authorized User to:
A. Register on the Gateway, subject to restrictions; B. Search, select, enroll and take Courseware, subject to restrictions; C. Take exams and have exams graded and scored; and D. Access a personalized educational transcript that documents each Authorized User's completed Courseware, completion dates and test scores (the "Educational Transcript").
