Operational Terms and Conditions. 4.1 You shall be responsible for: 4.1.1 providing ready access to our authorised personnel to your premises and associated facilities for the purposes of installation, management, configuration and repair of the ME Service pursuant to an Order at such times as may be reasonably requested by us. Any failure to provide such access promptly or any, in our opinion, undue obstruction of any of our personnel, shall not constitute a material breach on our part of the relevant Order; 4.1.2 providing at your own cost, suitable space and appropriate conditions including power supply for our equipment associated to the ME Service; 4.1.3 providing your own cross-connects to connect the ME Service to your equipment,as well as all media converters, other active electronics, power supplies and ongoing maintenance, operation and management of such equipment that are beyond the demarcation locations as specified in the Application Form to which such Order relates; 4.1.4 not tampering, modifying, damaging, removing and equipment that may cause interruption, disruption, instability, congestion to the ME Service. In such event, you will be in material breach of the Order and will not be eligible for any Service Credit Rebate and may also be liable for the cost to replace any damaged equipment; 4.1.5 any activity (including operation, maintenance and management) beyond our demarcation location; 4.1.6 patching and maintenance of its cross-connects from our demarcation to your equipment in accordance to standard IEC 00000-0-00 for fibre-optic connections; 4.1.7 procuring and maintaining, at your own expense, all and any equipment or software you need to implement and use the ME Service, unless otherwise agreed in writing with us; 4.1.8 ensuring that any terms and conditions of use of the ME Service are brought to the attention of, and complied with by, any person that you permit or allow to use the ME Service, and you shall indemnify us against any and all claims from such persons arising from the said use. 4.2 We shall be responsible for the maintenance of the ME Service pursuant to an Order in between the demarcation location. 4.3 Either Party detecting a Fault in the ME Service or any Party’s cross-connects shall notify the other Party as soon as reasonably possible. Operational Terms and Conditions. 1. If this order is for medical equipment, the Supplier must comply with the following medical equipment conditions and specifications. These conditions are intended to insure that the Buyer and Supplier both understand the Supplier’s responsibility to provide necessary information and permit the user to deliver quality health care in a safe, efficient and cost effective manner. These conditions of sale are part of the request for quotation, purchase order or release. A. The equipment shall pass an electrical leakage test. American National Standard for safe current limit for clinical equipment, ANSI AAMI SCL 12-788. B. The equipment shall be supplied with a standard N.E.M.A. or UL approved 3-wire power line cord with a Hospital grade plug. C. The equipment shall pass all specification tests as advertised by the manufacturer of the equipment. All tests will be performed in the biomedical electronics laboratory of the Buyer by the Buyer’s bio-medical electronics laboratory staff and must meet all OSHA, NFPA 76B, National and State code requirements. X. Xxxxx shall have a sixty (60) day trial period in which to determine whether the equipment is entirely satisfactory, the trial period to run from the date of receipt of equipment by Buyer. The equipment must prove entirely satisfactory to the Buyer or the Buyer shall repack the equipment in the same condition as received, ordinary wear and tear accepted, and return to Supplier at Supplier’s expense. E. Supplier must furnish copies of operational manuals, copies of schematic drawings, maintenance service manuals, and parts lists. This material to precede or to be delivered with equipment. Supplier shall provide the necessary servicing and training on the equipment. F. If applicable, the vendor complies with FDA 510(k) and Good Manufacturing Practice (GMP)/Quality System requirements. 2. Supplier will not ship prior to any specified date, unless otherwise notified. If prices are higher than specified, Supplier will not ship but shall advise Buyer first. 3. It is agreed that goods ordered shall comply with all laws relative thereto and applicable Joint Commission standards and that Supplier will defend and save harmless the Buyer from loss cost of damage by reason of actual or alleged infringements of letters patents concerning same. 4. Operational Terms and Conditions. 6.1 You shall be responsible for: 6.1.1 providing your own cross-connects to connect the IDCI Service to your equipment, as well as all media converters, other active electronics, power supplies and ongoing maintenance, operation and management of such equipment that are beyond the demarcation locations to which such Order relates; 6.1.2 any activity (including operation, maintenance and management) beyond our demarcation location; 6.1.3 patching and maintenance of your cross-connects from our demarcation to your equipment; 6.1.4 procuring and maintaining, at your own expense, all and any equipment or software you need to implement and use the IDCI Service, unless otherwise agreed in writing with us; 6.1.5 ensuring that any terms and conditions of use of the IEPL Service are brought to the attention of, and complied with by, any person that you permit or allow to use the IDCI Service, and you shall indemnify us against any and all claims from such persons arising from the said use. 6.1.6 ensuring that your installation address is ready, otherwise you are advised not to submit the order. We shall not be responsible for any failure or delay in the provisioning of the service if your installation address is not ready. 6.2 We shall be responsible for the maintenance of the IDCI Service pursuant to an Order in between the demarcation locations. 6.3 Either Party detecting a Fault in the IDCI Service or any Party’s cross-connects shall notify the other Party as soon as reasonably possible. Your contact details shall be set out in the customer portal. 6.4 You acknowledge and agree that the technical means by which we supply the IDCI Service is entirely at our sole discretion. 6.5 We shall be entitled to conduct such audits and tests, at our cost, on the IDCI Service pursuant to an Order on such dates and times as shall be agreed between the Parties (which you shall not unreasonably withhold or delay), for the purpose of ensuring that the terms of this Specific Terms and the Order are strictly adhered to. 6.6 We reserve the right to cancel the order after 30 working days if we do not receive any response from you or you keep delaying or postponing our installation appointment(s) for the service. Cancellation or termination charge will be applicable dependent on what works has been done (eg. fibre, termination point, demarcation device or ONT).

We may also accept instructions from a person who we reasonably believe is acting with your authority. 6.1.2 Assuring that only you or your designated users will access the Service and that you and all your users shall not share user IDs, passwords or other methods for accessing the Service with individuals who are not the designated users of the access provided by us. 6.1.3 Taking all reasonable steps to prevent unauthorised access to the Service. 6.1.4 Performing firewall policy changes if Administrative Access is subscribed. 6.2 If you become aware of any use of the Service that violates the requirements of Clause 6.1 above, you must take prompt action to suspend your use of the Service. We may ask you to take action within a certain time period. If you fail to comply with our request we may suspend your account. 6.3 Where you require a change to your Service’s policy settings, including password reset, you may request additions, deletions, or modifications to your Service via an application form and we will provide you with the means to request Soft Changes. Such requests shall be subject to additional charges and lead time. If Administrative Access is subscribed, we will not accept Soft Change requests from you under this Specific Terms. 6.4 Either Party detecting a Fault in the Service shall notify the other Party as soon as reasonably possible. You will reasonably cooperate with us in respect of any fault investigation pertaining to the Service or cyber-attacks. 6.5 You agree to cooperate with us to prioritize restoration of the affected Internet Service or IPVPN as necessary in the event of a Fault. 6.6 Any Service failure such as Fault, missed events or increased false positives due to changes to the system configurations requested by you is your sole responsibility. Any Charges for rectifying such failure caused by you or any third parties will be borne solely by you. 6.7 We reserve the right to immediately stop any ongoing mitigation initiated by you, if any, with or without notice to you, if we determine in our absolute discretion that such mitigation will or may affect the Service's infrastructure, and/or the Network. CLEC agrees to enter into traffic exchange agreements with third-parties prior to routing any Transit Traffic to CenturyLink for delivery to such third parties, and CLEC will indemnify, defend and hold harmless the Transit Service provider against any and all charges levied by such third-party terminating carrier with respect to Transit Traffic, including but not limited to, termination charges related to such traffic and attorneys’ fees and expenses.
