RESERVATION TO MANAGEMENT. 5.01 The Union recognizes and acknowledges the right of the Company to operate and manage its business in all respects in accordance with its obligations and in accordance with legislation and regulations from time to time in force under governmental authority and without limiting the generality of the foregoing the Union acknowledges that it is the exclusive function of the Company to, (a) hire, promote, demote, transfer, classify, layoff, recall and retire employees, and also the right of the Company to maintain order, discipline and efficiency and in connection therewith to make and alter from time to time Company rules and regulations to be observed by employees; discharge any employee for just cause, subject to the rights of the employee concerned, who has acquired seniority, to lodge a grievance in the manner and to the extent herein provided. The Company agrees that alterations, amendments or additions to rules and regulations will be posted on bulletin boards for the information of all employees and a copy shall be forwarded to the Bargaining Unit concerned. (b) Determine the work to be performed, the methods and procedures to carry out such work, the job content, the qualifications to perform the work required, and the number of employees required to perform the work of the Company. 5.02 The Company agrees that it will not exercise its function in a manner inconsistent with the provisions of this agreement.

RESERVATION TO MANAGEMENT. 2.01 The Union agrees that Management of the Victoria Store has the right to plan, direct and control store operations. The right to hire and discipline, the direction of the working force, the discharge of Associates for just cause and those matters requiring judgment as to the competency and efficiency of Associates, are the sole right and function of the Employer. Promotions shall be entirely a matter for the Employer’s decision. The parties agree that the foregoing enumeration of the rights of Management shall not be deemed to exclude other recognized functions of Management not specifically covered by this Agreement. The Employer, therefore, retains all rights not otherwise specifically covered by this Agreement. The exercise of the foregoing rights shall in no way alter any of the provisions of this Agreement.

RESERVATION TO MANAGEMENT. 3.01 The Management of the business and the direction of the working force, including the right to plan, direct and control operations, to use improved methods and equipment, hire, suspend, transfer, promote, demote, discharge or discipline shall be vested in the Company subject to the provisions of the Agreement. 3.02 The Company will have the right to establish reasonable shop rules. The application of such rules shall be subject to the Grievance Procedure. 3.03 No work will be contracted out nor will management or any other person(s) perform any work which comes under the jurisdiction of this Labour Agreement except for the following: a) Instruction employee(s). b) An emergency. c) When regular employees are not readily available. d) Research and Development. e) Small shipments of 1,000 lbs. or less. 3.04 This Agreement contains all of the rights, terms and conditions of employment for the employees of the bargaining unit named herein.

In addition, the location of plants, the products to be manufactured, the schedules of production, the methods, processes and means of manufacturing are solely and exclusively the responsibility of the Company, saving as hereinafter provided. The Company also has the right to make and alter from time to time rules and regulations which shall not be inconsistent with the provisions of the Agreement. The Company will provide the Union Committee with advance notice of new rules or regulations prior to being implemented. 2.03 The Union, its members, servants or agents, shall not on company time or premises, conduct or attempt to conduct union activities except as herein expressly provided or as permitted by Management.

In addition, the location of plants, the products to be manufactured, schedules of production, the methods, processes and means of manufacturing are solely and exclusively the responsibility of the Company. 18.03 The Company also has the right to make and alter from time to time reasonable rules and regulations to be observed by employees, which rules and regulations shall not be inconsistent with the provisions of this Agreement. Any proposed change in rules and regulations will be discussed with the Negotiating Committee before being posted.

REPRESENTATION (a) The Company will a negotiating committee composed of one regular employee elected or duly ap- pointed by each local or unit to represent the union in any negotiations with the Company. Each Local or Bargaining Unit shall elect or appoint and the Company shall a committee to be known as the Griev- ance Committee composed of three members who represent at least two departments, the Local President or Bargaining Unit Chairperson and his/her designated alternate. It shall be the duty of each committee to receive all grievances of the members of the Local or Bargaining Unit it represents, and after due investigation and consideration of the pertinent facts, to determine whether the grievances submitted are bona fide and well-founded and are req- uired to be dealt with under the grievance procedure.
