Salary and other payments. 3.1 In respect of his employment in accordance with clause 2.4 above, the Company shall pay the Employee a salary of NIS 30,000 a month plus VAT, against a tax invoice that shall be issued by the Employee (hereinafter referred to as “the consideration”).
3.2 The consideration shall be paid to the Employee once a month, by no later than the 10th day of each Gregorian month, for the previous month.
3.3 Notwithstanding the provisions of clause 3.1 above, until the date on which the Company raises capital from an external investor, the Company shall pay the Employee, from the consideration, a sum of NIS 15,000 together with VAT, and the balance of the consideration shall accrue to the credit of the Employee and shall be paid to him after the raising of capital as aforesaid. After the raising of capital, the Company and the Employee shall agree on a salary increase, provided that the Employee, as the Company’s CEO, presents a business plan to the board of directors showing that it will be possible to pay him the increased salary.
3.4 In the event that, prior to the raising of capital mentioned in sub-clause 3.3 above, the Company faces a cash flow problem or other budgetary difficulties, the parties agree that the Company’s board of directors shall have exclusive authority to decide that instead of NIS 15,000 plus VAT, the Employee shall be paid NIS 10,000 plus VAT, and the balance of the consideration shall accrue to his credit as set forth in sub-clause 3.3 above.
3.5 It is agreed and warranted that the above consideration is the full consideration for the Employee’s engagement and is in the amount of the employer’s cost gross and embodies all the social and/or other benefits due to the Employee as an employee of the Company, including – and without derogating from the generality of the aforesaid – provisions for executive insurances, provisions for severance pay in accordance with section 28 of the Severance Pay Law, 5723-1963, provisions for pension funds and vocational studies funds, convalescence pay, sick leave pay, leave pay, redemption of sick pay, redemption of leave pay and any other consideration due to the Employee pursuant to the law. Salary and other payments. 4.1 The Employee shall be entitled to a base gross monthly salary in the amount of CZK 34,600 (Thirty Four Thousand and Six Hundred Czech crowns) for the work carried out hereunder (the “Salary”). 4.2 The Employee shall be entitled to options as outlined in the Groupon, Inc. Notice of Grant of Stock Options and Stock Option Agreement which will separately be provided to Employee.
4.3 The Employer shall pay from the Salary and other considerations granted to the Employee all deductions required under the applicable Czech laws. Further, the Employer may also withhold from the Salary and any other form of remuneration, all taxes required by federal, state, local or other laws of countries where the Employee travels for work. During the term of Employee’s employment, the Employee shall immediately inform the Employer of any changes which had or could have an impact on the advance payment of income tax in respect of income from “dependent activity” (in Czech: závislá činnost), social and health insurance and other similar payments.
4.4 The Employee has agreed with the Employer that the Employee’s Salary, as well as any other remuneration paid on the basis of or in line with this Contract, net of any potential deductions and other payments, paid to the Employee on the basis of or under this Contract, will be remitted to the Employee’s bank account maintained by a Czech bank, of which the Employee shall inform the Employer in writing within five (5) working days of the date of the commencement of the Employee’s employment hereunder.

Payment of bonuses and additional remuneration is decided by the Team management. Salary and other payments a) The Consultant’s annual salary shall be as follows (in June 2007 terms) and shall be implemented on a phased basis as set out at d) below:
i) for Type A Contracts a salary scale in four points as follows will apply: €222,000, €228,000, €234,000, €240,000;
ii) for Type B Contracts a salary scale in four points as follows will apply: €205,000, €210,000, €215,000, €220,000;
iii) for Type B* Contracts a salary rate of €190,000 will apply.
iv) for Type C Contracts a salary scale in four points as follows will apply: €160,000, €165,000, €170,000, €175,000.
b) The annual salary for Consultant Academics shall be as follows:
i) For a Professor (Type A Contract) a salary scale in four points as follows will apply: €272,860, €280,240, €287,620, €295,000.
ii) For a Professor (Type B Contract) a salary scale in four points as follows will apply: €265,650, €272,100, €278,550, €285,000
iii) For a Professor (Type B* Contract) a salary of €255,000 will apply.
iv) For a Professor (Type C Contract) a salary scale in four points as follows will apply: €219,450, €226,300, €233,150, €240,000
c) All serving Consultants who take up the offer of the Consultant Contract 2008 by 31st August 2008 will be assimilated to the maximum point of the applicable new salary scale.
d) The salary scales at a) and b) above will be phased on the following basis:
i) a 5% increase on the Consultant’s existing (June 2007) rate from the 14th of September 2007;
ii) half the balance16 from 1st June 2008;
iii) the remaining balance from 1st June 2009. These rates will attract a 2.5% Towards 2016 general round increase from the 1st of March 2008 and a further 2.5% Towards 2016 general round increase from 1st September 2008.
e) An allowance of €50,000 per annum will be paid to those Consultants appointed as Clinical Directors.
f) Saturday, Sunday and Public Holidays: Structured on-site attendance at weekends and on public holidays will be subject to the following premium payments:
i) Time + ½ on Saturdays
ii) Double time on Sundays and Public Holidays
g) Continuing Medical Education The CME allowance will be increased to €3,000 with effect from the 1st June 2008. Payment will continue to be on a vouched basis, to be adjusted in line with the Consumer Price Index (C.P.I.). This allowance may be carried over annually for a maximum of five years.

4.2 The Employee shall be entitled to Restricted Share Units ("RSUs") as outlined in the attached Equity Side Letter and an Award Agreement which will be separately provided to Employee via Fidelity.
4.3 The Employee shall be eligible for a 2023 annual target bonus of 100% of Employee’s Salary, pro-rated for service during the performance period, capped at 150% of the target bonus. The actual amount of the bonus pay out, if any, will be based on specific performance objectives to be established and certified by the Compensation Committee of the Groupon, Inc. Board of Directors (“Compensation Committee”). Final determination of any bonus pay out is at the discretion of the Compensation Committee. As such, any bonus pay out is not guaranteed. After Employee’s Start Date, Employee will receive the terms and conditions of the 2023 bonus as soon as administratively possible.
4.4 The Employer shall pay from the Salary and other considerations granted to the Employee all deductions required under the applicable Czech laws.
