Transitioned Personnel. (a) Subject to subsection (b) below, First Data shall make offers of employment to all non-exempt Capital One employees performing Production Services-related functions as of the Effective Date and who are located at the Capital One facilities set forth in Attachment C-1 to Schedule C and at Capital One’s West Creek campus in Glen Allen, Virginia. The terms of such employment offers shall be consistent with the requirements set forth in Schedule E (Employment Terms) but shall otherwise be within First Data’s discretion. Capital One will provide First Data such reasonable assistance as may be necessary for First Data to make such offers and the parties shall coordinate such offers through the Capital One career center. (b) Transitioned Employees will be subject to First Data’s generally applicable employment standards with respect to background checks and drug screens (at First Data’s expense). First Data shall not be obligated to offer employment with First Data to any Affected Employee who does not satisfy such standards. Any Transitioned Employee who does not satisfy such standards may be terminated by First Data in accordance with First Data’s then applicable policies.

Transitioned Personnel. (a) Promptly after the Effective Date, Vendor will offer employment to “Potentially Rebadged Employees” identified in Schedule T (Human Resources). “Rebadged Employees” shall mean those Affected Employees who receive and accept such offers and become employed by Vendor effective as of such Service Tower Commencement Date or such other date as to which the Parties agree. The provisions of Schedule T (Human Resources) shall apply to all Affected Employees.

Transitioned Personnel. (a) IBM shall interview all of the Empire employees listed in Schedule D- I ("Affected Employees"), shall extend offers of employment to the Key Transitioned Employees, and shall extend offers of employment to as many other Affected Employees as possible, all by the date that is forty-five (45) days after the Effective Date. Such employment as set forth in the previous sentence shall be effective on or before such times as specified in Schedule D, including its Attachments. IBM shall also, on a good faith basis, determine if any Affected Employees have the skills and services which IBM can utilize for other IBM customers, and IBM may extend job offers to such employees. IBM shall keep on file, for a period of at least six (6) months after the Effective Date, the employment applications of all Affected Employees to which IBM does not extend offers of employment. "Transitioned Employees" shall mean Affected Employees who accept IBM's offer and become employed by IBM effective as of a date as to which the Parties mutually agree. Terms for offers of employment to Affected Employees and for employment of Transitioned Employees shall include those set forth in Schedule D.

Transitioned Personnel. (a) Within fifteen (15) days after the Effective Date, TAG will offer employment with TAG to the LMG employees identified in Exhibit K (“Transitioned Personnel”). All offers of employment shall be (i) in accordance with TAG’s standard conditions, including background checks and drug tests, (ii) for employment at will with TAG in positions comparable to those held by such employees at LMG, (iii) with initial base wages or salaries, and employee benefits that, in the aggregate, are comparable to that paid or provided to such personnel as of the date of such offers, (iv) consistent with the terms of employment set forth in Exhibit K, and (v) for employment commencing on a date determined by TAG but, unless otherwise agreed by the parties, not later than January 1, 2008. LMG will cooperate with TAG in connection with such offers and the transition of the Transitioned Personnel to TAG. Without limitation, subject to applicable Law, TAG will have reasonable access to the facilities and (subject to the employee’s execution of an appropriate authorization form) personnel records (including performance appraisals, disciplinary actions and grievances) of LMG for the purpose of preparing for and conducting employment interviews with all Transitioned Personnel. LMG will not make any representations or other statements to the Transitioned Personnel relating to the terms of their employment by TAG. (b) It is understood and agreed that (i) TAG’s obligations under this Section 4.1 do not constitute any commitment, contract or understanding (expressed or implied) of any obligation on the part of TAG to a post-Effective Date employment relationship of any fixed term or duration, (ii) employment offered by TAG is “at will” and may be terminated by TAG or by an employee at any time, with or without notice, and with or without any reason, and (iii) nothing in this Agreement prevents or restricts the right of TAG to terminate, reassign, promote, demote, or take any other employment action against any of the Transitioned Personnel after the Effective Date or to change adversely or favorably the responsibilities, locations, salaries, other compensation or (subject to Exhibit K) terms or conditions of employment of such employees.
