Basic Services of Consultant. 2.1 With respect to each Assignment issued hereunder, unless expressly excluded in the particular Assignment, the following basic services shall be included and provided by CONSULTANT, in addition to those specified in the particular Assignment.
2.1.1 Consult with TAMPA BAY WATER to clarify and define TAMPA BAY WATER’s requirements relative to each Assignment and obtain and review all available data.
2.1.2 Advise TAMPA BAY WATER if there is a need for TAMPA BAY WATER to provide or obtain special services from others, and/or additional data required in connection with each Assignment (which services and data CONSULTANT is not to provide hereunder but which CONSULTANT may utilize in performing services hereunder), and act, upon TAMPA BAY WATER’s written request, as TAMPA BAY WATER’s representative in connection with any such services or additional data to be provided by others.
2.1.3 Prepare and furnish five (5) copies of completed deliverables to TAMPA BAY WATER and, if requested by TAMPA BAY WATER, present them in person for review with TAMPA BAY WATER.
2.1.4 CONSULTANT agrees that to the extent any particular Assignment includes the involvement of CONSULTANT with a particular construction project identified in that Assignment, CONSULTANT shall review TAMPA BAY WATER’s applicable construction contract forms, and the services required of CONSULTANT under such Assignment, unless otherwise expressly noted in the subject Assignment, shall include all services required to be performed by the CONSULTANT under the applicable TAMPA BAY WATER construction contract form, the relevant portions of which shall be made part of any such Assignment.
2.2 Additional Services related to an Assignment, but not described therein nor in paragraph 2.1 above, shall be performed by CONSULTANT upon written request of TAMPA BAY WATER. Such Additional Services shall be provided by CONSULTANT for an additional fee as the parties may agree in writing prior to performance of such Additional Services.
2.3 In the performance of an Assignment, the hours CONSULTANT is to work on any given day will be entirely within CONSULTANT’s control and TAMPA BAY WATER will rely upon CONSULTANT to work such number of hours as is necessary to fulfill its duties and to perform the services required thereunder and hereunder with due diligence, to the best of its ability and in a professional and competent manner. Basic Services of Consultant. 2.1 Consultant shall be responsible for the complete design and documentation of the work described or referenced in this Agreement, and shall prepare the Work Product, which must be acceptable to the County Project Manager. Consultant shall also serve as County’s professional consultant during the Project phases to which this Agreement applies, and shall consult with and give advice to County during the performance of the Project.
2.2 Consultant shall perform the “Basic Services,” which means:
2.2.1 all elements of labor, materials and equipment required for the Project, which must be rendered to the satisfaction of the County Project Manager and the Commissioners Court and in accordance with the requirements, policies, and standard practices of Travis County;
2.2.2 the detailed Scope of Services for the Project as specified in Appendix A, attached to and made a part of this Agreement for all purposes (the “Scope of Services”);
2.2.3 all Project technical and management expertise stated in the Qualifications Statement submitted by Consultant in response to the RFQ attached to this Agreement as Appendix C and made a part of this Agreement for all purposes;
2.2.4 the Work Product, as defined herein, which Consultant shall submit to County for review at regular intervals, as specified in the Project Schedule to be provided by Consultant. The requirements applicable to the Project Schedule are specified in Exhibit 3.
2.3 Consultant shall comply with all applicable codes in performing the Basic Services for the Project. The standards, codes, specifications, or other technical, design or professional requirements that apply to this Project are the latest edition in effect on the date on which this PSA is executed, unless Consultant and County expressly agree otherwise. The applicable codes for this Project include, but are not limited to:
a. International Building Code with City of Austin amendments
b. International Fire Code with City of Austin amendments
c. Uniform Plumbing Code with City of Austin amendments
d. Uniform Mechanical Code with City of Austin amendments
e. International Energy Code with City of Austin amendments
f. National Electrical Code with City of Austin amendments
g. Texas Accessibility Standards
2.4 As part of the Basic Services, Consultant shall report to the County any suspected hazardous materials in the areas of proposed construction. Any hazardous materials assessment and abatement work will be provided by County under separate agreem...
Basic Services of Consultant. The CONSULTANT shall perform all services as outlined in EXHIBIT A, necessary for the completion of the above-described Project in conformance with the standard of care of design professionals in Illinois, defined as the same degree of care, skill, and diligence exercised in the performance of the services as is ordinarily possessed and exercised by a member of the same profession, currently practicing, under similar circumstances. CONSULTANT shall cooperate with any sub-CONSULTANT. Sub-CONSULTANT services shall be outlined in EXHIBIT A. CONSULTANT’s work shall meet the professional standard of care with applicable local, state, and federal requirements. At the option of the CITY, and if authorized in writing, the CONSULTANT shall furnish or obtain from others Additional Services upon mutually agreed terms and conditions and by means of a written addendum to EXHIBIT A. Work shall not proceed until written authorization from CITY is provided.
Basic Services of Consultant. In concert with this Section, the CONSULTANT will provide a written proposal, in the form of a Work Plan including level of effort (person-hours), total fee and schedule for each Task Order requested by the CITY where required. Upon CITY approval of the Work Plan a written Purchase Order will be provided to CONSULTANT authorizing the Work. This shall constitute the Basic Services. The total annual expenses authorized under this Agreement shall not exceed Five Million and No/100 Dollars ($5,000,000). Additional Services require authorization in advance and may be subject to additional time or fees over and above the Basic Services. Such Services result from significant changes in the scope, extent or character of the Task Order planned, designed or specified by CONSULTANT or, if appropriate, its design requirements including, but not limited to, changes in size, complexity, CITY’s schedule, character of construction; and revising previously accepted Reports, Drawings, Specifications or Construction Contract Documents when such revisions are required by changes in laws, rules, regulations, ordinances, codes or orders enacted subsequent to the preparation of such Reports, Drawings or Specifications due to causes beyond CONSULTANT’s control.
