Charter Trips. 1. Drivers shall be eligible for charter trips after ninety (90) working days. Substitute driving time shall be counted towards the 90-day waiting period. 2. Charter trips shall be posted on a weekly schedule with assignments being made once a week. 3. Charter trips which are scheduled after the posted trips have been accepted, shall also be posted as they become known. If a charter trip cannot be posted because of time limitations, the trip will be offered to the next available driver based on the rotation list. Every attempt will be made to give a driver twenty-four (24) hour notice. Non-posted trips which become available within one (1) hour of their actual start time shall not count as a trip for the purpose of counting time on the charter trip rotation list. All such trips will be paid at the driver’s regular rate if they occur during the driver’s scheduled regular run. 4. Charter trips shall be assigned to drivers on a rotating basis in accordance with the drivers' seniority and preference for said trips. When the seniority list has been exhausted from top to bottom, the rotation process will be started over again. 5. Drivers shall indicate their choice of a charter trip(s) at the time of bidding. 6. Except under extenuating circumstances, all drivers assigned to a charter trip shall provide twenty-four (24) hour notice when they are unable to take a trip. There shall be no trading of trips among drivers. 7. When a driver is assigned a charter trip which is cancelled but the driver is not notified prior to the beginning of the trip, the driver shall be compensated for one (1) hour. When the above occurs after 6 p.m. or on a weekend, the driver will be compensated for two (2) hours. 8. When two (2) charter trips overlap, but do not conflict with one another, they can be assigned to one driver provided they do not interfere with a regular bus run. 9. Except in the case of an emergency, when a driver fails to appear for an assigned charter trip, said driver shall forfeit his right to the next charter trip for which he is eligible. Thereafter, he may bid on a charter trip. 10. Drivers shall be compensated on a continuous basis from the time they leave the bus lot until they return to the bus lot for all trips which do not require the driver to stay overnight. 11. When a charter trip requires that a driver stay overnight, he shall be compensated for all driving time. Further, the Employer shall provide lodging and meals at or near the location of the acti...

Charter Trips. The following shall occur on rotation of Transportation Charter Trips: (1) A driver who, on the day of the charter, turns down a previously accepted charter, will be charged with twice the hours of that charter. (2) A driver who fails to report for a previously accepted charter will be charged with three times the hours of that charter.
Charter Trips. Each athletic activity will be entitled to use charter buses for trips up to two (2) times during the regular season and for each playoff game. Each non-athletic student activity will also be permitted to use charter buses two (2) times during the school year. Any charter bus trips above the amounts set forth in this Article will be discussed with the OAPSE President. The maximums shall only be exceeded based upon the mutual agreement of the Superintendent and OAPSE President or if state or federal law prohibits the use of regular buses for the trip.
Charter Trips. Charter trip duties, including, but not limited to, driving to and from field trips, over-night trips, student athletic or extracurricular events, shall be selected one-by-one by the bus drivers on a seniority basis. The hours worked while performing charter duties, including waiting time, shall be considered compensable. It is expressly acknowledged by the Parties to this Agreement that prior to August 1, 2007, the District utilized the services of a third party transportation provider to perform some charter trips. The Administration shall have the right to continue to utilize the services of a third party outside transportation company whenever it determines that the District lacks the necessary equipment or available staff for the aforementioned chartered events. 8.1 Family and Medical Leave

In order to guarantee no loss in pay when taking Charter Trips, drivers get their regular run rate plus the payment of the Charter Trip rate minus ½ hour when taking Charter Trips that begin early enough to cause the driver to lose their regular run pay. C. In order to guarantee no loss in pay when taking Charter Trips, drivers who will be gone all day on Monday-Fridays, will be paid for one run at the driver’s regular run rate, plus the payment of the Charter Trip Rate. D. The Board will negotiate, when necessary, Special Charter rates for extended-stay trips or trips with extenuating circumstances. E. There will be a minimum pay rate of two (2) hours for any Charter Trips that involve two or less hours. Also, there will be a minimum pay rate of one (1) hour of notification. F. A $25.00 premium will be paid for Charter Trips in excess of one hundred twenty five (125) miles one way. Chicago, Detroit and Cedar Point would be prime examples. G. For all out of town events, cost for tickets or admittance, up to a maximum of $35.00 for the bus driver(s) will be borne by the sponsoring group. Meal allowances are limited to: breakfast $6.00, lunch $7.00, and dinner $9.00. If a free meal is provided to the driver by a restaurant or by the Charter Trip activity, the meal allowance will be considered null and void. Meal receipts must be provided for reimbursement for reimbursement. H. A kindergarten driver will always be used for Kindergarten Round-Up, when and if the Kindergarten drivers are available.

Charter Trips. If your package trip involves a charter flight, or if your vacation involves an air-on1y charter flight, federal regulations require that you also sign the charter operator's participant agreement, which will be mailed to you. It is extremely important that you realize that, for charters: Departure rimes (both going and returning) can change at the last minute. These delays legally can be as much as 48 hours (approximately two days late). Your flight may be advertised as non-stop; however, the operator may legally change the routing and make intermediate stops at the last minute. The charter operator may legally-substitute types of aircraft and even airline at the last minute. Charter aircraft are generally not as comfortable as the scheduled aircraft. The charter operator generally takes no responsibility for baggage It is not unusual to have luggage misplaced. Charter trips have very stiff cancellation penalties. No one plans a trip with the idea of canceling; however, sometimes that becomes necessary and you must understand what to expect or not to expect in the way of refunds. Usually, no frequent flyer miles are accrued. Advance seat assignments are frequently not available.
Charter Trips. Charter trips are temporary run assignments, aside from regular run assignments, during which students are transported to an educational field trip, sports event, children’s theater, or special event. 6.1.5.6.1 All charter trips will be posted and interested drivers within job classification 13-511 and 14-512 must sign. Seniority and preference will be the ruling factor in assignment of charter trips. Provided, however, that no driver may be assigned a charter trip, without prior approval of the supervisor, that conflicts with that driver’s regular run unless the charter trip is posted as more than four (4) hours in duration. 6.1.5.6.2 A regular driver may sign for as many trips as he/she wishes but is permitted to take only two (2) trips per week according to seniority. Week is defined in 6.1.5.6.6. 6.1.5.6.3 No driver shall take two (2) trips on consecutive days or nights unless there is no other driver available. There shall be an emergency standby list created of drivers who will indicate interest in writing once each year to cover week-end driving which becomes available because of driver cancellation. Due to short notice on some occasions, the next senior driver must be available by the time needed for the emergency coverage of the trip. 6.1.5.6.4 Regular drivers shall indicate sequence choice when signing for more than one (1) trip. 6.1.5.6.5 Charter trips scheduled after posted trips have been assigned on the weekly schedule will be posted. Any regular driver may bid for such assignment. The assignment will be made at least twenty-four (24) hours before the trip is scheduled to leave. If the trip cannot be posted because of time limitations, the trip will be assigned to the most senior, eligible driver. The trip will be assigned to the senior eligible bidder, providing such bidder has not already taken two (2) trips during the week, or has not already taken a trip the day before the late posted trip. If the senior bidder has an assigned trip later in the week which would make him/her ineligible (i.e., more than two (2) trips during the week, or on consecutive days or nights), it is agreed that he/she would relinquish the trip which makes him/her ineligible. Trips that the successful bidder was previously assigned will be assigned to the senior bidder from the list of original bidders who meet the contractual language. 6.1.5.6.6 All regular drivers assigned to a trip must give twenty-four

As of the effective date of this Agreement, other than as publicly announced prior to such date and reflected in the Disclosure Documents (defined below) of the Company (i) there are no outstanding options, warrants, scrip, rights to subscribe for, puts, calls, rights of first refusal, agreements, understandings, claims or other commitments or rights of any character whatsoever relating to, or securities or rights convertible into or exchangeable for any shares of capital stock of the Company or any of its Subsidiaries, or arrangements by which the Company or any of its Subsidiaries is or may become bound to issue additional shares of capital stock of the Company or any of its Subsidiaries, (ii) there are no agreements or arrangements under which the Company or any of its Subsidiaries is obligated to register the sale of any of its or their securities under the 1933 Act and (iii) there are no anti-dilution or price adjustment provisions contained in any security issued by the Company (or in any agreement providing rights to security holders) that will be triggered by the issuance of any of the Securities.   • Trunk Group Connections and Ordering 5.2.1 For both One-Way and Two-Way Interconnection Trunks, if Onvoy wishes to use a technically feasible interface other than a DS1 or a DS3 facility at the POI, the Parties shall negotiate reasonable terms and conditions (including, without limitation, rates and implementation timeframes) for such arrangement; and, if the Parties cannot agree to such terms and conditions (including, without limitation, rates and implementation timeframes), either Party may utilize the Agreement’s dispute resolution procedures. 5.2.2 When One-Way or Two-Way Interconnection Trunks are provisioned using a DS3 interface facility, if Onvoy orders the multiplexed DS3 facilities to a Frontier Central Office that is not designated in the NECA 4 Tariff as the appropriate Intermediate Hub location (i.e., the Intermediate Hub location in the appropriate Tandem subtending area based on the LERG), and the provision of such facilities to the subject Central Office is technically feasible, the Parties shall negotiate in good faith reasonable terms and conditions (including, without limitation, rates and implementation timeframes) for such arrangement; and, if the Parties cannot agree to such terms and conditions (including, without limitation, rates and implementation timeframes), either Party may utilize the Agreement’s dispute resolution procedures. 5.2.3 Each Party will identify its Carrier Identification Code, a three or four digit numeric code obtained from Telcordia, to the other Party when ordering a trunk group. 5.2.4 For multi-frequency (MF) signaling each Party will out pulse ten (10) digits to the other Party, unless the Parties mutually agree otherwise. 5.2.5 Each Party will use commercially reasonable efforts to monitor trunk groups under its control and to augment those groups using generally accepted trunk- engineering standards so as to not exceed blocking objectives. Each Party agrees to use modular trunk-engineering techniques for trunks subject to this Attachment.

  • Unbundled Copper Sub-Loop (UCSL) is a copper facility of any length provided from the cross-box in the field up to and including the end-user’s point of demarcation. If available, this facility will not have any intervening equipment such as load coils between the end-user and the cross-box.

  • Unbundled Copper Loop – Designed (UCL-D) 2.4.2.1 The UCL-D will be provisioned as a dry copper twisted pair (2- or 4-wire) Loop that is unencumbered by any intervening equipment (e.g., filters, load coils, range extenders, digital loop carrier, or repeaters). 2.4.2.2 A UCL-D will be 18,000 feet or less in length and is provisioned according to Resistance Design parameters, may have up to 6,000 feet of bridged tap and will have up to 1300 Ohms of resistance. 2.4.2.3 The UCL-D is a designed circuit, is provisioned with a test point, and comes standard with a DLR. OC is a chargeable option for a UCL-D; however, OC is always required on UCLs where a reuse of existing facilities has been requested by Telepak Networks. 2.4.2.4 These Loops are not intended to support any particular services and may be utilized by Telepak Networks to provide a wide-range of telecommunications services as long as those services do not adversely affect BellSouth’s network. This facility will include a Network Interface Device (NID) at the customer’s location for the purpose of connecting the Loop to the customer’s inside wire. 2.4.2.5 Upon the Effective Date of this Agreement, Unbundled Copper Loop – Long (UCL-L) elements will no longer be offered by BellSouth and no new orders for UCL-L will be accepted. Any existing UCL-Ls that were provisioned prior to the Effective Date of this Agreement will be grandfathered at the rates set forth in the Parties’ interconnection agreement that was in effect immediately prior to the Effective Date of this Agreement. Existing UCL-Ls that were provisioned prior to the Effective Date of this Agreement may remain connected, maintained and repaired according to BellSouth’s TR73600 and may remain connected until such time as they are disconnected by Telepak Networks or BellSouth provides ninety

  • Organization; Powers; Subsidiaries The Borrower and its Material Subsidiaries are duly organized, validly existing and in good standing (to the extent such concept is applicable in the relevant jurisdiction) under the laws of the jurisdiction of its organization, have all requisite power and authority to carry on their respective business as now conducted and, except where the failure to do so, individually or in the aggregate, would not reasonably be expected to result in a Material Adverse Effect, are qualified to do business in, and are in good standing (to the extent such concept is applicable) in, every jurisdiction where such qualification is required. All of the outstanding shares of capital stock and other equity interests on the Closing Date, to the extent owned by the Borrower or any Subsidiary, of each Material Subsidiary are validly issued and outstanding and fully paid and nonassessable (if applicable) and all such shares and other equity interests are owned, beneficially and of record, by the Borrower or such other Subsidiary on the Closing Date free and clear of all Liens, other than Liens permitted under Section 6.02; provided that any untruth, misstatement or inaccuracy of the foregoing representation in this sentence shall only be deemed a breach of such representation to the extent such untruth, misstatement or inaccuracy is material to the interests of the Lenders. As of the Closing Date, there are no outstanding commitments or other obligations of the Borrower or any Subsidiary to issue, and no options, warrants or other rights of any Person other than the Borrower or any Subsidiary to acquire, any shares of any class of capital stock or other equity interests of any Material Subsidiary, except as disclosed on Schedule 3.01.

  • Loop Provisioning Involving Integrated Digital Loop Carriers 2.6.1 Where Xxxx has requested an Unbundled Loop and BellSouth uses IDLC systems to provide the local service to the End User and BellSouth has a suitable alternate facility available, BellSouth will make such alternative facilities available to Xxxx. If a suitable alternative facility is not available, then to the extent it is technically feasible, BellSouth will implement one of the following alternative arrangements for Xxxx (e.g. hairpinning): 1. Roll the circuit(s) from the IDLC to any spare copper that exists to the customer premises. 2. Roll the circuit(s) from the IDLC to an existing DLC that is not integrated. 3. If capacity exists, provide "side-door" porting through the switch. 4. If capacity exists, provide "Digital Access Cross Connect System (DACS)- door" porting (if the IDLC routes through a DACS prior to integration into the switch). 2.6.2 Arrangements 3 and 4 above require the use of a designed circuit. Therefore, non- designed Loops such as the SL1 voice grade and UCL-ND may not be ordered in these cases. 2.6.3 If no alternate facility is available, and upon request from Xxxx, and if agreed to by both Parties, BellSouth may utilize its Special Construction (SC) process to determine the additional costs required to provision facilities. Xxxx will then have the option of paying the one-time SC rates to place the Loop.

  • Governing Documents Manager will provide Subadviser with copies of (i) the Trust’s Declaration of Trust and By-laws, as currently in effect, (ii) the Fund’s currently effective prospectus and statement of additional information, as set forth in the Trust’s registration statement under the Investment Company Act and the Securities Act of 1933, as amended, (iii) any instructions, investment policies or other restrictions adopted by the Trustees or Manager relating to its performance of oversight of the Subadviser supplemental thereto, and (iv) the Management Contract. Manager will provide Subadviser with such further documentation and information concerning the investment objectives, policies and restrictions applicable to the Fund as Subadviser may from time to time reasonably request.
