CONTRACTOR RESOURCES. Contractor shall obtain approval in advance by the State, in consultation with the Agency, of all employees, independent contractors or agents proposed for each SOW-RFP Project (“Key Personnel”). Key Personnel shall be identified in each SOW Agreement. Contractor shall use reasonable efforts to make available all Key Personnel for the entire life of the SOW RFP Project. Contractor shall not change Key Personnel without providing the State written justification and obtaining prior written approval of the State. State approvals for replacement of Key Personnel will not be unreasonably withheld. The replacement of Key Personnel shall have comparable or greater skills and applied experience than being replaced and be subject to reference and background checks described above. If Contractor removes Key Personnel for any reason, Contractor agrees to provide replacement Key Personnel and shall provide the first thirty (30) days of such replacement resource(s) with equivalent skill at no charge. Notwithstanding the foregoing, the State acknowledges that Key Personnel may become unavailable due to termination of employment for any reason, through disability or death, illness, or through leave of absence such as FMLA or National Guard duty for example. In such circumstances, Contractor shall promptly notify the State in writing of the impending or actual departure of any Key Personnel and of the qualifications and identity of proposed replacement Key Personnel. The State has the right to reasonably disapprove of any replacement Key Personnel. If Key Personnel does not perform up to acceptable or professional standards as required in this Master Agreement or the SOW Agreement, Contractor shall, when notified by the State, either replace the employees, independent contractors or agents with approved employees, independent contractors or agents or take remedial action agreed by State to ensure that Contractor Resources are acceptable to the State for the SOW Agreement. The State’s right to request replacement of Contractor personnel hereunder relates solely to the removal of individuals from work on this Master Agreement and/or the particular SOW Agreement and does not create any employment or principal- agent relationship with the State. Nothing in this Master Agreement or any SOW Agreement entered into hereunder authorizes the State to direct the Contractor’s termination of, or other adverse action related to, the employment of any individual.
CONTRACTOR RESOURCES. Contractor agrees to provide the following Contract related resources:
CONTRACTOR RESOURCES. Contractor will (i) make engineering resources reasonably available to Gogo on an agreed-upon schedule to assist with technical aircraft and cabin surveys, and (ii) provide information on existing aircraft systems and design-for-maintenance knowledge.
CONTRACTOR RESOURCES. 24 CONTRACTOR shall provide trained, qualified, and experienced staff in a manner that will 25 ensure timely completion of the work. CONTRACTOR must be able to promptly replace absent 26 or underperforming staff in a manner that will not delay the work. 27 CONTRACTOR must provide and maintain its own vehicles, computers, accounting 28 systems, and any other equipment or software required to perform the services and generate any 1 related documentation. CONTRACTOR shall provide the appropriate safety training, 2 certifications, and PPE for its staff, and shall ensure that the same is provided to staff of any 3 subcontractors it engages. Costs for these items shall not be reimbursed as project expenses.
CONTRACTOR RESOURCES. Contractor’s and any Subcontractor’s employees, contract employees, consultants, agents, and all other persons or entities employed by or under the control of Contractor or any Subcontractor.
CONTRACTOR RESOURCES. Contractor possesses the business, professional, and technical expertise to collect, transport, process, and transfer the Solid Waste, Green Waste, and Recyclable material generated in the City and Contractor possesses the equipment, facility, and employee resources required to perform the services specified in this Agreement.
CONTRACTOR RESOURCES. (a) If Contractor provides or makes available any Contractor Proprietary Intangible Materials to Oncor or allows Oncor to otherwise use any Contractor Proprietary Intangible Materials, or if Oncor’s use of any Contractor Proprietary Intangible Materials is necessary for Oncor to receive the benefits of the Services, then in each case Contractor hereby grants to Oncor a perpetual, irrevocable, fully paid-up, non-exclusive license to access, use, provide services using, reproduce, modify, maintain, enhance, make, have made and create derivative works of such Contractor Proprietary Intangible Materials solely in connection with the business and operations of Oncor and not for resale. Oncor may sublicense to Oncor Agents the rights to access, use, provide services using, reproduce, modify, maintain, enhance, make, have made and create derivative works of such Contractor Proprietary Intangible Materials solely in connection with the business and operations of Oncor and not for resale. Contractor shall not provide or make available to Oncor, allow Oncor to otherwise use, or otherwise use in connection with the Services any Contractor Proprietary Intangible Materials for which Contractor is unable to offer the rights set forth in this subsection. Contractor’s provision of or making available to Oncor, allowing Oncor to otherwise use, or otherwise using in connection with the Services any Contractor Proprietary Intangible Materials shall obligate Contractor to provide, at no expense to Oncor, the rights set forth in this subsection.
(b) If and to the extent Contractor provides or makes available any Contractor Proprietary Resources to Oncor, or allows Oncor to otherwise use any Contractor Proprietary Resources, in each case excluding Contractor Proprietary Intangible Materials (which are licensed under subsection (a) of this Section), then Contractor hereby grants to Oncor, during the Master Term and solely to receive and use the Services, an irrevocable, fully paid-up, non-exclusive license to access and use such Contractor Proprietary Resources. Oncor may sublicense to Oncor Agents the right to access and use such Contractor Proprietary Resources during the Master Term and solely in connection with the business and operations of Oncor.
(c) Prior to Contractor providing or making available to Oncor, allowing Oncor to use or otherwise using in connection with the Services any Contractor Third Party Resource that is necessary for Oncor to access and use in order to...
CONTRACTOR RESOURCES. 4.1 CONTRACTOR shall provide PERSONNEL of high caliber, experience and with fluency in required language(s), necessary for the performance of the WORKS / SERVICES, efficiently and to the required standard.
4.2 CONTRACTOR shall, prior to the start of the WORKS / SERVICES or any time during the currency of the CONTRACT, supply LEMS with evidence of the qualifications, experience and training of KEY PERSONNEL whose positions are identified in Appendix A and, if required to do so by LEMS, of all or any CONTRACTOR PERSONNEL.
4.3 CONTRACTOR warrants that, unless otherwise APPROVED by LEMS, KEY PERSONNEL have worked with and/or have been utilized by CONTRACTOR in projects similar to the WORKS / SERVICES for a reasonable period of time before being engaged in the WORKS / SERVICES.
4.4 CONTRACTOR further warrants that it shall continuously provide such personnel and shall ensure that KEY PERSONNEL in supervisory positions are not replaced without the prior APPROVAL of LEMS to a suitable successor. In order to ensure that continuity of the WORKS / SERVICES is maintained, any replacement shall work alongside the person who is to be replaced for a reasonable handover period, at no cost to LEMS. CONTRACTOR shall exert all reasonable efforts to perform the WORKS / SERVICES with its own permanent employees in preference to agency personnel.
4.5 If required to do so by LEMS, CONTRACTOR shall arrange for KEY PERSONNEL to be interviewed by LEMS, in order to assess their suitability for their positions. In such event, LEMS shall reimburse CONTRACTOR the actual reasonable expenses supported by adequate documentation.
4.6 CONTRACTOR warrants that KEY PERSONNEL in supervisory positions shall liaise with their LEMS and third party peers and contacts in a co-operative manner.
4.7 CONTRACTOR shall ensure that KEY PERSONNEL in supervisory positions have a good working knowledge of the English language.
4.8 LEMS may notify CONTRACTOR to remove from any location of LEMS or from the WORKS / SERVICES any officer, employee or agent of either CONTRACTOR or any SUBCONTRACTOR without offering any reason provided only that such right is not exercised unreasonably. The person shall be removed forthwith at the expense of CONTRACTOR and shall not be engaged on the WORKS / SERVICES again or on any other work of LEMS without the prior APPROVAL of LEMS. CONTRACTOR RESOURCES. CLIENT may review and approve any of Contractor’s personnel used to provide the services and deliverables set forth herein. In the event CLIENT does not approve of Contractor personnel, Contractor shall provide CLIENT with a substitute resource for review and approval in a timely manner.
