Management Organization. EMPLOYER, ACTING THROUGH ITS CHIEF EXECUTIVE OFFICER WITH THE CONCURRENCE OF THE INDEPENDENT MEMBERS OF EMPLOYER’S BOARD OF DIRECTORS, RESERVES THE RIGHT UNILATERALLY TO REVISE THE ORGANIZATION OF ANY AND ALL OF THE MANAGEMENT FUNCTIONS AND RELATED REPORTING RELATIONSHIPS AT ITS SOLE DISCRETION. THE CONTENTS OF THE DIAGRAM ATTACHED AS EXHIBIT A SHALL BE SUBORDINATE TO THE AUTHORITY OF THE EMPLOYER TO REVISE MANAGEMENT ORGANIZATION AND RELATED REPORTING RELATIONSHIPS AS PROVIDED IN THIS SECTION.
Management Organization. Determine the size of the management organization, its functions, authority, amount of supervision and table of organization provided that the Employer shall not abridge any rights from employees as specifically provided for in this Agreement.

The operation and management organization shall have one General Manager who shall have a term of four (4) years and may serve consecutive terms upon approval by the Board. 9.2. The General Manager has the following authorities and responsibilities:
(1) to organize and implement resolutions of the Board and report to the Board of Directors;
(2) to be fully responsible for the day-to-day administration, operation and financial management of the JVC;
(3) to devise development plans for the JVC, annual production and operation plans, and profit allocation proposal;
(4) to organize the implementation of the annual operation plan and investment proposals for the JVC;
(5) to propose the internal management organization ;
(6) to draft the management rules and policies for the JVC;
(7) to set up rules and regulations for the JVC;
(8) to employ or dismiss management members, except for those who should be employed or dismissed by the Board of Directors;
(9) to decide on matters relating to employment, reward, punishment and dismiss of employees of the JVC;
(10) to deal with important external business matters on behalf of the JVC; and
(11) to perform other duties granted by the Board.
9.3. When performing his/her duties, the General Manager shall not change the resolutions of the Board and exceed the scope of authority granted to him/her. The General Manager shall submit a monthly operation report and a monthly financial report to the Board of Directors within thirty (30) days following the close of month reported.
9.4. The Parties agree that the JVC’s operation and management, business development, financial proposals and implementation plans for various projects shall strictly adhere to the principles and development plans devised by the Parties set forth in the feasibility study report in Appendix F hereto, including structural organization, number of employees, financial budget, salary levels, research and development plan, renovation of manufacturing plants, facility upgrades, marketing and sales. Management Organization. Party A shall appoint a Director for the Center taking responsibility of daily operation and strategic management issues; Part B shall appoint an Executive Program Manager assisting with daily management and development of the programs.
Management Organization. 9.1 The Joint Venture sets up management organization, responsible for the daily operation of the Joint Venture. The management organization shall have one general manager and two assistant general managers who are employed by the Board of Directors for a term of 3 years.
9.2 General manager is responsible for carrying out decisions made by the Board and daily operation of the Joint Venture. Assistant general managers shall assist general manager to perform his duty. General manager can authorize an assistant general manager to perform his duty on behalf of him under the condition that he is not able to perform his duty.
9.3 Several senior executives of Joint Venture including a Chief Engineer and a Chief Accountant shall be employed by Board of Directors to assist General Manager and assistant general managers. They are responsible for issues in relation to engineering technology, financial and accounting management and other business management.
9.4 Members of the Board may be appointed as General Manager or assistant general manager at the same time.
Management Organization. The JV Company’s management organization shall be under the leadership of a General Manager who shall report directly to the Board. In addition to the General Manager, the JV Company also shall have other Senior Management Employees as set forth in this Contract and the Articles of Association, or as determined by the Board. All Senior Management Employees shall be responsible to and shall report to the General Manager.
Management Organization. The Company shall adopt a management system under which the General Manager shall be responsible to and under the leadership of the Board.
Management Organization. 9.1.1 The Company adopts the general manager responsibility system. The general manager is responsible for leading the Company’s management system and reports directly to the Board. In addition to the general manager, the management system of the Company shall have one (1) executive vice general manager, one (1) chief financial officer (general manager, executive vice general manager and chief financial officer may be referred to as “Senior Executive”), several vice general managers, chief operating officer and other management personnel.
9.1.2 Investor A shall have the right to nominate the general manager, the executive vice general manager and the chief financial officer after the Closing (the Company shall maintain the original management structure prior to the Closing). The nomination of the above Senior Executive shall be conducted by the relevant Parties and such Senior Executive shall be appointed by the Board. Vice general manager, chief operating officer and other management personnel are appointed by the general manager and the general manager shall determine their terms of employment. If any manager ceases to hold office for reasons of retirement, resignation, dismissal, disability or death, his successor shall be employed in accordance with his original employment procedure.

Management Organization. (1) The Joint Venture shall establish an operation and management team to be responsible for the Joint Venture's daily operation and management. Such team shall include the General Manager and such other personnel as determined by the Board of Directors (the "MANAGEMENT PERSONNEL").
(2) The General Manager shall be appointed by the Board upon the nomination of Party B and the Joint Venture Controller ("JV CONTROLLER") shall be appointed by the Board upon the nomination of Party A. Each of the Management Personnel shall be appointed or removed by the General Manager, except that the Vice General Manager and JV Controller shall be appointed or removed by the Board. Any of the Management Personnel shall handle matters delegated to him or her by the General Manager and shall be responsible to the General Manager for the efficient implementation of such responsibilities.
(3) In the event that the General Manager, Vice General Manager or JV Controller is found incompetent, commits graft or serious dereliction of duty, he/she shall be dismissed by the Board.
