Personnel Expenses. All payments made to cover the salaries and wages of the employees of the Contractor directly assigned in the Republic of Côte d’Ivoire, on a temporary or permanent basis, to the Petroleum Operations performed pursuant to this Agreement, including statutory and welfare costs and all additional charges or expenses set forth in individual or collective agreements or according to the internal administrative regulations of the Contractor.

Portfolio G&A Expenses. Those categories of portfolio general and administrative costs budgeted for 2011 and presented to the Board of Directors on December 15, 2010, plus certain personnel expenses related to property management services that are not reimbursable under the Master Property Management, Leasing and Construction Management Agreement, dated October 22, 2004, and any successor agreement. Personnel Expenses. All payments made or expenses incurred to cover the fixed salaries of employees of the Contractor and its Affiliated Companies directly assigned, either part-time or full-time, to the Oil Operations in the territory of the Republic of Senegal, including the legal and social charges and all additional charges or expenses provided by individual or collective agreements in accordance with the administrative regulations of the Contractor.

Reimbursable and Out-of-Pocket Expenses: All of the Construction Consultant's reasonable travel (outside a 50-mile radius of the Construction Consultant's Las Vegas office), subsistence and housing expenses incurred during personnel relocation (which shall be subject to the prior approval of the Administrative Agent) and miscellaneous costs associated with this assignment and out-of-pocket expenses will be reimbursed at cost. It is the Construction Consultant's intention to assign to Las Vegas those personnel primarily working on this assignment. The costs associated with any relocation of the Construction Consultant personnel will be consistent with corporate policies on project relocation and will be consistent with the relocation budget which has been approved by the Disbursement Agent and the Borrower. Personnel Expenses. Beginning in the month in which the Closing occurs, in exchange for the Personnel Services, the Company shall reimburse MWE Hydrocarbon for the Company Entitiespro rata share (up to 100% for Designated MWE Employees whose only duties for the MWE Entities were with respect to Company Entities’ business in the bi-weekly pay periods ending in the preceding month) of all costs and expenses incurred by MWE Hydrocarbon after the Effective Time in connection with the provision of the Personnel Services during the preceding month or the bi-weekly pay periods ending in the preceding month, as applicable, related to, among other items, the following costs and expenses incurred by the MWE Entities for the Designated MWE Employees: (a) compensation (including equity and equity-based compensation expenses), salary and wages (including payroll and withholding taxes associated therewith); (b) 401(k) costs and any matching 401(k) contributions; (c) vacation and sick leave benefits; (d) medical and health insurance benefits; (e) disability insurance (including benefits paid); (f) workers’ compensation (including benefits paid); (g) life insurance; (h) any other employee benefit for which the MWE Entities incur costs. Personnel Expenses. Contractor's team response personnel expenses which are approved and authorized under this Agreement are reimbursable at the rates described as follows: a) For full-time fire departments, at the actual cost of personnel expenses. b) For part-time and volunteer fire departments or team personnel, at the average over-time hourly rates for the three geographically nearest full-time fire departments. Team response personnel expenses shall be billed to the nearest one-fourth (1/4) hour work period. Personnel expenses may reflect replacement personnel costs and indirect charges/costs for wage, fringe, death, and duty disability retirement benefits.
