Responsibilities of Company. In connection with the above activities, which will be undertaken by Advisor on Company's behalf, Company shall fully cooperate with the Advisor in the fulfillment of its duties hereunder, and Company and Advisor agree to the following:

A. Make available suitable job(s) at its worksite(s) and in the respective occupation(s) as described in the job description(s) attached and hereby made a part of this agreement, for those eligible CAREERSOURCE POLK participants who are selected and referred to the Company by CAREERSOURCE POLK.
X. Notify CAREERSOURCE XXXX immediately if any participant referred by CAREERSOURCE XXXX would be directly supervised by a member of that person’s immediate family.
C. Assign real and meaningful work to participants during the entire time they are at the worksite in accordance with the approved job description(s). Duties other than those in the attached approved job description(s) must be pre- determined and mutually agreed upon by the Company and CAREERSOURCE POLK.
D. Perform any drug/background screening if needed.
E. Direct and supervise participants’ work activities and training in accordance with their job description(s).
X. Xxxxxx that it will have supervisory personnel who will act as worksite supervisors for each of the Company’s worksites to provide for continuous on- site supervision and training of participants.
X. Ensure worksite supervisory personnel including any alternate staff directly responsible for the supervision of participants are trained on the Company’s responsibilities and obligations under this Agreement.
X. Notify CAREERSOURCE XXXX immediately of any temporary and/or ongoing changes in the designation of personnel who will be supervising the participant(s).

Be accountable as well as provide CAREERSOURCE XXXX participant’s timesheets, including proper completion and approval of timesheets by each participant, if all the prior requirements are met, and submitting these timesheets in a timely manner in accordance with CAREERSOURCE POLK payroll procedures.
J. Require participants' conformance with the Company's Personnel Rules of Conduct such as dress code, parking, etc.
K. Ensure that all sites where participants will be assigned are sanitary and safe environments in accordance with health and safety standards established by State and Federal law.
L. Ensure that all required safety supplies and equipment are used in the proper manner for the intended use and in accordance with the CDC safety guidelines and applicable laws.

Responsibilities of Company. 2.1 Company shall furnish Physician with reasonable administrative support to accomplish his duties and responsibilities under this Agreement, but not in support of Physician’s activities beyond the scope of this Agreement.
2.2 Company shall periodically evaluate Physician’s performance under this Agreement.
Responsibilities of Company. 6.2.1. Company will use the prescribed integration methodology for sending data from its source system to the GST Platform.
6.2.2. Company shall provide all assistance / cooperation that is required by IRIS in the performance of its Services under this Agreement.
6.2.3. The responsibility of data coming into the GST Application solely resides with the Company.
6.2.4. Company shall adhere to the dates, timelines and guidelines prescribed by GSTN.
6.2.5. Company shall be solely responsible for managing the access, authorization to personnel of Company and the roles allotted to them, including but not limited to those of the user and admin.

Responsibilities of Company. 1. The Parties may designate in the Program Term Sheet which of the following services will be included in the responsibilities of the Company.
Responsibilities of Company. 2.1 Notwithstanding any provision to the contrary, Manager acknowledges that the selection, purchasing, management, and disposition of the Assets shall be under the direction and control of the Company.
2.2 Manager acknowledges that it shall be Company’s sole responsibility to perform the following, and not the responsibility of Manager:
(i) Determining which Assets to select and purchase; and
(ii) Determining the amount of the selling price of the Assets upon disposition thereof.
2.3 Company shall be responsible for the following at its expense. In the event that the Company does not provide for the following or pay the related costs and expenses directly, the Company will promptly reimburse the party who actually pays them on behalf of the Company (and Manager is hereby authorized to make such payments):
(i) Cooperating with Manager in Manager’s preparation of reports required by Company;
(ii) Cooperating with Manager in developing other business opportunities; and
(iii) Filing costs of obtaining necessary licenses and permits.
2.4 Company shall not solicit the services of, or employ or procure on behalf of another the employment of, any individual currently employed by Manager or under a service contract with Manager; nor shall Company engage in any other activity which would be in conflict with its obligations hereunder.
Responsibilities of Company. A. Company will be responsible for staffing the Mobile Clinic and obtaining any necessary or appropriate licenses, permits or registrations.

C. Company will maintain in effect the following forms of insurance in the following amounts:
a. Commercial General Liability Insurance - $1,000,000 per occurrence.
b. Vehicle Liability Insurance - $1,000,000 per occurrence
c. Worker’s Compensation Insurance.
d. Professional Liability Insurance - $1,000,000 per occurrence.
D. Company will retain records on services provided for Referred Students.
Responsibilities of Company. Company shall cooperate fully with Rona in its efforts to carry out the Services. Appropriate time and resources will be made available as requested and mutually agreed on. Rona will use its professional expertise to provide the Services; provided, however, that Rona will not be held responsible and will not incur any liability as set forth in Section 7 below, where Rona is unable to perform, or performance is delayed, due to circumstances beyond its control, including circumstances that are encountered in the normal course of business and including those caused by Company, or where the scope of services requested cannot reasonably be completed within the time or resources allocated to such services. Company will give Rona reasonable advanced notice about any assignments or meetings in which Rona’s participation is requested and the Parties will mutually agree on the time and locations of meetings.
Responsibilities of Company. Company shall provide, at its sole cost and expense instruments, materials, and equipment necessary for any procedures performed in the Lab Space exclusively by Company personnel identified in Section 5, and complete clean-up of the Lab Space following Company’s use thereof.
