Confidentiality and Company Property. 7.1 The Employee understands and acknowledges that the Company is engaged in a continuous program of research, development and production relating to Chemokine Research and related products ("Business"). Because of the nature of the Business, the Employee's employment creates a relationship of confidence between the Employee and the Company with respect to certain information that gives the Company an advantage in its business and marketplace. In the course of carrying out and performing the Employee's duties and responsibilities to the Company, the Employee will obtain access to and be entrusted with Confidential and Proprietary Information (as hereinafter defined) relating to the Business and other affairs of the Company. 7.2 The term "Confidential and Proprietary Information" as used in this Agreement means all trade secrets, proprietary information and other data or information (and any tangible evidence, record or representation thereof), whether prepared, conceived or developed by an employee of the Company (including the Employee) or received by the Company from an outside source which is maintained in confidence by the Company or any of its customers to obtain a competitive advantage over competitors who do not have access to such trade secrets, proprietary information, or other data or information. Without limiting the generality of the foregoing, Confidential and Proprietary Information includes: (a) any information, ideas, improvements, know-how, concepts, research, inventions, innovations, products, services, sales, scientific or other formulas, systems, strategies, formulae, algorithms, patterns, processes, methods, machines, manufactures, compositions, processes, procedures, tests, treatments, developments, data, experimental software, libraries and routines, audio-visual displays technical specifications, technical data, designs, devices, patterns, concepts, computer programs, training or service manuals, plans for new or revised services or products or other plans, items or strategy methods on compilation of information, or works in Chemokine Therapeutics (BC) Corp. employee/employment contract 5 process, or any Invention (as defined in Section 8 below), or parts thereof, and any and all revisions and improvements relating to any of the foregoing (in each case whether or not reduced to tangible form) that relate to the Business or affairs of the Company or its subsidiary or affiliated companies, or that result from its marketing, research a...

Confidentiality and Company Property. Executive agrees that he will not at any time during the Employment Period and for five (5) years thereafter for any reason, in any fashion, form, or manner, either directly or indirectly, divulge, disclose or communicate to any person, firm, corporation or other business entity, in any manner whatsoever, any confidential information or trade secrets concerning the business of the Company, including, without limiting the generality of the foregoing, the techniques, methods or systems of its operation or management, any information regarding its financial matters, research and development data and materials, and intellectual property rights, including, without limitation, patents, patent applications, patent rights, trademarks, trademark applications, trade names, service marks, service xxxx applications, copyrights, copyright applications, databases, algorithms, computer programs and other software, know-how, trade secrets, proprietary processes and formulae, inventions, trade dress, logos and designs or any other material information concerning the business of the Company (including customer lists), its manner of operation, its plans or other material data (the “Confidential Information”). The provisions of this Section 6 shall not apply to (i) information disclosed in the performance of Executive’s duties to the Company based on his reasonable good faith belief that such a disclosure is in the best interests of Company (ii) information that is, at the time of the disclosure, public knowledge; (iii) information disseminated by the Company to third parties in the ordinary course of business; (iv) information lawfully received by Executive from a third party who, based upon inquiry by Executive, is not bound by a confidential relationship to the Company; or (v) information disclosed under a requirement of law or as directed by applicable legal authority having jurisdiction over Executive and (vi) information, ideas or inventions developed by Executive prior to his employment by the Company. Confidentiality and Company Property. 22.1 At no time during your employment with the Company or thereafter, except in the proper course of your employment or as required by law, may you disclose to any Person or make use of, whether on your own account or for any Person, any information that is of a sufficiently high degree of confidentiality as to amount to a trade secret of the Company or any information used in the business of the Company that, if disclosed to a competitor, would be liable to cause real significant damage to the Company or any information in respect of which the Company owes a duty of confidence to any Person. 22.2 During the course of your employment you may have access to and be entrusted with confidential information relating to the Company’s business (“Confidential Information”) and that of its Associated Companies, which is not readily ascertainable by Persons not connected with the Company, such as information relating to the following, in relation to the Company and its Associated Companies: 22.2.1 management information, corporate and marketing strategy, marketing surveys, plans and strategies, advertising and promotional material, business development plans, sales reports and research results, maturing new business opportunities, charging structures 22.2.2 business methods and processes, products and services, technical information and know-how and any other information that is not available to the public generally, including inventions, designs, programs, techniques, database systems, formulae and ideas 22.2.3 business contacts, mailing lists purchased by the Company, names, addresses, telephone numbers, contact names and identities of Clients and Potential Clients and of suppliers and potential suppliers and terms of business with Clients and suppliers, order requirements and patterns of Clients and other Client and supplier database details 22.2.4 information on employees and the terms of their employment 22.2.5 finances, budgets, management accounts, trading statements, production and service costs, regulatory reports and other financial reports 22.2.6 any information that you are informed by your manager is to be treated as confidential 22.2.7 any information marked “Confidential” held on computer or on any document.

If at any time after the termination of my engagement I determine that I have any Returnable Property in my possession or control, I shall immediately (e) notify the Company of such determination and (f) return to the Company all such Returnable Property.
Confidentiality and Company Property. Executive hereby reaffirms that he is subject to those provisions of the Confidentiality Agreement dated on November 22, 2006 (“Confidentiality Agreement”), which by its terms extend beyond termination of employment, except that to the extent this Agreement provides a shorter post termination restrictive covenant period, the shorter period shall apply. The reaffirmed terms include, but are not limited to, Executive’s obligation to protect and maintain the confidentiality of JDA’s Confidential Information, as defined therein, during employment and perpetually after the date of Executive’s termination. Executive also hereby represents that as required by the Confidentiality Agreement and JDA’s Personnel Policies and Procedures, he has returned to JDA, or will return prior to the Termination Date, or upon JDA’s request at any time prior to the Termination Date, all JDA property including, but not limited to, books, manuals, samples, software, hardware, and any items developed by Executive pursuant to his employment with JDA.

This includes but is not limited to information and secrets relating to: (a) corporate and marketing strategy, business development and plans, sales reports, circulation figures and research results; (b) business methods and processes, technical information and know-how relating to the Company's business and which is not available to the public generally, including inventions, designs, programmes, techniques, database systems, formulae and ideas; (c) business contacts, lists of customers and suppliers and details of contracts with them and information on employees including their particular skills and areas of expertise and the terms of their employment; (d) stock levels, sales, expenditure levels and buying and pricing policies; (e) budgets, management accounts, trading statements and other financial reports; (f) any document marked "confidential" or any information not in the public domain the disclosure of which would put the Company at a competitive or legal disadvantage. 7.2 You may not during your employment (otherwise than in the proper performance of your duties and then only to those who need to know such information or secrets) or afterwards (otherwise than with the prior written consent of the Board or as required by law) use or disclose any confidential information or trade secrets concerning the business of the Company or in respect of which the Company may be bound by an obligation of confidence to any third party. You should also use your best endeavors to prevent the publication or disclosure of such information or secrets. These restrictions will not apply after your employment has terminated to information which has become available to the public generally, otherwise than through unauthorised disclosure. 7.3 All notes, memoranda and other records (including those stored on computer software) made by you during your employment and relating to the business of the Company belong to the Company and should promptly be handed over to the Company (or as it may direct) from time to time.
