Developer’s Services. Without limiting any other term of this Agreement, Developer shall, and shall have the right to:
(a) Keep Owner and Construction Consultant advised generally as to developments affecting the Property and the Project and respond, coordinate and cooperate with all reasonable requests by Owner or Construction Consultant inquiring as to the status of the progress of the Project for the purpose of enabling Owner or Construction Consultant to monitor Developer’s progress;
(b) Allow Construction Consultant to attend monthly Project meetings, provide Construction Consultant reasonable advance notice of each such meeting, and furnish Construction Consultant with minutes, notes and reports reasonably requested by Construction Consultant to document administration of the Project;
(c) Obtain and maintain (or cause to be obtained and maintained) in full force and effect all necessary authorizations, agreements, permits, licenses (including, without limitation, surety bonds) and similar documents with the appropriate governmental authorities and utility companies pertaining to the Project and necessary for Completion of the Project by the Completion Date and full use and occupancy of the Project;
(d) Supervise the performance of all contracts with and coordinate the activities of all designated Project consultants;
(e) Organize and administer Owner’s insurance program during development and construction of the Project;
(f) Perform such other related business and development functions pertaining to the development of the Project as agreed between Owner and the Developer;
(g) Supervise the design and construction of the Project, including all buildings constructed as a part of the Project and all off-site improvements and on-site common area improvements, such as site preparation and grading, above-ground and underground utility systems, parking lots, surface improvements, lighting, roads, and landscaping, in each case strictly in accordance with the Plans and Specifications;
(h) Maintain a review function over the Architect and General Contractor with respect to:
(i) Approval of shop drawings and equipment manuals;
(ii) Revisions to working drawings and specifications required by reason of: (1) design omission or error; (2) field conditions; (3) governmental review; or (4) changes requested by Owner;
(iii) Periodic technical inspections; and
(iv) Construction inspection;

Developer’s Services. Developer confirms that it is experienced in the custom design, development, launch and delivery of web sites and agrees to provide the following services for the Site, all subject to Client's approval:
Developer’s Services. Developer, as the District’s development consultant and authorized representative as contemplated by Business and Professions Code Section 7040, agrees to perform the services indicated in Attachment “A,” attached hereto and incorporated herein by this reference (“Services”). The duties, responsibilities and limitations of authority of Developer shall not be restricted, modified or extended without written agreement between the District and Developer
Developer’s Services. The Purchase Price shall include the installation by the Developer of all services required by the Development Agreement (the "Development Agreement") between the Developer and the RM of West St. Xxxx (the "Municipality"). The Developer shall not be, or deemed to be, in default of this Agreement if Developer is delayed or hindered in the installation of services as a result of any cause whatsoever beyond the control of the Developer. The Purchaser grants the Developer or its agents the right, with machinery and equipment, to enter upon the Lot to do such work as may be required in order that the Developer may carry out its obligations under the Development Agreement.
Developer’s Services. Until Completion of the Project or termination as provided in Sections 4.2 or 8.2 below, Developer, acting within the parameters of the Approved Budget and the plans and specifications approved by Construction Lender on behalf of Owner, shall have the authority in its own name (not as Owner's Agent) to supervise, direct and coordinate all development and project management matters pertaining to the Project, including, without limitation:
Developer’s Services. Until Final Completion of the Project or termination as provided in Sections 7.2((b)), 11.2 or 12.8 below, Developer, acting within the parameters of the Approved Budget and the Plans and Specifications covenants and agrees to perform, fully, timely and completely, the following duties for the benefit of Owner:
Developer’s Services. The Developer will perform the following -------------------- services under this Agreement in each of the two phases described below.
Developer’s Services. Developer's obligations under this Agreement shall include, but not be limited to, the following services with respect to the planning, design and development of the Project:
(a) Developer shall use all reasonable efforts to obtain (or to cause the appropriate contractors and consultants to obtain) all required building, construction, environmental and other permits, approvals, certificates, licenses, consents and authorizations, including any zoning approvals, necessary to initiate, continue and complete development of the Project.
(b) Developer generally shall perform such other acts and things as may be reasonably required for coordinating, monitoring, administering and supervising the full and complete planning, design, construction and development of the Project, including, without limitation, complete interior design of the Project and all pre-opening marketing of the Project.
(c) Developer shall make necessary recommendations and shall otherwise assist Owner in making decisions respecting all Project development requirements, in accordance with all requirements, including: (A) time phasing of the development; (B) design of public areas in all improvements; (C) design of all services areas in all Improvements; (D) parking facilities; (E) landscaping; (F) selection of special building features to accommodate special building needs; and (G) obtaining all required insurance and bonds.
Developer’s Services. Developer confirms that it is experienced in the custom design, development, launch and delivery of web sites and agrees to provide the following services for the Site, all subject to Client's approval:
a) The Site and Launch Module. During Phase I of the Project, the Developer shall design, develop, test, implement and launch the overall Site structure and programming and shall develop the Site Components, both for the initial version of the Site to be launched (the "Launch Module") and so as to accommodate Additional Modules (see Paragraph 2(b) below). During Phase I of the Project Developer shall deliver to Client's reasonable satisfaction all materials, information, software, source code, documentation, guides, manuals and similar material as are necessary for Client to maintain, update, edit, modify, terminate, redesign and otherwise operate and service the Site. Developer shall be responsible for the design, structure and implementation of all aspects of the Site to Client's reasonable satisfaction (other than the gathering and delivery to Developer of editorial content therefor, which shall be the responsibility of Client). As part of Developer's services required hereunder, but not in limitation thereof, Developer shall:
(i) work and confer with Client throughout the design process to ascertain both Client and Collaborator's design needs and requirements for the Site;
(ii) design the look, operation, and programming of the Site, including, without limitation, the functional specifications, user interface and user interface specifications, technical design specifications, search and retrieval software and graphic elements of the Site design (such as layout, typeface, illustrations and photographs), both to accommodate Client's current needs and so as to accommodate modifications and additions thereto as the Site expands and changes;
(iii) develop and deliver necessary HTML programming;
(iv) incorporate Client Content (as hereinafter defined in Paragraph 3.1) for the launch;
(v) transfer Site files to Client's server;
(vi) fully test (and correct where needed) the Site and all Site Components and aspects (conduct a soft launch - a Beta test in the staging area) to Client's reasonable satisfaction;
(vii) launch the Site;
(viii) provide Client with all technical and design documents as well as a troubleshooting guide needed to ensure that Client can with ease maintain, update, modify, edit, cancel and otherwise operate the Site;
