Obligations of the Board. A. The Board acknowledges the primary responsibility of providing an administrative structure and climate in which effective teaching and Scholarly, Research and Creative activities may take place. The Board further acknowledges the desirability of a suitable physical environment for faculty members. B. Toward this end, every possible opportunity will be provided for personal academic growth and development. Changes affecting faculty members will be made only after consideration of, and discussion with, those involved, and after adequate notice has been given to them. Every attempt will be made to respect the dignity and integrity of the members of the Faculty and to provide an administrative climate in which members of the Faculty may function as responsible persons.
Obligations of the Board a. With respect to the use and/or disclosure of PHI by Business Associate , the Board shall: i. Notify Business Associate in writing of any limitation(s) in its notice of privacy practices, if such limitation(s) would impact Business Associate’s use or disclosure of PHI; ii. Inform Business Associate in writing of any changes in, or revocation of, a patient’s authorization to use or disclose the patient’s PHI, if such action would impact Business Associate’s use or disclosure of PHI; and iii. Notify Business Associate in writing of any restrictions on the use or disclosure of PHI to which the Board has agreed, if such restriction would impact Business Associate’s use or disclosure of PHI.
Obligations of the Board. In addition to the obligations expressly provided by law or this Agreement, the Board, to the extent of Company assets, shall: (a) Perform or cause the Managers to perform all acts necessary or desirable, with respect to the purposes of the Company, to lease, sublease and operate any real estate acquired by the Company; (b) Cause to be filed and published all certificates, statements and other instruments required by law for the formation, qualification and operation of the Company and for the conduct of its business in all appropriate jurisdictions; (c) Cause the Company to prepare or have prepared all financial and tax statements and reports required under Article 11; and (d) Cause the Company to keep the Required Records at its principal office.
Obligations of the Board. The Board shall generally act in good faith and consistent with its fiduciary duties to the Company and its stockholders.
Obligations of the Board. It shall be a condition precedent to the obligation of the Company to register any Common Stock pursuant to Sections 14.1 and 14.2 hereof that the Board shall (i) furnish to the Company such information regarding the Common Stock held by it and the intended method of disposition thereof and other information concerning the Board as the Company shall reasonably request and as shall be required in connection with the registration statement to be filed by the Company; (ii) agree to abide by such additional or customary terms affecting the proposed offering as reasonably may be requested by the managing underwriter of such offering, including a requirement, if applicable, to withhold (on a pro-rata basis) from the public market for a period of at least one hundred twenty (120) days after any such offering, any shares excluded from the offering at the instance of the underwriter as permitted under Sections 14.1 and 14.2 hereof; and (iii) agree in writing in form satisfactory to the Company to pay the underwriting discounts and commissions applicable to the Common Stock being sold by it.
Obligations of the Board. The BOARD will cause notice of all elections pursuant to Section 115.127.5 RSMo. The ENTITY may designate which publications to be used by the BOARD at the time of execution of this agreement. Failure to so designate will permit the BOARD to choose the publications to be used.
Obligations of the BoardThe Board agrees to take the certain actions identified hereafter: a) Review, by the Transportation Director or her designee, the plans and specifications for the Project and may, but shall not be obligated to, suggest changes or revisions to the plans and specifications; b) Review Overland Park prepared, FTA funded, bid packages and professional service and construction contracts for compliance with FTA requirements and consistency with Xxxxxxx Avenue and Shawnee Mission Parkway Transit Improvement plan, to ensure that the scope, schedule and budget is maintained, and provide written comments in a timely fashion; c) Review all Transit Improvement contracts prior to execution to ensure consistency with the Project plan and compliance with the FTA approved requirements; d) The Transportation Director shall review each statement or payment request to determine whether the statement or payment request is properly submitted and documented and, upon concurrence with the Finance Director of Xxxxxxx County, Kansas, cause payment to be made to Overland Park within thirty (30) days after receipt of such payment request; e) Provide to Overland Park current FTA requirements for all related expenditures to be reimbursed by FTA funding; f) Provide ongoing grant management, coordination, submittal of grant amendments, and requests for draw downs from FTA.
Obligations of the Board. Upon expiration of a sabbatical leave, a person who has complied with the conditions of the leave shall be returned to a position equivalent to that formerly occupied. A person shall be credited with teaching experience for such period of leave, and upon return he/she shall be placed on the salary schedule at such step as though he/she had been in actual service.
Obligations of the Board. 4.1 The Board is responsible for determining the fiscal and academic policies that will govern the operation of the Academy, including but not limited to policies relative to the conduct of students while in attendance at the Academy or on route to and from the Academy and regulations governing the procurement of supplies, materials and equipment. 4.2 Subject to constraints of applicable law, requirements of the Contract, and its fiduciary obligations to the Academy, the Board shall exercise good faith in considering the recommendations of Xxxxxxxx, including but not limited to, Xxxxxxxx’x recommendations concerning policies, rules, regulations, procedures, curriculum, and budgets. Xxxxxxxx shall not adopt or implement such recommendations without obtaining prior Board approval. The Board shall retain any authority it may possess to make reasonable regulations relative to anything necessary for the proper establishment, maintenance, management, and carrying on of the Academy, including regulations relative to the conduct of pupils while in attendance at the Academy or on route to and from the Academy. The Board shall further retain the obligation, as provided in Section 1274 of the Code, to adopt written policies governing the procurement of supplies, materials, and equipment. Xxxxxxxx shall comply with Section 1274 of the Code and the Board’s policies promulgated pursuant to Section 1274 of the Code. 4.3 The Board is responsible for preparing or causing to be prepared and adopting a budget in accordance with the provisions of the Uniform Budgeting and Accounting Act, MCL 141.421 et seq. that has adequate resources to fulfill its obligations under the Contract, including but not limited to its oversight of Xxxxxxxx, the organization of the Academy, negotiation of the Contract and any amendments, payment of employee costs, insurance required under the Contract and this Agreement, the annual financial audit and retention of the Board’s legal counsel and consultants. The Board has established that a minimum reserve amount in the fund balance shall be $100,000.00. Xxxxxxxx may not make expenditures or commitments which deviate from the amounts or purposes of appropriations contained in the approved budget without the prior approval of the Board. In addition, the Board is responsible for determining the budget reserve amount included as part of the Academy’s annual budget, for implementing fiscal policies that will assist the Academy in attaining the stated bud...
Obligations of the BoardThe board undertakes to pay the salary and to grant the teacher all the rights and benefits prescribed in the collective agreement. Reference: clause 5-1.02 a) This contract of engagement takes effect on 20 and expires on the earlier of the following dates: on 20 or upon the return of the teacher who is replaced under clause 5-1.04: b) The provisions of the collective agreement are an integral part of this contract.
