Owner Personnel. LICENSEE may request from OWNER the equivalent of up to FTEs of R&D resources to help execute the PHASE 3 WORK PLAN, the request to be accepted at OWNER’s sole discretion. The cost for these FTEs will be paid by LICENSEE to OWNER and will be capped for each 12-month period during the TERM, unless otherwise agreed by the PARTIES in writing.
Owner Personnel. (a) Upon request by the Owner, the Construction Manager shall provide suitable office space and facilities for the representatives imbedded by the Owner pursuant to Section 4.6(a). In addition, the Construction Manager shall provide suitable office space and facilities for (i) the personnel provided by the Owner pursuant to Section 4.6(b) no later than the date on which such personnel are to arrive at the Site, and (ii) the Owner personnel described in Section 4.7 no later than the date that is three (3) months before the expected date of the commencement of operations of the Selexol Unit. (b) The Construction Manager shall provide at least four (4) months written notice to the Owner of the expected date of the commencement of operations on the Selexol Unit.
Owner Personnel. (a) During the Term (and for long as the applicable Seconded Employee (as defined below) remains employed by Owner), Owner shall, pursuant to the terms of this Agreement, second to Operator the Seconded Employees to operate and conduct the Business. Operator will operate the Business with the Seconded Employees and such other employees, consultants, agents and representatives as Operator may determine in its sole discretion. The services provided to Operator by the Seconded Employees pursuant to this Agreement are referred to herein as the “Services.” Subject to Owner’s right to be reimbursed by Operator for costs and expenses in accordance with Sections 6(h) and 6(i), Owner shall be responsible for payment of, and shall satisfy all obligations with respect to, all costs and expenses required in connection with the employment of the Seconded Employees, including salaries, wages, other cash compensation, employee benefits and overhead and administrative expenses, the reporting and payment of social security and other payroll taxes, workers’ compensation insurance premiums and all other applicable costs and expenses. Owner shall have the right to determine the terms and conditions on which it employs the Seconded Employees including the compensation and benefits to which the Seconded Employees may be eligible; provided, however, that such terms and conditions of employment shall be consistent with Owner’s past employment practices and the terms of Section 5.01 of the Cosi APA, and any changes to compensation or benefits shall be subject to the prior written approval of Operator.

Owner Personnel. The Owner, in its sole discretion and at its expense, may provide one or more professional personnel to work in the Utility Plant and also to be on Site during the Transition Phase. The Owner intends to assign the Owner’s Representative to the Utility Plant and/or Site for the purposes of observing the performance of the Services and compliance with this Agreement. The intention is not to have the Owner’s Representative perform any of the Services. However, to the extent that any of Owner’s personnel provide Services at the request of the Operator, such personnel will be under the direction of the Operator and the Operator will continue to be solely responsible for the provision of the Services.

  • Manager Personnel The Manager shall authorize and permit any of its directors, officers and employees who may be elected or appointed as Trustees or officers of the Trust to serve in the capacities in which they are elected or appointed. Services to be furnished by the Manager under this Agreement may be furnished through the medium of any of such directors, officers, or employees.

  • Contractors All LAUSD Contractors and their Representatives are expected to conduct any and all business affiliated with LAUSD in an ethical and responsible manner that fosters integrity and public confidence.
