Supervisory Responsibilities. (a) SCHWAB shall be responsible for training, monitoring and controlling the activities of SCHWAB employees involved in the offer and sale of the Contracts. FIRST GREAT-WEST shall participate in, and shall bear responsibility with respect to, such training, monitoring, and control to the extent required by applicable NASD rules, SEC laws, state insurance laws, or other applicable laws. (b) Notwithstanding the above, FIRST GREAT-WEST shall provide adequate training to SCHWAB supervisory personnel with respect to the Contracts.

In addition to being subject to discipline if they engaged in sexually harassing conduct themselves, supervisors and managers will be subject to discipline for failing to report suspected sexual harassment or otherwise knowingly allowing sexual harassment to continue. Supervisory Responsibilities. (a) Broker-Dealer shall have full responsibility for training and supervision of all Registered Representatives and all other persons associated with Broker-Dealer who are involved directly or indirectly in the offer or sale of the Registered Contracts, and to the extent required by SEC and/or FINRA, certain Non-Registered Contracts that are Qualified Contracts. All such persons shall be subject to the supervision and control of Broker-Dealer with respect to such persons' activities in connection with the sale of Registered Contracts and Qualified Contracts. Associated Insurance Agency shall have full responsibility for training and supervision of all Agents who are involved directly or indirectly in the offer or sale of the Contracts and for Agent's compliance with applicable state insurance laws. Broker-Dealer and Associated Insurance Agency shall be responsible for all acts and omissions of each Registered Representative or Agent, as applicable. PALAC and PAD shall not incur liability or have any responsibility for the supervision of Registered Representatives or Agents. (b) Before Registered Representatives begin soliciting sales of the Registered Contracts or Qualified Contracts, Broker-Dealer and Associated Insurance Agency must insure that the Registered Representatives are: (i) an associated person of Broker-Dealer; (ii) licensed, registered or otherwise qualified under applicable federal and state laws to engage in such activities and any applicable FINRA registration; (iii) trained in the sale of the such Contracts; and (iv) only soliciting sale of such Contracts in jurisdictions where PALAC has authorized such solicitations. (c) Before Registered Representatives or Agents engage in the sale of the Non-Registered Contracts, Broker-Dealer and Associated Insurance Agency must insure that such individuals are: (i) licensed or otherwise qualified under applicable state laws to engage in such activities; (ii) trained in the sale of such Contracts; and (iii) only soliciting sales of such Contracts in jurisdictions where PALAC has authorized such solicitations. (d) Broker-Dealer and Associated Insurance Agency are responsible for supervising and reviewing its Registered Representatives' use of sales literature and advertising and all other communications with the public related to the Contracts. Between: And: RE: 2D/2N SCHEDULE – Article G - ICU and Emergency It is understood that there shall be no additional cost factor to the Employer by implementing a 2D/2N rotation. 1. When the Hospital and the Union agree, the 2D 2N extended tour schedule shall be instituted when eighty percent (80%) of the employees on a particular nursing unit have so indicated by secret ballot. For employees who indicate to the Assistant Administrator of Nursing Services that they do not wish to work extended tours, the Hospital will endeavour to schedule these employees on a normal tour rotation. 2. When less than eighty percent (80%) of the staff on a particular nursing unit vote, as outlined in paragraph 1, in favour of the 2D 2N extended tour schedule by secret ballot, the Union may approach the Hospital and ask them to consider the implementation of a combination 2D 2N extended tour schedule, other extended tours and normal (7.5 hour) tour in a particular Unit. 3. The eighty percent (80%) figure above may be varied by mutual agreement between the parties. 4. The Hospital shall make space available to the Union in order to permit the Union to conduct the vote referred to in (a). 5. At any meeting with the Employer to discuss the 2D 2N schedule, a member of the Local executive should be in attendance. 6. A trial of the 2D 2N schedule was run from August 22nd, 2011 to February 5th, 2012, after which a further vote of the employees on the ICU Unit was conducted. There was least eighty-five percent (85%) of the employees on the Unit indicating the parties will continue with the 2D 2N schedule on a permanent basis. The (see attached MASTER schedule). 7. The 2D 2N schedule may be discontinued in any unit when: i) Sixty percent (60%) of the employees in a unit so indicate by secret ballot; or ii) The Hospital decided to do so because of: A) adverse effects on patient care, or
