Tuition Assistance Plan. As of the Effective Time, each business unit of New Ceridian shall continue the tuition assistance plan that was in effect for employees of such business unit immediately before the Effective Time. New Ceridian shall have full responsibility for all benefits due with respect to tuition assistance benefits to New Ceridian Employees that are payable on or after the Effective Time. The Corporation shall retain the Liability for tuition assistance benefits due to Arbitron Employees under the Corporation's tuition assistance plan as amended from time to time.

Tuition Assistance Plan. The Company and the Union reaffirm the assertion that continuous investment in employees is an essential strategy towards maintaining competitiveness in a global environment. To this end, regular full-time employees will be provided the opportunity for a minimum of forty (40 hours of education and training that is skill based or job related during each calendar year. It will be pro- rated for part-time employees, mid-year hires, and employees working less than a full year. The Company also agrees to provide a Tuition Assistance Plan (TAP) that will provide tuition assistance for employee by means of reimbursement of eligible expense incurred once the employee has successfully completed the course9s) in accordance with TAP requirements and provided the supporting documentation determined by the Company to be necessary. In order to be eligible for TAP, an employee must pursue a degree or certificate program in an approved program, such as ones that will enable bargaining unit employees to transfer to other jobs, including but not limited to CISO, CIS Administrator, Generalist, Cabling, and Routing. The Union will assist the Company in providing such programs to the extent possible. The annual cap on reimbursement of eligible expense will be $6000 for approved graduate, undergraduate and certificate programs except that part time employees wo work more than twenty (20) hours per week will be reimbursed for 75% of eligible expenses up to a maximum of $4500 and those working less than 20 hours per week will be reimbursed for 50% of eligible expenses up to a maximum of $2400. The lifetime cap will be $20,000 for certificate programs, $25,000 for undergraduate programs, and $30,000 for graduate programs. Management reserves the right to deny reimbursement for graduate programs based on its determination of the needs of the business. Involuntary Terminations If the employee voluntarily separates from the Company, the employee will reimburse the Company for all reimbursement payments made by the Company during the employee’s last twelve months on the payroll and will reimburse the Company for fifty percent (50%) of reimbursement that it made for the twelve months prior to that time. Tuition Assistance Plan. Section 1. Maintenance: The NFL Player Tuition Assistance Plan will provide up to $1 5,000 per League Year ($20,000 per League Year for the 201 5-2020 League Years) as reimbursement for tuition, fees, and books to any player who earns an average of "C" or better per semester at an eligible educational institution within the meaning of Section 529 (e)(5) of the Internal Revenue Code. The NFL Player Tuition Assistance Plan is a written plan that is intended to qualify as an educational assistance program under Sec­ tion 127 of the Internal Revenue Code that provides benefits to a player in any calendar year up to the maximum exclusion amount of Section 127 of the Internal Revenue Code, to minimize the tax burden on players. Benefits in excess of the maximum exclusion of Section 127 of the Internal Revenue Code in any calendar year will be subject to wage withholdings. To be eligible for reimbursement, fees must be associated with the course or courses taken, and no more than $400 in fees will be reimbursed for any semester. The Plan Year for the Tuition Assistance Plan begins on April 1. The Plan and all past and future amendments thereto as adopted in accordance with the terms of that Plan, are incorporated by reference and made a part of this Agreement; provided, however, that the terms used in such Plan and the definitions of such terms are applicable only to such Plan and shall have no applicability to this Agreement unless the context of this Agree­ ment specifically mandates the use of such terms. The Plan will be continued and maintained in full force and effect during the term of this Agreement and must at all times comply with the terms of this Article.

Upon presentation of evidence to the College of successful completion of the course with a grade of C (or equivalent) or higher, the College will reimburse the employee for 100% of the amount of the tuition for the course paid by the employee (but not for registration fees, laboratory fees, books, supplies or any other expenses in connection therewith). If such evidence is not presented to the College within sixty (60) days after such successful completion of the course, reimbursement will not be made. Total reimbursement

Upon presentation of evidence to the College of successful completion of the course with a grade of C (or equivalent) or higher, the College will reimburse the employee for the full amount of the tuition for the course paid by the employee (but not for registration fees, laboratory fees, books, supplies or other expenses in connection therewith). If such evidence is not presented to the College within sixty (60) days after such successful completion of the course, reimbursement will not be made. Total reimbursement to an employee with respect to courses taken in any fiscal year of the College will not exceed $2,500. If the employee is eligible for assistance in payment of tuition from any other public or private agencies, including the Veterans Administration, he/she must advise the College, when requesting advance approval of the course, of the nature and amount of such other assistance, and the reimbursement from the College for an approved course will be limited to the full amount, if any, of tuition which the employee is required to pay after taking into account the amount of such other assistance. An employee whose employment with the College terminates before such successful completion of the course will not be reimbursed under the plan. Employees will not be released from work to attend classes or otherwise fulfill course requirements under the plan. The plan does not include or apply to any Wellesley Col- lege courses.
