User Subscription. 2.1 Subject to the Customer purchasing the User Subscriptions, Ramboll hereby grants to the Customer a non-exclusive, non-transferable right, without the right to grant sublicences, to permit the Authorised Users to use the Software during the Subscription Term solely for the Customer's internal business operations for the Licensed Use in accordance with the rights and obligations set out in this Agreement.
2.2 In relation to the Authorised Users, the Customer undertakes that:
(a) the maximum number of Authorised Users that it authorises to access and use the Software shall not exceed the number of User Subscriptions stated in the Supply Agreement;
(b) it will not allow any User Subscription to be used by more than one individual Authorised User unless it has been reassigned in its entirety to another individual Authorised User, in which case the prior Authorised User shall no longer have any right to access or use the Software;
(c) each Authorised User shall keep a secure password for his use of the Software; and
(d) it shall maintain a written, up to date list of current Authorised Users and provide such list to Ramboll within 10 Business Days of Ramboll's written request at any time or times;
2.3 The Customer is entirely responsible for any and all activities which occur related to the Software under its User Subscriptions and its corresponding Authorised Users, and for any and all activities of its employees, agents, representatives, and clients, whether or not such employees, agents, representatives, and clients are designated to use the Software.
2.4 The Customer shall use the Software solely for its internal business use and shall not:
(a) except as may be allowed by any applicable law which is incapable of exclusion by Agreement between the parties and except to the extent expressly permitted under this Agreement:
(i) attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Software in any form or media or by any means; or
(ii) attempt to de-compile, reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the Software, disassemble the Software or otherwise attempt to discover the source code to the Software or any components thereof, nor permit any third party to do so. User Subscription. 2.1 Beekeeper shall provide the Services during the Subscription Term in accordance with the terms set out in this Agreement.
2.2 Subject to the Customer purchasing the User Subscription(s), the restrictions set out in this clause 2 and the terms and conditions of this Agreement, Beekeeper hereby grants to the Customer a non-exclusive, non-transferable right to permit the Authorized Users to use the Services during the Subscription Term solely for Customer's internal communications.
2.3 In relation to the Authorized Users, Customer undertakes that:
2.3.1 the maximum number of Authorized Users that it authorizes to access and use the Services shall not exceed the number of User Subscriptions it has purchased from time to time. Customer further undertakes that it will not allow any User Subscription to be used by more than one per individual Authorized User unless it has been reassigned in its entirety to another individual Authorized User, in which case the prior Authorized User shall no longer have any right to access or use the Services;
2.3.2 each Authorized User shall keep a secure password for his use of the Services, that such password shall be changed frequently and that each Authorized User shall keep his password confidential.
2.4 Customer shall not access, store, distribute or transmit any Viruses, or any material, including without limitation Customer Data and the Authorized User Data, during the course of its use of the Services that:
2.4.1 is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive;
2.4.2 facilitates illegal activity; or
2.4.3 in a manner that is otherwise illegal or causes damage or injury to any person or property; and Beekeeper reserves the right, without liability or prejudice to its other rights to Customer, to disable Customer's access to any material that breaches the provisions of this clause.
2.5 Customer shall not:
2.5.1 attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Software in any form or media or by any means; or
2.5.2 attempt to reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the Software; or
2.5.3 access all or any part of the Services in order to build a product or service which competes with the Services; or
2.5.4 use the Services to provide services to third parties; or
2.5.5 licens...
User Subscription. 2.1 Subject to the terms of this Agreement, Concerto grants the Buyer a non-exclusive, non-transferable right to permit Authorised Users to use the Services and the Documentation during the Subscription Term solely for the Buyer’s internal business operations.
2.2 The Buyer shall not knowingly:
(a) distribute or transmit to Concerto, whether via the Services or otherwise, any Viruses or Vulnerabilities;
(b) store, access, publish, disseminate, distribute or transmit via the Services any material which:
(i) is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive;
(ii) depicts sexually explicit images;
(iii) is otherwise illegal or causes damage or injury to any person or property; and Concerto reserves the right, on written notice to the Buyer, such notice specifying the breach of this Clause and requiring it to be remedied within seven (7) days (the “Notice Period”), to disable the Buyer's access to the Services if the breach remains unremedied after the expiry of the Notice Period.
2.3 The Buyer shall not:
(a) except as may be allowed by any Applicable Law which is incapable of exclusion by agreement between the Parties and except to the extent expressly permitted under this Agreement:
(i) attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Software and/or Documentation (as applicable) in any form or media or by any means; or
(ii) attempt to de-compile, reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the Software;
(b) use the Services and/or Documentation to provide services to third parties;
(c) license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit, or otherwise make the Services and/or Documentation available to any third party except the Authorised Users, or
(d) attempt to obtain, or assist third parties in obtaining, access to the Services and/or Documentation, other than as provided under this Clause 2.
2.4 The Buyer shall ensure that the Services are only used by Authorised Users and that such use is at all times in accordance with this Agreement. The Buyer shall ensure that Authorised Users are, at all times while they have access to the Services, the employees or contractors of the Buyer.

User Subscription. At any time during your paid subscription term, You can change your subscription to purchase additional User licenses by going into Your Team Manager’s Claris Customer Console and choosing to upgrade Your subscription. Increases in Your subscription may take up to 24 hours after purchase to take effect, or you can click the “Sync Subscription” button in the Team Manager’s Claris Customer Console and the changes will take effect immediately. Once purchased, additional User licenses are non-refundable, but You can decrease Your number of User Licenses as part of the renewal process at the end of the current paid subscription term.
User Subscription. Unless otherwise specified in the applicable Order Form: • Services are purchased as a User subscription and may be used by no more than the specified number of Users at the time of purchase; • Additional User subscriptions may be purchased during the related subscription and prorated for the remainder of the subscription term in effect at the time the new User subscription is added, and • The added User subscription shall terminate on the same date as the pre-existing subscription. User subscriptions are for selected Users only and are not allowed to be accessed, shared or utilized by any other User but can be reassigned by replacing a former User.

2.2 GeoSignum provides the Customer with a free trial User Subscription to demonstrate the basic functions of the Services with a Subscription Term of one week. After filling in the form on the website, applicants for a free trial User Subscription will receive an account which enables Authorized Users to log in. The free trial User Subscription is only available for governmental organizations, local agencies, private companies or research organizations and will only be activated for maximum 5 Authorized users (group account). The free trial User Subscription is not available for personal use.
2.3 With this free trial User Subscription, Customers can upload their data or they can use GeoSignum’s demo data. This is offered as an introduction to the Services, therefore the amount of data which can be uploaded is limited. The free trial User Subscription is only offered to give Customers an impression of the results of the Services. After the free trial period, all uploaded information and data will be removed.
2.4 GeoSignum only decides who gets a free trial User Subscription. If applicants are not approved, access to the free trial will be denied. Applicants should be serious people, businesses or institutions that are actually interested to learn more about this new online software platform.
2.5 With a free trial User Subscription, Customers are not allowed to claim any right upon the resulting 3D data. All rights belong to GeoSignum. Customers who are interested in the software can only use the results from the 3D data for internal purposes within business or institutions. Those who use the 3D results for external purposes with no obvious reason or for own commercial benefit are in breach with these terms and conditions and will be held liable for any damage resulting thereof.
2.6 User Subscriptions are offered with different level of Services, and with a Subscription Term of a year or a month. The current User Subscriptions and prizes are available on the GeoSignum website. The Customer can upgrade from a free trial User Subscription to any User Subscription.
2.7 If ...
User Subscription. 2.1 Subject to the Licensee purchasing the User Subscription and to the other terms and conditions of this Agreement, NASC hereby grants to the Licensee a non-exclusive, non- transferable, revocable right, without the right to grant sublicences, to use the Services and the Documentation during the Subscription Term solely for the Licensee's internal business operations ('Licence').
2.2 The Licensee shall not during the course of its use of any of the Services: introduce or permit the introduction of, any Virus or Vulnerability into NASC's network and information systems; or access, store, distribute or transmit (i) any Viruses, or (ii) any material that:
(a) is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive;
(b) facilitates illegal activity;
(c) depicts sexually explicit images;
(d) promotes unlawful violence;
(e) is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability; or
(f) is otherwise illegal or causes damage or injury to any person or property; and NASC reserves the right, without liability or prejudice to its other rights hereunder, to disable the Licensee's access to any material that breaches any provision of this clause.
2.3 The Licensee shall prevent any access to or use of any Service by any person who is not an Authorised User and, in the event of any such access or use, shall immediately notify NASC.
2.4 The rights provided under this Clause 2 are granted to the Licensee only, and shall not be considered granted to any subsidiary or holding company of the Licensee.
User Subscription. 3.1 In consideration of payment by the Client of the Fees for the purchase of User Subscription and the Client agreeing to abide by the terms of this Agreement, Cardinus hereby grants to the Client a non-exclusive, non-transferable right to permit the Authorised User to access the Software and Services for the Term.
3.2 Any new features which augment or enhance the current Service, including the release of new tools and resources, if provided to the Client, will be subject to the Terms of this Agreement.
3.3 The Client shall not access, store, distribute or transmit any Viruses, or any material during the course of its Use of the Services that:
3.3.1 is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive;
3.3.2 facilitates illegal activity;
3.3.3 depicts sexually explicit images
3.3.4 promotes unlawful violence;
3.3.5 is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability; or
3.3.6 in a manner that is otherwise illegal or causes damage or injury to any person or property; and Cardinus reserves the right, without liability or prejudice to its other rights to the Client, to disable the Client’s access to any material that breaches the provisions of this clause.
3.4 The Client shall not:
3.4.1 except as may be allowed by any applicable law which is incapable of exclusion by agreement between the parties:
3.4.1.1 and except to the extent expressly permitted under this Agreement, attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Services and/or Documentation (as applicable) in any form or media or by any means; or
3.4.1.2 attempt to reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the Services; or
3.4.2 access all or any part of the Services and Documentation in order to build a product or service which competes with the Services and/or the Documentation; or
3.4.3 use the Services and/or Documentation to provide services to third parties; or
3.4.4 subject to clause 16, license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit, or otherwise make the Services and/or Documentation available to any third party except with the written authorisation of Cardinus, or
3.4.5 attempt to obtain, or assist third parties in obtaining, access to the Ser...
User Subscription. 3.1. Subject to the terms of this MSA and any Special Conditions, the Customer is granted a non-exclusive, personal, non- transferable and non-sub-licensable licence to permit the Authorised Users to access and use the LifeByte Platform and to use the Services during the Term solely for its business or personal purposes.
3.2. The Customer will not acquire, or be entitled to, any rights other than those rights expressly set out in this MSA or any Special Conditions.
3.3. Upon the Customer accepting the terms and conditions of this MSA, LifeByte create a unique account (Customer Account) for the Customer to use during the Term. The Customer Account will be operated by a username and password (Customer Password) which can be changed at any time by self-service portal.
3.4. In relation to the Authorised Users, the Customer undertakes that:
(a) the Customer will ensure that each Authorised User complies with this MSA and any Special Conditions; and
(b) each Authorised User will keep a secure non-transferable username (User Name) and password (User Password) for his/her access to the LifeByte Platform and to use the Services, and the Customer will ensure that each Authorised User will keep his/her User Name and User Password confidential. The Customer is responsible for all use of the Services by all Authorised Users or any other person, whether or not authorised by the Customer, who accesses the LifeByte Platform and/or Services (directly or indirectly) through use of the User Names and User Password. The Customer is liable for any breach of this MSA (or any Special Conditions) by its Authorised Users. LifeByte is not responsible or liable for any Loss due to misused, stolen or hacked User Names and User Passwords. LifeByte does not have access to the Authorised User’s current User Password. The Authorised User can change its User Password at any time by self-service portal; and
(c) the maximum number of Authorised Users that the Customer authorises to access and use the LifeByte Platform, the Services and the Documentation will not exceed the number of User Subscriptions you have purchased from time to time.
