Uses of the Premises. (a) During the Initial Term, as well as any Successive Term, Lessee shall operate the Facilities as a business providing State licensed hospital and/or other healthcare services and shall meet Joint Commission accreditation requirements and all requirements to participate in Medicare, Medicaid and other government reimbursement programs (“Mandatory Uses”), as well as providing any incidental or ancillary services beneficial for the provision of healthcare services. The Mandatory Uses are those described on the attached Exhibit 5.1. (b) In addition, during the first two years of the Initial Term (the “Option Period”), Lessee shall provide the services listed on Exhibit 5.1 (the “Additional Uses”) to the extent that such services were provided in the year prior to the Commencement Date and subject to Xxxxxx’s ability to recruit and retain appropriate staff for such Additional Uses. Lessee shall use its best efforts to recruit and retain physicians and staff to provide obstetrical and orthopedic services at the Leased Property. Upon expiration of the Option Period, Lessee may, after consultation with the Advisory Board established in Section 14 of this Lease Agreement, give Lessor notice (the “Potential Discontinuation Notice”) of any Additional Use(s) that Lessee wishes to discontinue. Lessee shall consider the impact of any Additional Use(s) on Lessee’s standards for efficiency and quality of care, the materiality of the losses, the needs of the community, and other factors regarding the Additional Use(s). Lessee retains the right, in its reasonable discretion based on industry standards, to discontinue any Additional Use(s) that impact Lessee’s standards for efficiency and quality of care, are no longer needed in the community, or that Lessee determines negatively impact the delivery of health care services in a manner sufficient to warrant discontinuation of such Additional Use(s). Notwithstanding the foregoing, if Lessee elects to discontinue any Additional Use(s) after the expiration of the Option Period solely due to material losses associated with maintaining such Additional Use(s), Xxxxxx and Lessee agree to meet within thirty (30) days of Xxxxxx’s receipt of such notice for the purpose of discussing the Potential Discontinuation Notice (“the “Discontinuation Meeting”). Uses of the Premises. (a) Lessee may use the Premises for the following purposes and for activities reasonably connected with achieving such purposes and for no other purposes whatsoever: (1) Aircraft maintenance and repair (2) Avionics and instrument repair (3) Propeller repair (4) Aircraft rental (5) Aircraft leasing (6) Aircraft storage (7) Flight operations (8) Parking of vehicles for Lessee’s employees (9) Any use other than as set forth above must have the prior written consent of the Aviation Department. (b) Lessee shall be expressly prohibited from providing the following services: (1) Sale or dispensing of aircraft fuels, fuel farm or retail sale of fuel is prohibited. (2) Terminal facilities for passenger operations, other than those covered by Federal Aviation Regulation 14 CFR Part 135, are prohibited. (3) Restaurant, coffee shop, lounge, or cafeteria, are prohibited (except a cafeteria provided solely for the employees of Lessee or of its sublessees). (4) Sale or dispensing of alcoholic beverages is prohibited. (5) Flight Training Schools and T-Hangars are prohibited. (6) Aerial advertising is prohibited. (7) Air shows are prohibited. (8) Any use prohibited by law or not related to aviation. (c) Limousine and taxi concessionaires authorized by County shall be allowed free ingress to and egress from the Premises to serve the public and the Lessee shall not operate or authorize any competing service. Lessee shall not make any contractual arrangement with any rental car company except an authorized on-airport concessionaire rental car company. (d) In connection with sales and services to the public, Lessee shall furnish, good, prompt and efficient service adequate to meet all demands for its services at the Airport and shall conduct such hours of business as may be necessary to so provide this service. Such service will be furnished on a fair, equal, and nondiscriminatory basis to all users thereof and charges shall be fair, reasonable and nondiscriminatory for each unit of sale or service. Lessee, however, shall be permitted to grant reasonable and nondiscriminatory discounts, rebates, or other types of price reductions to volume purchasers. As used in this section, the word “services” shall include the furnishing of parts, materials, and supplies (including the sale thereof as well as furnishing of service). Uses of the Premises. The Premises shall be used for the purpose of automobile sales, service, detail, and office activities related thereto. No other uses shall be permitted in the Premises without the prior written permission of Lessor, which will not be unreasonably withheld. Lessee shall make no unlawful use of the Premises and will comply with all applicable laws, zoning ordinances and regulation of all governmental authorities, including all applicable environmental laws. No hazardous materials or other items that would increase risk and liability to the Lessor will be used, stored or released by Lessee on or at the Premises. No animals are allowed on Premises unless pre-approved by Lessor in advance in writing. The Lessee shall not make or suffer any waste upon the Premises and shall, at its own expense, observe and conform to all Municipal, County, State and Federal laws and regulations.
Uses of the Premises. The Premises shall be used for the purpose of general manufacturing / warehousing, and office activities related thereto. No other uses shall be permitted in the Premises without the prior written permission of Lessor, which will not be unreasonably withheld. Uses of the Premises. The premises shall be used and occupied by the TENANT for storage uses, and not part of the Premises shall be used at any time during the term of this Agreement by the TENANT for the purpose of carrying on any business, profession, or trade of any kind. The TENANT shall comply with any and all laws, ordinances, rules, and orders of any and all governmental or quasi- governmental authorities affecting the cleanliness, use, occupancy and preservation of the Premises. The TENANT shall not keep on the Premises any item of a dangerous, flammable, or explosive character that might unreasonably increase the danger of fire or explosion on the Premises or that might be considered hazardous or extra hazardous by any responsible insurance company.
Uses of the Premises. (a) The Premises shall be used solely for general aviation purposes. Lessee is required to offer those services related to the services provided by a Fixed Base Operator (FBO) as provided in the Aviation Department’s minimum operating standards, which standards have been provided to the Lessee and are amended periodically, at the sole discretion of the Aviation Department. The Lessee shall be required to provide, but not be limited to, the following products or services: (1) The sale of aircraft, aircraft components, parts and accessories thereto directed towards the executive general aviation, corporate, commercial aviation and governmental market, but not for light, non-complex general aviation aircraft. (2) The offering of aircraft and engine maintenance and repair service directed towards the executive general aviation, corporate, commercial aviation and governmental market, but not for light, non-complex general aviation aircraft. (3) The offering of enclosed aircraft hangar storage and tie-down service directed towards the executive general aviation, corporate, commercial aviation and governmental market, but not for light, non-complex general aviation aircraft. (4) The offering of aircraft parking directed towards the executive general aviation, corporate, commercial aviation and governmental market, but not for light, non-complex general aviation aircraft. (5) Aircraft arrival guidance on the ramp. (6) Line services, with a qualified attendant on duty. (7) Flight planning and flight service facilities. (8) Pilot and passenger amenities, including pilot and passenger lounges, and restrooms. (9) Removal of disabled aircraft, up to ninety thousand (90,000) pounds maximum certificated take-off weight. (10) Lessee shall dispense and sell aviation fuels and lubricating oils within the confines of the Premises. In addition, the Lessee may dispense and sell fuels and lubricating oils within the confines of any area of the Airport that is mutually opened to all other lessees having aviation fuels and lubricating oils dispensing sales privileges; and Lessee shall be under the same terms and conditions provided to all such other lessees that are granted such privileges. However, the County shall in no way be hampered from granting exclusive rights for the sale and dispensing of aviation fuels and lubricating oils on premises other than those covered by this Agreement under such terms and conditions as it may deem advisable.
