Xxxxxx and Duties. The Committee shall have sole discretion and authority to make any and all determinations necessary or advisable for administration of an RSU Award and may adopt, amend or revoke any rule or regulation established for the proper administration of an RSU Award. The Committee shall have the ability to modify the RSU Award provisions, to the extent necessary, or delegate such authority, to accommodate any changes in law or regulations in jurisdictions in which Participants will receive RSU Awards. The Committee or its designee, if applicable, will oversee RSU Award calculations. All interpretations, decisions, or determinations made by the Committee or its designee, if applicable, pursuant to an RSU Award shall be final and conclusive.
Xxxxxx and Duties. The Committee shall have all the powers and duties conferred upon school committees by law and this Agreement, and such other additional powers and duties as are specified in G.L. Chapter 71, §§ 16 to 16I inclusive, and any amendments thereof or additions thereto now or hereafter enacted, or as may be specified in any other applicable general or special law.
Xxxxxx and Duties. In addition to other powers and duties elsewhere conferred and imposed and acting through its duly constituted Board of Directors, the Authority shall have all powers and duties conferred and imposed by the Act or otherwise by the Arkansas General Assembly to regional intermodal facilities authorities, unless excluded herein. In addition to the foregoing, the Authority shall specifically have the following powers and duties:
1. To make and adopt all necessary by-laws, rules, and regulations for its organization and operations not inconsistent with law;
2. To elect its own officers, to appoint committees, and to employ and fix the compensation for personnel necessary for its operation;
3. To enter into contracts with any person, governmental department, firm, or corporation, including both public and private corporations, and generally to do any and all things necessary or convenient for the purpose of acquiring, equipping, constructing, maintaining, improving, extending, financing, and or operating an intermodal facility including, without limitation, railway-highway terminals, highway-railway terminals, shipping facilities, railroad sidings, turnouts, spur branches, switches, yard tracks, bridges and trestles, parks for industrial facilities, buildings, warehouses, utilities, xxxxxxxx, xxxxx, xxxxxxx, xxxxxxxx and approaches, bulk loading and unloading facilities, elevators, tipples, compresses, refrigeration storage plants, transfer equipment, and related improvements and facilities as the Board of Directors may deem feasible for the expeditious and efficient handling of freight, commerce, and passengers to and from any other part of the State of Arkansas or any other state and foreign countries to best serve the region in which the Authority is located;
4. To delegate any authority given to it by law to any of its officers, committees, agents, or employees;
5. To apply for, receive, and use grants-in-aids, donations and contributions from any source, including but not limited to, the federal government, or any agency thereof, and the State of Arkansas, or any agency thereof, and to accept and use bequests, devices, gifts, and donations from any person, firm, or corporation;
6. To acquire lands and hold title thereto in its own name;
7. To acquire, own, lease as lessor or as lessee, sell, encumber, dispose of, or otherwise deal in and with any facilities or real, personal, or mixed property, wherever located;

Xxxxxx and Duties. The Committee shall have all of the powers and duties conferred and imposed upon Regional School District committees by law and by this Agreement and any amendment or additions thereto or as may be conferred and imposed upon it by any applicable general or special law.
Xxxxxx and Duties. The Alliance will through collaboration and consensus develop a comprehensive County EMS plan for review and consideration by the Washington County Board of Commissioners. The County EMS plan will provide a vision and work plan for the EMS system and be grounded in the “foundational principles”. The Alliance will monitor and report on the EMS system and provide annual updates to the County EMS plan as appropriate. The “foundational principles” are attached hereto and by this reference incorporated into this IGA.
Xxxxxx and Duties. 1. The Superintendent shall have charge of the administration of the schools under the direction of the Board. The Superintendent shall be the chief executive officer for the Board; recommend the selection of, and direct and assign, teachers and other employees of the School District under the Superintendent’s supervision; organize and direct the administrative and supervisory staff; make recommendations to the Board concerning the budget, building plans, location of sites, and the selection of textbooks, instructional material, and courses of study; direct the keeping of all records and accounts, and aid in the making of all reports, as required by the Board; recommend rules, regulations, and procedures deemed necessary for the welfare of the School District; and, in general, perform all other duties incident to the office of the Superintendent as may be prescribed by the Board from time to time.
2. The Superintendent shall devote his full working time, attention, and energy to the business of the School District and related professional activities. With the permission of the Board, the Superintendent may attend university courses, seminars, or other professional growth activities. The Superintendent may not jeopardize the functioning of the School District by any lengthy and conspicuous absence for such professional activities.
3. The Superintendent may provide service as a consultant to another district or educational agency, and/or undertake on a short-term basis writing, teaching, or speaking engagements. Any such service or undertaking must be consistent with Board Policies including, but not limited to, Board Policy 5:120. Before performing any such service or undertaking, the Superintendent will give the Board reasonable advanced notice of his request to do so. If a Board member objects to the request based on Board Policy, the Board will address the request and render a timely determination on whether to approve the request. If no objection is raised by the Board, the request will be deemed granted.
4. The Board and the Superintendent agree that it is in the best interest of the District for the Superintendent to continue to serve as the Chair of the National Academic Committee of the College Board, or in any other College Board capacity, provided that such participation is at no cost to the District.
Xxxxxx and Duties. In addition to any other authorities as set forth in the applicable laws or this Agreement, the Management Board shall:
1. Manage the day-to-day business of DCSA and represent DCSA in relations with third parties.
2. Ensure the preparation of minutes of meetings of the GA;
3. Prepare the annual accounts of DCSA and submit them for approval to the Supervisory Board and the GA;
Xxxxxx and Duties. In addition to any other authorities as set forth in the applicable laws or this Agreement, the Supervisory Board shall:
1. Supervise the Management Board and review compliance of the Management Board activities with the DCSA policy approved by the GA;
2. Determine term of office and remuneration of the members of the Management Board and approve the internal regulations of the Management Board;
3. Review and make suggestions to the GA on DCSA policy within the framework of the DCSA’s governing corporate documents, this Agreement, and the decisions of the GA;
4. Approve the agenda of the meetings of the GA;
5. Prepare an annual report on its activities and submit it to the GA;
6. Approve the rules and regulations of working groups of DCSA, unless these are approved by the GA;
7. Approve the rules and regulations of any working group, unless they are approved by the GA;
8. Recommend to the GA the fees and contributions of the Active Members and Participants, the time by which they shall be payable, and the currency or currencies in which they are to be paid;
9. Make recommendations to the GA on admittance of new Active Members and Participants or expulsion of an Active Member or Participant;
10. Resolve on the suspension of an Active Member or Participant;
11. Approve the budget and utilization of fees by the Management Board. Its decision shall subsequently be approved by the GA;
12. Approve DCSA´s strategy vis-a-vis other organizations, associations and companies.
13. Approve DCSA’s approach vis-a-vis the digital container shipping eco-systems industry, especially on the issues of harmonization, standardization and innovation;
14. Supervise the implementation of the decisions of the GA (in particular concerning the utilization of resources)
15. Approve new digital policies and worldwide strategies to be presented to the GA for decision and approval; The GA can make certain resolutions of the Supervisory Board subject to its prior approval. Digital Container Shipping Association Agreement
Xxxxxx and Duties. 1. to perform the leadership role for the Senate;
2. to receive, evaluate and direct the disposition of all items directed to the Senate for consideration;
3. to compile and publish the agenda in advance of each regular meeting of the Senate;
4. to meet at least twice monthly to review Senate business during the regular academic year;
5. to initiate matters for Senate consideration;
6. to represent the Senate in discussions with the various committees, administrators, and other university groups or individuals;
7. to create Senate standing and ad hoc committees as described in the Code;
8. to nominate, subject to ratification by the Senate membership, all members of Senate standing committees, members of Senate ad hoc committees, a parliamentarian, and such other positions as may be necessary;
9. to nominate a faculty legislative representative to the president; once approved, the nominee shall then be confirmed by the full Senate;
10. to forward nominations for faculty positions on university standing committees and councils to the president and xxxxxxx;
11. to create the committee and provide the guidelines for selection of university Distinguished Faculty;
12. to act on behalf of the Senate and exercise any of its powers, when necessary, such actions to be subject to later ratification by the Senate at its next regular meeting;
13. to receive and review proposed changes to the Code and Bylaws according to the respective amendment processes;
14. to exercise other powers delegated to it by the Senate or assigned to it by the Code;
15. to fill vacancies on the EC.
Xxxxxx and Duties. The Agency shall have the authority to contract with persons and entities, engage in all administrative activities, provide all administrative services necessary to execute the terms of this Agreement and oversee and manage the Network and to enter into contracts to carry out these duties. The Agency shall be responsible for the Network, or any Network Segment, immediately upon Activation. The Agency shall cause the Network to be insured against damage, destruction or other risks commonly insured against in facilities similar to the Network, with the insureds being the Participants as their interests may appear. It shall be the duty of the Agency to enforce all agreements it enters into pursuant to its duties to manage the Network. It is the intent of the Participants that the Agency provide all services to be rendered under this Agreement by contract with an entity or one or more of the Participants. It is the further intent of the Participants that the Agency shall have no administrative budget and shall not expend funds as an agency. Rather, the purpose of the Agency is to provide a mechanism whereby decisions regarding the Network will be made as provided in this Agreement. All contracts will be in the name of the Participants, or in the name of the Agency with the Participants as beneficiaries, and executed by a person duly authorized by the Participants.
