Guidance and Assistance. During the term of this Agreement, we may from time to time furnish you guidance and assistance with respect to: (1) specifications, standards, and operating procedures used by Location Franchises; (2) purchasing approved equipment, furniture, furnishings, signs, materials and supplies; (3) development and implementation of local advertising and promotional programs; (4) general operating and management procedures; (5) establishing and conducting employee training programs for your Franchise; and (6) changes in any of the above that occur from time to time. This guidance and assistance may, in our discretion, be furnished in the form of bulletins, written reports and recommendations, operations manuals and other written materials (the “Operations Manual”), and/or telephone consultations and/or personal consultations at our offices or your Franchise. If you request—and if we agree to provide—any additional, special on-premises training of your personnel or other assistance in operating your Franchise, then you agree to pay a daily training fee in an amount to be set by us, and all expenses we incur in providing such training or assistance, including any wages or compensation owed to, and travel, lodging, transportation, and living expenses incurred by, our Company personnel.
Guidance and Assistance. During the Term, we may advise you from time to time regarding the Hotel’s operation based on your reports or our evaluations and inspections and may guide you with respect to (1) System Standards that Hyatt Place Hotels use, (2) purchasing required and authorized FF&E and other items and arranging for their distribution to you, (3) advertising and marketing materials and programs, (4) employee training, and (5) administrative, recordkeeping, and accounting procedures. We may guide you in the Manual; in bulletins or other written materials; by electronic media; by telephone consultation; and/or at our headquarters or the Hotel. If you request, and we agree to provide, additional or special guidance, assistance, or training, you agree to pay our then applicable charges, including our personnel’s per diem charges and travel and living expenses.

Guidance and Assistance. We will furnish guidance to you with respect to (i) methods of locating and certifying vendors and products, (ii) specifications, standards and operating procedures utilized by Yes delivery services, (iii) development and implementation of local advertising and promotional programs, (iv) customer ordering software, methods and utilities for customer service, and Yes administration software, and (v) general operating and management procedures. In our discretion, we will furnish this guidance and assistance to you in the form of our confidential operations manual, bulletins, written reports and recommendations, electronic mail or other written or electronic materials (all of which are hereinafter referred to as the "Operations Manual"), inspection reports for the Franchise, refresher training programs and/or telephonic consultations at our offices or at another location. We reserve the right to require you to change your selling techniques and purchasing and distribution methods and procedures. In these circumstances, your status as a Franchised Tupperware Distributorship does not change. However, the purchasing and distribution methods and procedures that you must follow in operating your Franchised Distributorship may change. "Marketing Methods" also may include administrative and financial controls; reporting systems; ordering and purchasing systems; bookkeeping systems; billing procedures; recruiting, retaining and motivating Consultants and instilling in Consultants the "Sharing Opportunity" through Consultant sales presentations, Consultant incentive programs and other means; promoting the reputation, distribution and use of TUPPERWARE Products; and general business operation and management. You agree to advise us promptly of any improvements to the Marketing Methods and any new techniques, systems, devices, plans, methods or programs for operating the Franchised Distributorship developed by you or your employees or Consultants, which we then will have the perpetual right to use and authorize others to use. From time to time, we will hold national or regional conferences for Franchised Tupperware Distributorships. You agree to attend, at your own expense, our national conferences and conferences for your region. These conferences will be held no more than six (6) times each year. We may charge you reasonable fees to attend these conferences.
