Responsibilities of Party B. 1. If Party B’s overdue payment of rent exceeds 7 days, Party B’s behavior constitutes a serious breach of contract, and constitutes the circumstances and sufficient conditions for the termination of the contract. Party A has the right to request Party B to pay the rent and the overdue fine. In addition, Party A has the right to unilaterally terminate the Lease Contract and take back the house. The deposit will not be refunded as a penalty. Party B shall clear all the articles owned by Party B in the Leased Premises out of the Building within 2 days after the termination of the Contract. Otherwise, Party A shall have the right to dispose the said articles as wastes at Party B’s expense. Party B shall not damage the air conditioning, firefighting, intelligent, electrical lines and other facilities and equipment in the leased unit during cleaning. Party B shall clean and transport the dismantled items by itself, and shall not damage any facilities and equipment in the public parts of the building. Otherwise, Party A has the right to require Party B to compensate in full. However, if Party B delays paying the rent for more than 7 days and Party A requires Party B to continue to perform the contract, Party B shall continue to perform the contract, that is, continue to lease the house and pay the rent; During the overdue payment of rent, in addition to the payment of the rent agreed in the Contract, Party B shall pay Party A double amount of the overdue rent as liquidated damages, and Party A shall have the right to deduct it from the deposit.
2. According to the agreement of the above clause, when Party A exercises the right to take back the house unilaterally, in case of Party B’s intentional delay or other non-cooperation or non-cooperation, Party A has the right to post the notice of termination of the lease contract (including the contents of house recovery) on the door and prominent position of the leased house, and it is deemed that the notice of termination of the lease contract is served on the date when the notice is posted. Responsibilities of Party B. In addition to its other obligations under this Contract, Party B shall be responsible for the following matters:
(1) Providing capital contributions in accordance with the terms and conditions of this Contract and the Capital Contribution Schedule attached as Appendix 2 hereto;
(2) Providing any necessary assistance to the Joint Venture's recruitment of suitable expatriate management personnel, technical personnel and other necessary expatriate employees to be employed by the Joint Venture on the basis of merit;
(3) Assisting the Joint Venture to contact banks and other financial institutions outside of the PRC and hold discussions with them with respect to the raising of any foreign exchange loans required by the Joint Venture;
(4) Assisting the Joint Venture in training key staff and employees;
(5) Seconding relevant management personnel, technical personnel and other necessary staff to work for the Joint Venture as per the Joint Venture's request;
(6) To the extent practicable, providing internationally advanced technology to the Joint Venture; and
(7) Assisting with and carrying out other relevant matters requested by the Joint Venture from time to time.
Responsibilities of Party B. (I) To attend the off-campus internship course planning, provide the Student with related practical training in accordance with the individual internship plan. Meanwhile, arrange the assignment to the internship provider, internship and working hours to help various practical skill training courses to train talents.
(II) To be responsible for planning the safety lectures, the layout of safety protection equipment at the internship site and related occupational safety and health measures before the Student’s attendance of the internship.
(III) To accept Party C’s regular on-site visit, and provide the counseling service to the Student jointly with the dedicated counselor designated by Party C, and also attend the internship performance appraisal by completing the “Form of Performance Appraisal and Feedback by Business Counselor” before the end of the internship.
Responsibilities of Party B. (1) at the request of the Company, Assist the Company to procure equipment outside China;
(2) Assist in applying for Japan entry visas for employees of Party A or of the Company and any other relevant persons when they need to enter Japan for the purpose of the business of the Company;
(3) Assist in the operation and management of the Company;
(4) submit any and all the documents and materials concerning Party B required by any Approval Authority or Registration Authority in relation to the Company; and
(5) pay its consideration for the share of the Additional Contribution subscribed for by it in the amount and at the time specified herein.
Responsibilities of Party B. In addition to its other obligations under this Contract Party B shall have the following responsibilities, which shall be carried out directly or through its Affiliates:
(a) when requested by the Company, assist the Company in the purchase of equipment, supplies and materials manufactured inside or outside China ;
(b) assist the Company in obtaining loans when necessary;
(c) assist the Company in recruiting expatriate and local personnel;
(d) assist the Company in arranging training of Company personnel in China or abroad as contemplated in the Technology License Contract;
(e) assist the Company in generating export opportunities; and
(f) handle other matters entrusted by the Company from time to time.
Responsibilities of Party B. In addition to its other obligations under this Contract, Party B shall undertake the following responsibilities:
(1) assist the Joint Venture Company in purchasing, leasing or otherwise procuring office furniture and equipment, vehicles, products and other materials required for the Joint Venture Company’s operation from sources outside China;
(2) assist Chinese employees of the Joint Venture Company and members of the Board of Directors who travel outside China for Joint Venture Company business in obtaining foreign country visas and invitation letters and certifications required for processing other necessary travel documents;
(3) assist the Joint Venture Company in recruiting and training skilled managers and technical personnel; and
(4) handle other matters entrusted by the Board of Directors.
Responsibilities of Party B. In addition to its responsibilities set forth elsewhere in this Contract, Party B shall perform the following duties:
(a) use its best efforts to help obtaining Approvals from the relevant governmental authorities in connection with the establishment of the Company and the performance of the obligations of all the Parties hereunder, obtaining from the appropriate PRC governmental authority of the Business License, registering of the Company with the appropriate PRC tax authorities and obtaining and maintaining in force of licenses, permits, consents, authorizations, approvals and agreements that are necessary for the Company to conduct its goals, business operations and business objectives in accordance with the terms of this Contract;
(b) make its contribution in the form and manner and at the times required by this Contract and the Articles of Association;
(c) fulfill its obligations, and ensure that its Affiliates fulfill their obligations, set forth in the Transaction Documents to which it is, and/or they are, a party or parties;
(d) appoint in a timely manner members of the Board as specified in Section 8.1(b).
(e) nominate in a timely manner candidates to serve as the General Manager Company's and financial manager;
(f) cause its representatives on the Board to implement the Budget and the approved Business Plan, to act in the Company's best interests and to perform and take all actions in accordance with this Contract, the Articles of Association, the Feasibility Study, the Transaction Documents and the intent of the Parties;
(g) use reasonable efforts to assist the Company with respect to content sourcing, business development, financial management, strategic development, corporate governance and fundraising; and Equity Joint Venture Contract
(h) assist the Company in other matters as requested by the Board.
Responsibilities of Party B. 3.2.1. For outlining the products list of the designated sports nutrition and health food by IFBB according to the need of the sports nutrition and health food development of the IFBB. To be the exclusive global general agent of IFBB designated nutrition and health products, and responsible to appoint a special person as the company's Marketing Director. And be responsible for the preparations for the establishment of a sports nutrition and health product factory in Zamenwude International Free Zone, Mongolia.
3.2.2. Responsible for designing and developing IFBB trademark designs (including logos) for sports nutrition and health products, and responsible for designing media publicity programs for the global promotion of designated sports nutrition and health products.
3.2.3. Responsible for the formulation of marketing models and incentive program to facilitate market expansion, vigorously strengthen the construction of health products in the global channels of affiliates, agents and distributors, responsible for the formulation of annual and periodic product sales plans, as well as large-scale international competitions designated products (or gifts) for special plans.
3.2.4. Responsible for the global IFBB events and the needs of athletes, designated the personnel to responsible for the sales and operation of the competition area, in accordance with the company's operational management process, regularly provide Party C the purchase orders or supply contracts, including product variety and quantity, to ensure the smooth operation of the production, logistics and processing.
Responsibilities of Party B. (1) Party B shall be responsible for the operation of the kiosks as follows:
1. Be responsible for the marketing of smart kiosks;
2. Solicit qualified merchants to settle in, or cooperate with settled merchants to operate smart kiosks;
3. Operate or entrust a third party to operate the smart kiosks;
4. Provide services necessary for merchants to settle in, including without limitation to site selection services, government coordination, consulting services and technical services;
(2) Party B shall have the right to operate the kiosks. For this purpose, Party B shall have the right and obligation to independently determine the marketing promotion, settlement, cooperation and operation method of the kiosks and the business arrangements of relevant parties, including without limitation to:
1. Promoting and publicizing the smart kiosks by themselves or by entrusting a third party (such third party may cooperate with any other party as necessary);
2. Operating by themselves, attract investment or entrust a third party to operate (such third party may cooperate with or entrust any other party to make operation), operate kiosks in cooperation with a third party or through other legal means;
3. Seek for or entrust any third party (such third party may cooperate with any other party as necessary) to seek for or recruit cooperative kiosk operators, independent operators and/or provide them with kiosk settlement and related services;
4. Under the condition of not violating relevant laws and regulations, decide on other business models and cooperation methods for market promotion, kiosk settlement, kiosk cooperation and kiosk operation.
(3) The scope and items of business of the kiosk shall be legal and compliant. Party B shall report the scope and items of business of the kiosk to Party A in writing for the consent of Party A, so as to avoid the business competition with Party A in the same line.
(4) Party B shall operate lawfully, without violating relevant laws and regulations. Party A shall have the right to request Party B to provide information on matters (behaviors) that occur/will occur in the business activities and are closely related to the interests of Party A, and Party B shall inform Party A of relevant solutions (or similar documents) before the implementation of the aforesaid matters (behaviors).
