Self-Management. 8.6.1 Each employee is required to carry out duties and responsibilities in accordance with Company procedures and the responsibilities as defined within the Australian Code for the Transportation of Dangerous Goods by Road.
8.6.2 Employees will be diligent in the pre-start vehicle inspections and procedures and report all defects and maintenance requirements to Management promptly. To the best of the employees’ ability all paperwork is to be submitted completed as accurately as possible including the description of maintenance items that require attention. Copies of maintenance reports are to be provided to employees upon request.
8.6.3 Employees will assist Management in assessing and improving vehicle operating costs.
8.6.4 Energy conservation, minimisation of pollution and road safety are high priorities within the Company and employees must drive in a manner that reflects those priorities.
8.6.5 Employees will be diligent in adhering to in-transit procedures for inspection of tyres and equipment.
8.6.6 Employees are responsible to keep the interior and exterior of their vehicle clean and tidy. Employees driving trucks, that are not deemed to be their vehicle, shall return those trucks to the normal employee in the condition in which they received them.
8.6.7 All employees will be required to work as directed.
Self-Management. Our goal is to teach students our behavior expectations and the skills of self-management. Self-managed students follow the school rules by being respectful, responsible, and safe. In an effort to focus on and reward students who are making good choices, Kalama Elementary staff adopted the Positive Behavior Intervention Supports (PBIS) approach to student management. This proactive approach is designed to affirm positive behavior by identifying and recognizing students demonstrating the desired behavior. When a student has trouble following school rules and expectations, the school staff will use the process outlined in the following pages to help the student change the behavior. The student’s freedom will be reduced until the problem can be solved.

The Self-Management shall have been completed and Parent shall deliver to the Company, at least ten (10) days prior to the date Parent reasonably believes the Self-Management will be completed, a certificate, signed by its chief executive officer or another senior officer on behalf of Parent, certifying to the Company that the steps set forth in Section 7.3(i) of the Parent Disclosure Letter have been completed, along with reasonable supporting documentation regarding the completion of the steps set forth in Section 7.3(i) of the Parent Disclosure Letter, and during such ten (10)-day period Parent and the Company shall cooperate in good faith in connection with the review of such documentation.

Notwithstanding the terms of Section 4.14.1 above, provided (i) no Event of Default has occurred and is continuing, (ii) the entire Property is demised pursuant to the PUREgraphite Lease or a replacement Lease entered into in accordance with terms hereof which is in full force and effect, (iii) the applicable Lease is a “triple net” lease and the Borrower does not have any ongoing management or operations obligations with respect to the applicable Lease or the Property, (iv) the Tenant pursuant to said Lease is not in material default thereunder (beyond any applicable notice and cure period), and (v) Borrower has not engaged any manager nor entered into any management agreement with respect to the Property, Borrower shall not be required to enter into a Management Agreement or engage a Manager to manage the Property, and the terms hereof regarding management of the Property shall be deemed satisfied (the foregoing, collectively, the “Management Waiver Conditions”). At any time that the Management Waiver Conditions are no longer satisfied, Lender shall have the right to require Borrower to (1) engage (x) an Unaffiliated Qualified Manager selected by Borrower or (y) another property manager chosen by Borrower and approved by Lender (provided, that such approval may be conditioned upon Borrower delivering a Rating Agency Confirmation from each applicable Rating Agency as to such new property manager and management agreement) to manage the Property in accordance with the terms hereof and (2) satisfy the New Manager Conditions in connection therewith.

Self-Management. This Section 6.46(b) will apply if Self-Managed is selected under Private Facility Management in Section 1.04. The Private Facility is self-managed by the Borrower. Borrower represents and warrants as follows:
(i) Borrower self-manages the Private Facility and no agent, affiliated or unaffiliated with Xxxxxxxx, receives a fee or other compensation for managing the Private Facility.
(ii) Xxxxxxxx will not engage a third party manager to manage the Private Facility without Xxxxxx’s prior written consent.
(iii) If Lender determines that the Private Facility is not being managed in accordance with generally accepted management practices for private facilities similar to the Private Facility, then Lender may, at its option, deliver Notice to Borrower, which Notice will specify the management issues. If Xxxxxx determines that the issues specified in Xxxxxx’s Notice are not remedied to Xxxxxx’s satisfaction by Borrower within 30 days from receipt of such Notice or that Borrower has failed to diligently undertake correcting such issues within such 30 day period, or if an Event of Default has occurred and is continuing, Borrower will, at Xxxxxx’s direction, engage a professional manager satisfactory to Lender at all times under a Private Facility Management Agreement, which manager will execute an assignment of Private Facility Management Agreement in a form acceptable to Lender. Borrower will not surrender, terminate, cancel, modify, renew or extend such Private Facility Management Agreement, or enter into any other agreement relating to the management or operation of the Private Facility with such manager or any other Person, or consent to the assignment by such manager of its interest under such Private Facility Management Agreement, in each case without the consent of Lender, which consent will not be unreasonably withheld. If at any time Xxxxxx consents to the appointment of a new private facility manager, such new private facility manager and Borrower will, as a condition of Xxxxxx’s consent, execute an assignment of Private Facility Management Agreement in a form acceptable to Lender.
