Seller Personnel a. If this Contract requires Seller to provide services, Seller shall assign personnel satisfactory to Buyer to conduct such services. Buyer may, for good cause shown in Buyer’s sole determination, require Seller to withdraw the services of any person and require that Seller promptly provide replacements for such person satisfactory to Buyer.
b. In the event that employees of Seller shall be on Buyer’s sites for extended periods of time, Seller shall ensure that its employees performing under this Contract comply with Boeing’s Ethical Business Conduct Guidelines. The Guidelines are available at the following Internet address: xxxx://xxx.xxxxxx.xxx/companyoffices/aboutus/ethics/ethics_booklet.pdf.
Seller Personnel. Seller shall provide, at AT&T's request and at locations selected by AT&T, and at no charge to AT&T, technically competent personnel of Seller to assist in the identification and resolution of any performance problems which may jeopardize the progress of the first installation of a Product. Seller shall also provide, at AT&T's request, any performance information available from any source which could aid AT&T in evaluation of Product performance.
Seller Personnel. Seller is responsible for having in place with all its personnel (either directly or indirectly through their respective employers) and subcontractors such agreements respecting Intellectual Property Rights as are necessary to comply with this Section.
Seller Personnel. (a) Seller shall not directly solicit employees of CSC or CSC’s client other than those currently performing the work in Air Operations to undertake employment with it, its parent company, or any subsidiary company or any affiliated company during the performance of this Subcontract and for a period of one year thereafter. Direct solicitation does not include advertisements in the general media and, except to the extent that an individual was specifically encouraged to respond to such advertisements, there shall be no restrictions on the hiring of individual so responding.
(b) Seller’s association with CSC is that of an independent contractor, and both Seller and CSC disclaim any desire or intention to create an employer-employee relationship between Seller’s employees and CSC. No employee of Seller shall have any entitlement to benefits provided by CSC to its own employees. In addition, this Subcontract shall not constitute, give effect to or otherwise imply a joint venture, partnership or business organization of any kind. Seller is an independent party and shall not act as an agent of CSC for any purpose.
Seller Personnel. Seller will engage only qualified Seller personnel and be liable for all acts and omissions of such Seller personnel, including responsibility for such Seller personnel compliance with safety standards and Applicable Laws and Regulations, and compliance with Buyer’s Level 2 background check requirements as set forth in APPENDIX N (National Grid Contractor Background Check Program). Any illegal acts, including but not limited to terrorism affecting property and/or personnel of the Buyer or its Affiliates, the Seller or third parties shall be considered grounds for finding Seller in default and terminating the Agreement for default in accordance with Section 8.4 (Rights of the Non-defaulting Party; Forward Contract) of the General Terms and Conditions, in addition to all other rights and remedies available to the Buyer and its Affiliates under Applicable Law.
Seller Personnel. Personnel employed by Seller in connection with a Purchase Order shall be suitably qualified and experienced to undertake the work specified. In the event that AmSafe deems that the performance of Sellers personnel is unsatisfactory, AmSafe shall discuss the matter with Seller. Consequent upon such discussion, if there is no improvement in performance, AmSafe shall have the right to request replacement of any personnel assigned to the Purchase Order. Replacement of personnel shall be mutually agreed to between the parties. Seller personnel required to work on AmSafe’s sites shall at all times comply with the rules and regulations (including security regulations) of AmSafe. It is highlighted that Seller’s personnel and their vehicles may be searched by the appropriate site security authorities. Failure to comply with search procedures may result in admittance being refused. While at AmSafe’s facilities, Sellers personnel shall at all times comply with the requirements of the posted Health and Safety at Work Act, the posted Control of Substances Hazardous to Heath Regulations or any other posted statute for the time being in force replacing, extending or modifying these regulations.
Seller Personnel. The Buyer (or the Partnership) shall have no obligation to employ Seller's personnel after the Closing.
Seller Personnel. All Seller personnel performing the Work shall be qualified and capable of meeting industry standards of workmanship and performance to fulfill the requirements hereunder. ALSTOM may request the replacement of any of Seller’s personnel at no additional cost to ALSTOM.
Seller Personnel. (a) The Buyer shall offer employment (effective as of the Closing Date) to all of Sakura's employees and without a waiting period or other delay, and such employees shall be immediately eligible for all medical, vacation, sick leave, and other benefits under the Buyer's then existing employee benefit plans subject to eligibility and other requirements under such plans. To the extent that service is relevant for purposes of eligibility, participation or vesting under any Employee Benefit Plan, program or arrangement established, maintained or contributed to by the Buyer or any of its Affiliates (excluding any service plan, program or arrangement), Sakura employees shall be credited for service with Sakura prior to the Closing to the extent that such service is recognized under such employee benefit plan, program or arrangement of the Buyer or its Affiliates; provided, however, that such prior service with Sakura shall not be taken into consideration in the calculation or accrual of benefits under such plans. The Seller will assist the Buyer in hiring those employees of the Seller. The Seller shall assist and cooperate with the Buyer in communicating the proposed terms of employment or any employee benefits to employees designated by the Buyer; provided, however, that the Seller shall not make any unilateral statement to any employee in that regard. The Buyer shall not be obligated to continue or maintain any retirement, pension, health, insurance, or other Employee Benefit Plan maintained by the Seller for the benefit of the Seller's employees or retain any such employees for any specified period of time, it being understood that all such employees (other than for Xx. Xxxxx) shall be employed at will. The Seller solely is responsible for and shall timely pay or provide all wages, salaries, employment benefits of any kind or nature, arising out of or related to service performed through the Closing Date, including, without limitation, retirement, health and other benefits (including, without limitation, benefits required to be provided under COBRA), vacation pay, sick pay and any termination pay, whether due immediately or at some future date, whether or not required under any collective bargaining agreement. Seller Personnel. 9.1 Seller will assign qualified personnel to perform the Services, and will ensure that its personnel devote sufficient time and effort to performing the Services as necessary to complete all Services in accordance with this Statement of Work and to meet the performance standards set forth in this Statement of Work and elsewhere in the Contract. Seller will bear all liability for the acts or omissions of the personnel assigned to perform the Services. If Buyer determines that any Seller personnel performing Services are unacceptable, Buyer will notify Seller providing reasons in writing and Seller will take prompt, appropriate corrective action, which may include, at Buyer’s request, replacing the personnel, to be mutually agreed upon by the parties. Seller will pay all costs associated with replacing the personnel.
9.2 Nothing in the Contract will be construed to place Seller and Buyer in an agency, employment, franchise, joint venture or partnership relationship. Neither party has the authority to obligate nor to bind the other in any manner; and nothing contained in the Contract will give rise to or is intended to give rise to rights of any kind to any third parties. Neither party will make any representation to the contrary. The parties agree that Seller will perform its obligations under the Contract as an independent contractor. Seller retains the right and obligation to exercise full control of, supervision over and responsibility for Seller’s performance hereunder, including the employment, direction, compensation and discharge of Seller’s personnel, as well as compliance with workers’ compensation, unemployment, disability insurance, social security, withholding and all other laws, rules, codes, taxes, regulations and ordinances governing such matters.
9.3 When performing Services at Buyer’s facility, Seller personnel will observe and comply with Buyer’s security procedures (including with limitation those set forth in Appendix C, Honeywell’s Security Provisions for Employees of Honeywell Subcontractors/Sellers/Vendors or other procedures that apply in lieu of or in addition to Appendix C at particular Buyer Locations to the extent that pertinent Seller personnel are notified thereof in writing or by posting at the relevant Buyer Location), rules, regulations, policies, working hours and holiday schedules.
