Training & Technical Assistance. (a) To assist LICENSEE/sub licensee in exercising its rights hereunder, EURECTEC agrees to provide sufficient man-days of training and technical assistance each calendar year (beginning in the year of the Effective date) to LICENSEE/sub licensee and its employees anywhere in the Territory, so that LICENSEE/sub licensee will be able to use the Licensed Technology to its full potential. Such training and assistance shall be rendered by EURECTEC at no additional charge to LICENSEE/sub licensee, except for expenses to be reimbursed to EURECTEC as provided in Paragraph 3.1(c) below.

Training & Technical Assistance. (a) PR will provide Xxxxxxxx Consulting at no charge with a total of at one hundred sixty (160) hours of training services covering the Products for up to twenty (20) Xxxxxxxx Consulting personnel. PR shall also provide Xxxxxxxx Consulting at no charge with a reasonable level of update or "delta" training for each major release of the Products for up to twenty (20) Xxxxxxxx Consulting personnel; such update training to be provided in a timely manner to enable Xxxxxxxx Consulting to remain current with all Improvements. Training will be performed at a PR facility. PR will provide Xxxxxxxx Consulting personnel with written educational materials as part of the training program and will ensure that Xxxxxxxx Consulting personnel are afforded the opportunity to discuss with PR trainers the operation of the Products. Xxxxxxxx Consulting may use (but not copy) PR training materials for purposes of training additional Xxxxxxxx Consulting personnel after the initial training. PR will make additional copies of training materials available to Xxxxxxxx Consulting at its standard rates. In the event that Xxxxxxxx Consulting requests that PR deliver training at a site other than a PR training facility, Xxxxxxxx Consulting agrees to reimburse PR for travel and living expenses based on PR's standard internal expense policies. PR shall provide a copy of such expense policy upon request by Xxxxxxxx Consulting.
Training & Technical Assistance. Provide on-going technical assistance to Programs at a minimum in the areas of billing procedures, fee collection, recordkeeping, voucher child care policies and procedures, and in other areas as the CCRR and the Program deem appropriate or as EEC may require.

CHR will provide PEx personnel with comprehensive written educational materials as part of the training program and will ensure that PEx personnel are afforded ample opportunity to discuss with CHR trainers the operation of the CHR Features. Training & Technical Assistance. ViewRay shall provide training in the use and technical aspects of the Products to Distributor and Customers. For the initial on-site, go-live training provided in connection with Distributor’s first installation, ViewRay provides this training in the U.S. free of any charge, and Distributor must pay for reasonable travel and subsistence costs of the persons that receive ViewRay training in the U.S. For training provided within the Territory, the reasonable cost of travel and accommodations of the persons that ViewRay dispatches to the Territory to provide such training must be paid by Distributor. Additional ViewRay training may be purchased separately in accordance with ViewRay’s then current policies and prices. All training provided by ViewRay will be conducted in English and to the extent any Customer or Distributor personnel do not have adequate English language reading and comprehension skills, Distributor must provide at its cost, an interpreter and translation services sufficient to enable all personnel attending the training to understand and participate in the training courses meaningfully and effectively.
Training & Technical Assistance. (a) To assist LICENSEE/sub licensee in exercising its rights hereunder, QUANTUM agrees to provide sufficient man-days of training and technical assistance each calendar year (beginning in the year of the Effective date) to LICENSEE/sub licensee and its employees anywhere in the Territory, so that LICENSEE/sub licensee will be able to use the Licensed Technology to its full potential. Such training and assistance shall be rendered by QUANTUM at no additional charge to LICENSEE/sub licensee, except for expenses to be reimbursed to QUANTUM as provided in Paragraph 3.1(c) below. (b) To the extent LICENSEE/sub licensee requests such training and technical assistance in excess of the man-days provided in Paragraph 3.1 (a) above, QUANTUM shall be paid a per diem amount to be negotiated between the parties before such assistance and training is provided and which shall be paid before such assistance and training is rendered; provided that QUANTUM's representatives are then able to provide such training and technical assistance.
Training & Technical Assistance. (a) To assist Quantum in exercising its rights hereunder, FARU agrees to provide up to five man-days of training and technical assistance for each plant to Quantum and its employees anywhere in the Territory, so that Quantum will be able to use the Licensed Technology to its full potential. Such training and assistance shall be rendered by FARU at no additional charge to Quantum, except for expenses to be reimbursed to FARU as provided in Paragraph 3.1(c) below.

Training & Technical Assistance. WSCAP is responsible for providing Technical Assistance and Training on behalf of the Department of Commerce and the needs of the Community Action network. WSCAP will contract, when necessary, with consultants to provide training and supportive services as identified in an annual T & TA Needs Survey and thru ongoing training requests from Community Action Agency (CAA) staff and Commerce CSBG staff. WSCAP will provide outreach and marketing of this service to CAA staff, inclusive of Executive Directors, Fiscal Directors, Human Resource staff, CSBG Program Staff, CSBG Data staff, and Board members.

  • Technical Support State Street will provide technical support to assist the Fund in using the System and the Data Access Services. The total amount of technical support provided by State Street shall not exceed 10 resource days per year. State Street shall provide such additional technical support as is expressly set forth in the fee schedule in effect from time to time between the parties (the “Fee Schedule”). Technical support, including during installation and testing, is subject to the fees and other terms set forth in the Fee Schedule.

  • Transition Assistance If this Contract is not renewed at the end of this term, if the Contract is otherwise terminated before project completion, or if particular work on a project is terminated for any reason, Contractor shall provide transition assistance for a reasonable, mutually agreed period of time after the expiration or termination of this Contract or particular work under this Contract. The purpose of this assistance is to allow for the expired or terminated portion of the services to continue without interruption or adverse effect, and to facilitate the orderly transfer of such services to State or its designees. The parties agree that such transition assistance is governed by the terms and conditions of this Contract, except for those terms or conditions that do not reasonably apply to such transition assistance. State shall pay Contractor for any resources utilized in performing such transition assistance at the most current Contract rates. If State terminates a project or this Contract for cause, then State may offset the cost of paying Contractor for the additional resources Contractor utilized in providing transition assistance with any damages State may have sustained as a result of Contractor’s breach.
