CUSTOMER DEPENDENCIES. 1.1 The Service Provider's sole and exclusive remedy for the Customer failing to meet any of its Customer Dependencies is set out in this clause 21 and the Service Provider shall not be entitled to sue the Customer for breach of contract or terminate the Agreement due to a failure of the Customer to meet the Customer Dependencies.
CUSTOMER DEPENDENCIES. To the extent specified in a SOW, Provider’s ability to provide a Deliverable or other element of the Services may be dependent upon Customer’s provision of information or other Customer Materials to Provider (each, a “Dependency”). Provider will notify Customer in the event the Services may be delayed due to Customer’s failure to provide a Dependency when required by the SOW.
CUSTOMER DEPENDENCIES. Entrust has a number of interdependent contracts and agreements, the Customer shall comply with interdependencies, Entrust will try to specify and advise as to the provision of such dependencies, but in any event the Customer will co-operate and work with Entrust to facilitate all reasonable requests made in-relation to the interdependencies and/or are essential to Entrust in providing the Services in a timely and complete manner.
CUSTOMER DEPENDENCIES. The Customer shall perform or procure the performance of the Customer Dependencies in a manner which ensures Darktrace is not delayed from performing its obligations in accordance with this Agreement. At all times during the Subscription Period, the Customer shall ensure that it does not make any material changes to its network without first notifying Darktrace of such changes and agreeing any resulting changes to the Fees.

CUSTOMER DEPENDENCIES. 2.1.1 The Customer will use Commercially Reasonable Efforts to perform the Customer Dependencies related to Transition, Committed Transformation or Future Transformation (as applicable) by the times specified in Appendix 8-A (Transition and Committed Transformation Deliverables, Dependencies and Milestone Dates) or a SOW agreed in respect of a Future Transformation, or if a time is not specified, within a reasonable period, both Parties having consulted with each other regarding what would be a reasonable period of time in the circumstances. If the Customer fails to meet a Customer Dependency, despite using its Commercially Reasonable Efforts, then clause 21 (Customer Dependencies) of the Agreement applies.
CUSTOMER DEPENDENCIES. 3.1 Customer understands that the provision of the Services is dependent on the Customer's participation, availability, and cooperation. Consequently, the Customer understands that the following obligations on the Customer are dependencies upon which the Services are provided and that the Customer's failure to comply with these obligations shall relief Aurora from any liability with respect to the Services, including the proper achievement of the Service Levels: The Customer shall comply with all reasonable instructions from Aurora within the scope of the implementation and shall be responsible for the timely delivery of any Customer deliverables (if any). The Customer shall ensure that its personnel using the Services are adequately trained to use the Services. The Customer shall review documentation provided by Xxxxxx and make any decisions (where requested by Xxxxxx) regarding the approval of such documentation, and otherwise provide Aurora with any information about the Customer, its organization or IT environment necessary for Aurora to perform the Services. The Customer is responsible for the communication between the Customer and the Access Point. The Customer must have any equipment or software in place which Aurora has stated is required in order to use the Services. In order to be able to use the Services, the Customer must have valid telephony and SMS licenses in place. The Customer is responsible for its own equipment and software and any faults and defects contained in its equipment and software. The Customer is fully responsible and liable for Customer Data, which shall include an obligation to ensure that the Customer Data is free from viruses or other malicious software of code or otherwise cannot damage or interfere with Aurora's systems or the Services.
