General Duties and Obligations. 5.1 Without limiting any other provision of this Agreement the Employee must at all times during his employment hereunder: (1) be just and faithful in all transactions relating to the Company and the Novogen Group and must show the utmost good faith in the business of the Company and the Novogen Group; (2) give to the Company a just and faithful account of such transaction and also upon every reasonable request furnish a full and correct explanation thereof to the Company; (3) divulge to the Company all information or knowledge which he may possess in relation to the affairs, business and activities of the Company; (4) use his best skill and endeavour to promote the interest and welfare of the Company and the Novogen Group and carry out the same for the utmost benefit of the Company and the Novogen Group and diligently and faithfully apply himself to the affairs, business and activities of the Company; and (5) not at any time intentionally do anything which directly or indirectly may impair or be likely to impair the good name and reputation of the Company or the Novogen Group. 5.2 The Employee must carry out his employment and must conduct himself at all times in a professional manner.

General Duties and Obligations. The General Contractor will perform all of its obligations under the Contract Task Matrix (Exhibit C), as amended, and the Agreement including, but not limited, to the following: (a) assist the Prime Consultant during all phases of design by providing Target Value Design services (including set based design, alternatives, constructability and cost analyses) and by coordinating design information between Design- Build Subcontractors and the PITS; (b) actively collaborate with Prime Consultant, PITS, and other IPD Team Members throughout the design process to develop a complete set of coordinated Implementation Documents that meet or exceed the Base Program; (c) support and collaborate in Target Value Design (Section 7.2.5); (d) manage Project information by using a Building Information Model or Models linked to Project cost and schedule databases and provide Model checking and validation, including clash detection and integration of subcontractor models and integration with Project schedules (4D); (e) collaborate with Prime Consultant to produce visualization aids such as renderings or computer generated video; (f) work with Prime Consultant to produce a Record Model to Owner after Final Completion of the Project; (g) work with the Prime Consultant to produce a Project manual that documents the management protocols, Co-location Plan, QA/QC plan, risk assessment/mitigation strategy, safety plan, work hours and work restrictions, communication protocols, specifications, Project terminology, forms and similar administrative and procedural requirements; (h) manage, perform, oversee, and direct all Construction Work in accordance with the Implementation Documents and Project Objective through Final Completion of the Project, including applying for Permits and maintaining the premises and surrounding area free from the accumulation of undue waste materials or rubbish and arranging for the clean up of the Project at the completion of Construction Work; (i) coordinate work with Owner’s Separate Contractors, including integration of the Separate Contractors into project planning, scheduling, and coordination activities; (j) install, commission, and test as required, including ancillary construction necessary for installation, of all Owner furnished materials and equipment; (k) engage in “pull-based” scheduling for Construction Work using Lean project delivery methods to avoid advancing the construction beyond what is called for in the work plan or identified as work...

General Duties and Obligations. (a) Subject to Section 2.8, the Trustee has the duty to hold all property received by it and any income and gains thereupon, to manage, invest and reinvest the Trust Fund, to collect the income therefrom, and to make payments as provided in this Trust Agreement. (b) The Trustee is responsible only for money or assets that it actually receives. The Trustee has no duty to compute amounts to be paid to it by the Company or to enforce collection of any contribution due from the Company. The Trustee will not be responsible for the correctness of the computation of the amount of any contribution made or to be made by the Company. (c) The Trustee will make payments and disbursements from the Trust Fund to or on the order of the Administrative Committee. Orders of the Administrative Committee with respect to disbursements from the Trust Fund will specify the application to be made of such funds, and the Trustee may rely on the Administrative Committee’s instructions regarding disbursements from the Trust Fund. (d) Subject to the provisions of Section 7.2(b), the Trustee has the duty to comply with any directive issued by the Administrative Committee to withdraw and transfer all or any part of the Trust Fund to another trustee or another successor funding agent. (e) With respect to all Employer Stock held in the Trust Fund, the Trustee has the duty to (i) vote such shares on any matter presented to stockholders for a vote in accordance with the provisions of Section 4.3; (ii) decide whether to give general or special proxies or powers of attorney with or without power of substitution with respect to such shares; (iii) decide whether to exercise any conversion privileges, subscription rights or other options and to make any payments incidental thereto; (iv) decide whether to consent to or otherwise participate in corporate reorganizations or other changes affecting such shares that are not presented to stockholders for a vote; (v) decide whether to exercise rights of appraisal and similar rights and make decisions with respect to choice of consideration relating thereto and to pay any assessments or charges in connection therewith; (vi) decide whether to tender such shares in the event of a tender offer in accordance with the provisions of Section 4.4; and (vii) maintain the confidentiality of information with respect to the exercise by Participants of voting, tender and similar rights with respect to the Employer Stock pursuant to procedures that comply with 29 C.F...

General Duties and Obligations. The Representative must: (a) have the skill, experience and qualifications to perform the duties and obligations under this agreement; (b) act efficiently, honestly and fairly at all times in performing the duties and obligations under this agreement and manage all conflicts of interests; (c) ensure that in dealing with Clients it will always act in the best interests of the Client; (d) comply with all of the conditions and limitations of the Licensee’s AFSL to the extent that they apply to the Representative when providing the Authorised Services and not provide any other Financial Services which would otherwise require its own AFSL; (e) not act in any manner that does, or could foreseeably, bring into disrepute or harm or otherwise damage the good name, reputation and/or goodwill of the Licensee, its Referral Sources or the IOOF Group; (f) adhere strictly to the Compliance Manual when acting as an Authorised Representative of the Licensee; (g) only provide Authorised Services in relation to Approved Products and not conduct any other transactions, accept or solicit business, or provide any other professional (h) provide the Authorised Services from the Office and not conduct any other business from the Office without the Licensee’s consent; (i) pay for all costs, charges and expenses (including operational outgoings and liabilities but excluding any agreed Office expenses) and insurance in providing the Authorised Services and conducting its Business; (j) ensure that, unless otherwise agreed to by the Licensee, only use or distribute Intellectual Property supplied by or approved by the Licensee in the provision of Authorised Services; (k) strictly monitor and supervise the activities of its Personnel; (l) deal with any issues, enquiries and Client complaints arising out of or in connection with this agreement or the provision of Authorised Services; (m) inform the Licensee immediately of any complaint by or dispute with a Client relating to the provision of the Authorised Services. General Duties and Obligations. During the existence of the Management Agreement, the Contractor shall provide the Operation and Management Services set out herein and will operate, maintain and manage the Facility in compliance with this Contract and the Standards. Only Residents accepted by the State pursuant to State contracts and Standards may be housed in the Facility. It is understood and agreed that the State will sign all Intergovernmental Agreements (IGAs) presented to it by Contractor, provided these agreements are not otherwise inconsistent with the requirements of this Contract and meet the State's placement criteria for this Facility. It is the intent of all parties of this Agreement that the Contractor, in its operation of the Facility under the approved OPERATIONAL PLAN, incorporated into this Agreement as EXHIBIT 4, shall comply with Standards and fully consider State policy statements and recommendations. The Contractor may, however, establish non-State policies and procedures in its Operational Plan so long as the operations and management services attain goals established by such State policy statements or recommendations.

The service will provide assistance to TJJD employees, their families, or household members, in dealing with problems associated with, but not limited to: alcohol or drug dependency; mental and emotional health; financial burdens; legal; martial and family problems; work related stress; and career counseling, at no cost to the participants or the participant's insurance carrier. This Contract and any related purchase orders or agreements are binding contractual documents between the Department and the Contractor. The EAP will be a resource for participants with personal problems which may affect employee job performance and/or work behaviors. The EAP is provided as a resource to participants for self-referral to address their concerns and problems. The program should provide guidance and counseling to help employees overcome their problems and restore them to full job effectiveness. The EAP Contractor must be able to provide a broad scope of services to include short-term counseling, treatment, and/or referral for all participants. Direct services to participants will include a twenty-four (24)-hour toll-free "helpline" staffed with trained counselors and the availability of a minimum of six (6) counseling sessions per incident or problem per Contract year. Direct services to teenage participants will include a 24-hour toll-free "Teen Helpline", staffed with trained counselors and the availability of a minimum of six (6) counseling sessions per incident or problem per Contract year. Other services will include conducting information and/or education with TJJD staff and providing pamphlets, brochures, wallet cards, posters, and videos to inform and educate all employees about the EAP.
