OPERATIONAL TRANSFER. 1. It is recognized that to meet the necessities of the business or to advance the Employer's equal employment opportunity program, transfer of employees either within the geographical jurisdiction of a Union party to this Agreement or from the jurisdiction of one such Local Union to another such Local Union may be required. In such cases where such transfer is effected by the Employer, the transferred employee will carry to such employee's new assignment all seniority, as defined above, acquired in the employ of the Employer. This transfer rule shall have application to both the "available" and "self-restricted" seniority lists. Transfers referred to in this Section shall not require an employee to travel one way more than twenty-five (25) miles between the employee's residence and the new location. Reasonable tolerance of these limits shall be allowed for temporary transfers such as vacation relief and store openings.
2. In cases involving operational transfers, the Employer must show either (a) business necessity or (b) the transfer's necessity to advance the Employer's equal employment opportunity program.
3. A senior employee may refuse an operational transfer only if it is over twenty-five (25) miles from his place of residence; provided, however, that the employee is protected inasmuch as the operational transfer provisions shall not be applied in an arbitrary, capricious, or discriminatory manner, or for disciplinary purposes, and shall not be utilized as a device for creating hardship to the employee in order to force or provoke resignation.
4. If an employee, on either list, is transferred to another store for any reason, he carries his seniority with him, provided that no employee on the "available" seniority list is displaced or reduced in hours as a direct result of a transfer from the geographical jurisdiction of one Local Union party to this Agreement to the geographical jurisdiction of another Local Union party to this Agreement.
5. The Employer shall have the right to transfer employees from one Company district to another Company district without regard to Local Union jurisdiction and without penalty. Such transferred employees shall retain all their seniority rights.

OPERATIONAL TRANSFER. Service Provider shall perform all activities requested by DIR pursuant to Section 4.4 of the Master Services Agreement to effect a smooth transfer of operational responsibility for the Services to DIR, the DIR Customers and/or their designee(s). This shall include:
(a) Providing to DIR, the DIR Customers and/or their designee(s) machine-readable source and object code (to the extent DIR, the DIR Customers and/or their designee(s) are entitled to such code under the Agreement), along with run documentation and job control listing for the Software, and other similar information necessary to provide the Services;
(b) To the extent used to provide the Services, documenting and delivering source materials (to the extent DIR, the DIR Customers and/or their designee(s) are entitled to such materials under the Agreement), object libraries and reference files;
(c) To the extent required by DIR and applicable to the Services implicated by the relevant Assistance Event, delivering support profiles, enhancement logs, problem tracking/resolution documentation, and status reports associated with the Services;
(d) Providing any trouble logs that DIR does not already have, reporting back at least twelve (12) months prior to the effective date of the relevant Assistance Event, and returning any other Authorized User information collected or maintained as part of the Services implicated by the relevant Assistance Event;
(e) Providing assistance in identifying alternate sources of resources, including skilled labor;
(f) Providing for the orderly hand-off of ongoing projects (including Projects), including a listing of current and planned projects, as well as all Systems, Software and Equipment ordered or in process. With respect to each project, document current status, stabilize for continuity during transfer, and provide reasonable training to achieve transfer of responsibility without loss of momentum;
(g) Providing documentation used by Service Provider to provide the Services, including technical documentation, in electronic media;
(h) Documenting and delivering data bases specific to the Services as well as DIR Data;
(i) Transferring physical and logical security processes and tools (to the extent required under the Agreement), including cataloging and tendering all badges and keys for DIR Facilities, documenting ownership and access levels for all passwords, and instructing DIR, the DIR Customers and/or their designee(s) in the use and operation of security controls;...
OPERATIONAL TRANSFER. As of the date hereof, Management Company will commence operations of the Facility and Mountain West Retirement Corporation, dba Bonaventure Senior Living, an Oregon corporation (“Existing Operator”), the manager of the Facility immediately prior to the Commencement Date, will cease managing the Facility. In order to facilitate a transition of operational and financial responsibility from Existing Operator to Management Company in a manner that will ensure the continued operation of the Facility after the Commencement Date in compliance with applicable law and in a manner that does not jeopardize the health and welfare of the residents of the Facility, Management Company and Tenant hereby agree as follows:
