Payment of Wages and Expenses. Executive acknowledges and represents that, other than the consideration set forth in this Agreement, the Company has paid or provided all salary, wages, bonuses, accrued vacation/paid time off, reimbursable expenses, commissions, and any and all other benefits and compensation due to Executive. Executive understands and agrees that, except as set forth in this Agreement, she is neither entitled to nor shall she receive additional payments or benefits from the Company.

Payment of Wages and Expenses. 22.01 The Employer will pay all employees on a bi-weekly basis by direct deposit system, unless circumstances beyond the control of the Employer prevent the Employer from doing so. Pay stubs will reflect year to date totals. Management may make changes to the method and timing of payment of wages based on operational and/or business needs.
Payment of Wages and Expenses. 19.01 Employees shall be paid in accordance with the wage and classification schedule attached hereto as Schedule “A”, forming part of this Collective Agreement. (a) For the purposes of initial placement of a newly hired full-time or part- time employee on the wage grid, such employee may make a claim, in writing, for the recognition of related education and/or experience after the end of the employee’s probationary period. The employee shall co-operate with the employer by providing verification of such education and/or experience. The Employer shall assess the applicability of the previous education and/or experience during the employee’s probationary period and where such education and/or experience is acceptable; the Employer shall place the employee at an appropriate level on the wage grid. (b) For those employees who acquire additional related education during their employment with the Employer, the employee may make a claim, in writing, for the recognition of the related education. The employee shall co-operate with the Employer by providing verification of such education. The Employer shall assess the applicability of the education and where such education is acceptable; the Employer shall place the employee at an appropriate level on the wage grid. (c) The Employer agrees to notify the Union upon the placement of any employee in accordance with this Article. 19.03 Employees will be paid by direct deposit into their specified bank account on alternate Fridays. On each pay day, each employee shall be provided with an itemized statement of his/her hours of work, wages, overtime, deductions and premiums, if any. 19.04 It is understood that all statutory deductions required by law will be made from all payments provided to employees in accordance with this Collective Agreement. 19.05 Full-time employees who have a seniority date which is six (6) years or greater with the Employer or part-time employees who have worked greater than 12,480 hours will receive a payment of one percent (1%) of the employeesgross earnings per pay period. 19.06 An employee assigned temporarily by management to perform the full duties of a higher paid position for more than one (1) complete shift consecutively assigned or more than three (3) shifts in any two (2) week period, shall receive the pay for all hours worked in the higher position in excess of the one shift. Payment of Wages and Expenses. Calais hereby agrees to pay to Wxxx (a) $127,749.94 for all wages, including vacation, paid personal leave, bonus or otherwise, which are due, owing and accrued through Wxxx'x last date of employment which was February 7, 2005, and (b) amounts owed to Wxxx for any Calais business expenses incurred by Wxxx as an employee of Calais which are substantiated by written receipts provided to Calais and are expenses of a type and nature reimbursed by Calais, which amounts shall be paid to Wxxx by not later than the first to occur of (i) September 15, 2005 or (ii) Calais receiving net proceeds from one or more debt financings or equity financings occurring after the date of this Agreement, individually or in the aggregate, of not less than $6,000,000 (excluding the $220,000 to be received by Calais from a third party investor substantially concurrently with Calais' delivery of this Agreement). Payment of the sums described in this Section 4 shall fulfil, satisfy and discharge all obligations of Calais to Wxxx with respect to, and Wxxx hereby waives all rights or claims to, any other or additional compensation, salary, bonus, benefits, expenses, reimbursements or other amounts. You shall not be required to pay expenses of any activity which is primarily intended to result in sales of Shares of the Fund if and to the extent that (i) such expenses are required to be borne by a principal underwriter which acts as the distributor of the Fund's Shares pursuant to an underwriting agreement which provides that the underwriter shall assume some or all of such expenses, or (ii) the Trust on behalf of the Fund shall have adopted a plan in conformity with Rule 12b-1 under the 1940 Act providing that the Fund (or some other party) shall assume some or all of such expenses. You shall be required to pay such of the foregoing sales expenses as are not required to be paid by the principal underwriter pursuant to the underwriting agreement or are not permitted to be paid by the Fund (or some other party) pursuant to such a plan.

  • Certain Costs and Expenses The Company shall (a) pay, or cause to be paid, all costs, fees, operating expenses and other expenses of the Company and its Subsidiaries (including the costs, fees and expenses of attorneys, accountants or other professionals and the compensation of all personnel providing services to the Company and its Subsidiaries) incurred in pursuing and conducting, or otherwise related to, the activities of the Company and (b) in the Good Faith discretion of the Managing Member, reimburse the Managing Member for any costs, fees or expenses incurred by it in connection with serving as the Managing Member. In the event that (i) Class A Shares or other Equity Securities of PubCo were sold to underwriters in the IPO or any public offering after the Effective Time, in each case, at a price per share that is lower than the price per share for which such Class A Shares or other Equity Securities of PubCo are sold to the public in such public offering after taking into account any Discounts and (ii) the proceeds from such public offering are used to fund the Cash Election Amount for any redeemed Units or otherwise contributed to the Company, the Company shall reimburse the applicable member of the PubCo Holdings Group for such Discount by treating such Discount as an additional Capital Contribution made by such member of the PubCo Holdings Group to the Company, issuing Units in respect of such deemed Capital Contribution in accordance with Section 4.7(e)(ii), and increasing the Capital Account of such member of the PubCo Holdings Group by the amount of such Discount. For the avoidance of doubt, any payments made to or on behalf of any member of the PubCo Holdings Group pursuant to this Section 7.9 shall not be treated as a distribution pursuant to Section 6.1(a) but shall instead be treated as an expense of the Company.

  • Charges and Expenses The Company shall pay all transfer and other taxes and governmental charges arising solely from the existence of the depositary arrangements. The Company shall pay charges of the Depositary in connection with the initial deposit of the Stock and the initial issuance of the Depositary Shares, all withdrawals of shares of the Stock by owners of Depositary Shares, and any redemption of the Stock at the option of the Company. All other transfer and other taxes and governmental charges shall be at the expense of holders of Depositary Shares. If, at the request of a holder of Receipts, the Depositary incurs charges or expenses for which it is not otherwise liable hereunder, such holder will be liable for such charges and expenses. All other charges and expenses of the Depositary and any Depositary’s Agent hereunder (including, in each case, reasonable fees and expenses of counsel) incident to the performance of their respective obligations hereunder will be paid upon consultation and agreement between the Depositary and the Company as to the amount and nature of such charges and expenses. The Depositary shall present its statement for charges and expenses to the Company at such intervals as the Company and the Depositary may agree.

  • Interest Fees and Expenses (a) Interest on the Revolving Loans, whether bearing interest based on the Chase Bank Rate or LIBOR, shall be payable monthly as of the end of each month. Chase Bank Rate Loans shall be an amount equal to the Chase Bank Rate plus one quarter of one percent (.25%) per annum on the average of the net balances owing by the Company to CIT in the Revolving Loan Account at the close of each day during such month. In the event of any change in said Chase Bank Rate, the rate hereunder for Chase Bank Rate Loans shall change, as of the date of such change, so as to remain one quarter of one percent (.25%) above the Chase Bank Rate. The rate hereunder for Chase Bank Rate Loans shall be calculated based on a 360-day year. CIT shall be entitled to charge the Company's Revolving Loan Account at the rate provided for herein when due until all Obligations have been paid in full. (b) Notwithstanding any provision to the contrary contained in this section 8, in the event that the sum of the outstanding Revolving Loans exceed the lesser of either (x) the maximum aggregate amount available under Sections 3 and 5 of this Financing Agreement or (y) the Revolving Line of Credit: (A) as a result of Revolving Loans advanced by CIT at the request of the Company (herein "Requested Overadvances"), for any one (1) or more days in any month, or (B) for any other reason whatsoever (herein "Other Overadvances") and such Other Overadvances continue for five (5) or more days in any month , the average net balance of all Revolving Loans for such month shall bear interest at the Overadvance Rate. (c) Upon and after the occurrence of an Event of Default and the giving of any required notice by CIT in accordance with the provisions of Section 10, Paragraph 10.2 hereof, all Obligations shall bear interest at the Default Rate of Interest. 8.2 Interest on the Term Loan shall be payable monthly as of the end of each month on the unpaid balance or on payment in full prior to maturity. Chase Bank Rate Loans shall be in an amount equal to the Chase Bank Rate plus one half of one percent (.50%) per annum. In the event of any change in said Chase Bank Rate the rate hereunder for any such Chase Bank Rate Loans shall change, as of the date of such change, so as to remain one half of one percent (.50%) above the Chase Bank Rate.
