Provision of Hardware. 6.1 The Supplier may at its discretion supply hardware on loan to the Customer for the duration of the Services. Ownership of the hardware shall remain at all times with the Supplier. The Customer shall: (a) Retain all packaging (b) Maintain the hardware in good working condition (c) Return the hardware and all packaging to the Supplier, at the Customer’s cost, within 14 days of the termination of the services. 6.2 In the event that hardware that has been loaned to the Customer is not returned as per clause 6.1, the Supplier reserves the right to charge the Customer in full for the hardware, at new cost. 6.3 Risk in the hardware shall pass to the Customer on delivery or installation by the Supplier engineer, but ownership shall remain with the Supplier until payment for the hardware in full has been received. 6.4 The Customer shall inspect the hardware on delivery and notify the Supplier within three working days of any damage or any other problem with the hardware received. The hardware may be returned if: (a) The incorrect items have been delivered (b) The hardware is damaged or faulty (c) The Customer has any other legal right under law 6.5 With the exception of clauses 6.1 and 6.4 hardware may not be returned once ordered. 6.6 In the event of hardware being returned subject to clause 6.4: (a) the Supplier shall either arrange for a replacement item or for the original item to be repaired and returned to the Customer. (b) The Customer shall ensure returned items include all packaging, are free from damage (other than in the event of being reported as damaged on arrival) and have been treated with reasonable care. 6.7 If the Supplier determines that returned hardware is incomplete or damaged as per clause 6.6(b) the Supplier reserves the right to charge an appropriate fee to return the goods to as new. 6.8 Hardware that has not been returned as per clause 6.4 but which subsequently becomes faulty shall : (a) Be primarily subject to the manufacturer’s warranty (b) Have a Supplier warranty of 12 months from the date of purchase where warranty is not available as per clause (a) 6.9 The Supplier warranty as per clause 6.8 does not apply to any fault or defect arising from: (a) Fair wear and tear (b) Wilful damage, abnormal storage or working conditions, accident or negligence by the Customer or any third party (c) If the Customer fails to operate the hardware in accordance with the user instructions (d) Any alteration or repair by the Customer or a third par...

Provision of Hardware. 3.1. The Supplier shall make available all standard information made available by the Supplier or the manufacturer without charge along with the Hardware relating to the installation, use and/or operation of the Hardware (“Documentation”). 3.2. Unless expressly stated otherwise in the quotation, the Customer is responsible for providing any cabling, wiring and any other equipment needed for the installation of the Hardware or its connection to or interfacing with any other equipment, system or network. 3.3. Unless expressly stated otherwise in the quotation, delivery of Hardware shall not include installation which shall be the Buyer’s responsibility.
Provision of Hardware. 6.19.1 Provide Hardware subject to compliance by the Settlement System Administrator with its obligations under the remainder of this sub-section; 6.19.2 Be entitled to change the Hardware provided that: (a) the Settlement System Administrator has given to the Executive Committee reasonable prior notice of the intention to change the Hardware; (b) the Settlement System Administrator has given to the Executive Committee reasonable details of the proposed change, together with a timetable for implementation, at the time notice is given under paragraph (a) above; (c) the impact (if any) on the Settlement Software is detailed in the notice given under paragraph (a) above and, if there shall be any such impact, the proposed change to the Settlement Software shall proceed in accordance with the Change Management Policies; (d) any such change will not materially affect the operation or function of the Settlement System; and (e) all costs associated with any such change shall be met by the Settlement System Administrator (and shall not be recharged to Pool Members); 6.19.3 Make changes to the Hardware required by Pool Members, acting through the Executive Committee, provided that the Settlement System Administrator shall notify Pool Members in accordance with the Change Management Policies and appropriate changes to the Service Lines and/or the Menus of Prices shall be agreed in accordance with the Appendix hereto;
Provision of Hardware. 17.26.1 The Parties acknowledge that the Supplier shall not, as part of the Supplier’s Solution, deliver any new Hardware to the Customer prior to the Planned ATP Milestone Date. Provision of Hardware. 6.1 CDKX shall provide as part of provision of the required service, all Hardware and related facilities as specified in Schedule 1 for the operation of the System. 6.2 CDKX shall be responsible to install at the Location all Hardware and connect them to the existing hardware or equipment provided by APL (if any) for operation and/or connection to the System. In order for CDKX to install the Hardware to APL's existing equipment and hardware, APL shall provide to CDKX a list of specifications of the Location and APL's hardware and equipment (if any) prior to delivery of the Hardware as per Clause 5.2. 6.3 Upon delivery and installation of all the Hardware, APL shall have the right to use and keep such Hardware throughout the continuing period of eight (8) months from the Completion Date or such date when the System is Ready for Use ("Ready for Use Date") (whichever is later) without any costs or expenses to APL. At the expiry of the eight (8) month period from the Completion Date or the Ready for Use Date (whichever is later), APL shall have the option to either :- (a) purchase all the Hardware or only certain of the units comprising the Hardware as set out in Schedule 1 ("Units") . Shall APL wish to exercise its option to purchase all the Hardware or Units of the Hardware then APL shall serve notice to CDKX not less than 30 days prior to the expiration of the eight (8) months period of its intention to purchase such of the Hardware (which notice shall include a list of the Hardware it shall purchase); or (b) lease either all the Hardware or only certain of the Units comprising one (1) Robot Station, one (1) Database System, one (1) Printing System and one (1) Web System as set out in Schedule 1 ("One Set Unit") or one (1) Robot Station to CDKX. Shall APL wish to exercise its option to lease all the Hardware or One Set Unit of the Hardware then APL shall serve written notice to CDKX and less than 30 days prior to the expiration of the eight (8) months period of its intention to lease such of the Hardware (which notice shall include a list of the Hardware (which notice shall include a list of the Hardware it shall lease); or (c) purchase One (1) Robot Station and lease One Set Unit of the Hardware. Provision of Hardware. If Partner desires to have Red Hat perform the hardware testing, Partner will provide Red Hat with the all hardware to be tested and such hardware will become the property of Red Hat unless otherwise agreed in writing. For support purposes, Partner agrees to provide Red Hat with all hardware that is Red Hat Certified hardware within three (3) business days of Red Hat’s request for such equipment. Any hardware costs, transportation, insurance charges, custom duties, tariffs, expenses and other costs will be the sole responsibility of Partner and will be either paid directly by or invoiced to the Partner and are not included in any fees set forth herein. If any of the hardware provided to Red Hat by Partner is found to be defective, Red Hat will inform Partner and Partner will provide replacement hardware as soon as commercially reasonable. Red Hat will not return any hardware sent to Red Hat for certification, unless Partner (a) provides Red Hat with prior notice that it requires the hardware to be returned and (b) pays any and all associated costs of such return.
