Affiliate will link its site to areas within AllClient’s site using special URLs supplied by AllClients. 1.2 Affiliate agrees not to make any representations, warranties or other statements concerning XxxXxxxxxx.xxx, AllClient’s site, any of AllClient’s products or services, or XxxXxxxxxx.xxx site policies, except as expressly authorized herein.

RESPONSIBILITIES OF AFFILIATE. AFFILIATE agrees that it shall: A. Maintain adequate staff, facilities, and SCHOOL faculty at its premises located at to meet the educational goals and objectives of the SCHOOL’S Program in a manner consistent with the standards and requirements established by SCHOOL and the [add or substitute, as appropriate “LCME”] ACGME. B. AFFILIATE shall conduct formal quality assurance programs and review patient complications and deaths as follows: 1. All TRAINEES shall receive instruction in AFFILIATE’S quality assurance/performance improvement and risk management programs. To the degree possible and in conformance with state law, TRAINEES shall participate in appropriate components of AFFILIATE’S quality assurance/performance improvement and risk management programs. 2. AFFILIATE shall have a medical records system that assures the availability of medical records at all times and documents the course of each patient’s treatment and care. The medical records system must be adequate to support the education of TRAINEES and quality-assurance/performance improvement activities. C. Designate, after consultation with SCHOOL, a person to coordinate TRAINEES’ duty schedules and activities while at AFFILIATE. D. Protect the health and safety of TRAINEES on rotation at AFFILIATE’S health facility. E. Comply with all applicable laws, regulations, and [add or substitute, as appropriate: [“LCME”] ACGME requirements. AFFILIATE shall notify SCHOOL within five days of receipt of notice that AFFILIATE is not in compliance with any such laws, regulations, or requirements. F. Permit inspection of its clinical and related facilities by individuals charged with the responsibility for accreditation of SCHOOL and/or its [add or substitute, as appropriate: [“medical school”] residency programs. G. With respect to any professional services performed by TRAINEES under this Agreement, AFFILIATE agrees to inform SCHOOL as follows: 1. Immediately upon initiation of an investigation of a TRAINEE or SCHOOL faculty member or upon the occurrence of a substantive untoward event involving a TRAINEE or SCHOOL faculty member. 2. Within five days after receipt of service of a complaint, summons or notice of a claim naming or involving a TRAINEE or SCHOOL faculty member. 3. Prior to making or accepting a settlement offer in any lawsuit or legal claim in which a SCHOOL faculty member or TRAINEE has been named or in which a settlement is being proposed on their behalf, or 4. RESPONSIBILITIES OF AFFILIATE. ‌ 2.01 Affiliate shall permit a mutually agreed upon number of Program Fellows to rotate through the Department/Division of Medical Center for a mutually agreed upon period of time not to exceed the Term of this Agreement. 2.02 Affiliate shall designate a faculty or staff member (“Affiliate’s Academic Coordinator”) who shall coordinate the assignments to be assumed by Program Fellows and their participation in the Department/Division’s educational activities conducted at Medical Center, with a designated Medical Center faculty or staff member (“Medical Center’s Academic Coordinator”). 2.03 Affiliate shall send, to Medical Center’s Academic Coordinator, the name, biographical data, and a report of the health status of each Program Fellow prior to the beginning date of each training Program, for review and inclusion into Program Fellows’ files. 2.04 Affiliate shall be responsible for promptly supplying any additional information reasonably requested by Medical Center prior to the beginning date of each rotation. 2.05 Affiliate shall provide all forms and instructions necessary for documentation and evaluation of Program Fellows’ clinical experience. 2.06 Affiliate shall maintain all personnel and academic records of its Program Fellows. 2.07 Notwithstanding Affiliate’s supervision of Program Fellows’ clinical training, Affiliate acknowledges that Medical Center retains full authority regarding patient treatment and management and Affiliate shall ensure that Program Fellows follow, all protocols, policies and procedures, and rules and regulations established by Medical Center and its Medical Staff regarding patient treatment and management. 2.08 Affiliate acknowledges that all patient records maintained at or by Medical Center shall remain the sole property of Medical Center. Notwithstanding the foregoing, and subject to all applicable state and federal laws, including, but not limited to the Health Insurance Portability and Accountability Act and the Confidentiality of Medical Information Act, Affiliate and its agents shall be given reasonable access to and the ability to photocopy any patient records of the Medical Center where such records are reasonably necessary for legitimate business and legal purposes. 2.09 Affiliate shall comply with the accreditation standards of the ACGME or other accrediting body, which shall include, without limitation, the inspection of appropriate clinical facilities and taking all action necessary, consistent with applicable l...

Affiliate will promote the Analyzer and App as a debut diagnostic solution that may benefit Affiliate's customers by enabling them to record and track their individual subjective experiences during and after ingestion of given Consumables, including specific strains of cannabis. CDx will furnish marketing materials to Affiliate and Affiliate will help distribute the Analyzer and App by displaying and distributing these marketing materials to Affilliate's adult customers and end users ("Customers") on Affilitate's web-site(s) and/or physical place of business. 1.2. RESPONSIBILITIES OF AFFILIATE. 2.1. Affiliate will provide practicum, internship, or student teaching experience for Program Students enrolled in all student training programs of WVU. The number and level of Program Students, their program of education within the Affiliate, and the scheduling of their assignments at the Affiliate shall be determined by mutual agreement between the coordinator of education or fieldwork coordinator for WVU and the education coordinator and/or supervisor at the Affiliate. 2.2. Affiliate affirms that it will cooperate with personnel from Education Preparation Program/Provider (“EPP”) in the selection of the site(s) and professional certified cooperating teachers pursuant to requirements set forth in WVBE Policy 5100 for teacher candidates, student teachers, and resident teachers. 2.3. Affiliate affirms that it will permit Program Students to complete various clinical and field experience and become collaboratively involved in other educational activities in the county to broaden the Program Students’ experience. 2.4. Affiliate affirms that it will include student teachers, resident teachers and EPP in professional learning opportunities and provide high quality induction for resident teachers. 2.5. Affiliate affirms that if a conflict shall arise during the Program Student’s experience, appropriate EPP personnel will be contacted to resolve said problem in an amenable manner, with minimal trauma to the K-12 students, clinical teacher, and staff members. 2.6. Affiliate affirms that Residency I students are not permitted to provide coverage for vacant classrooms. 2.7. Affiliate affirms that each Residency II student who is recommended by the EPP will be hired on a Long-Term Residency Permit by the Affiliate as a substitute allowing Residency II students the opportunity to substitute in their host school a maximum of one day per week during Residency II. (Per WVBE Policies 5100 and 5202). 2.8. Affiliate affirms that resident teachers may not cover for a teacher of record without compensation during Residency II. 2.9. Affiliate affirms that each candidate completing a yearlong residency clinical experience is assigned a K-12 email address by the county during the residency clinical experience pursuant to requirements set forth in WVBE Policy 5100.
RESPONSIBILITIES OF AFFILIATE. AFFILIATE agrees it shall: AFFILIATE will provide CHAMBER oversight and funding to include: During calendar year 2016, AFFILIATE will pay CHAMBER up to $42,500 in response to quarterly invoices for costs associated with the program. Payments will be limited no more than $30,000 for administrative services and $12,500 for the procurement, installation, and incidental costs associated with the Military Recognition Banners.

RESPONSIBILITIES OF AFFILIATE. AFFILIATE agrees that it shall: A. Maintain adequate staff, facilities, and supervising clinicians at AFFILIATE locations covered by this Agreement to meet the educational goals and objectives of the NAME's Program, and in a manner consistent with the standards and requirements established by NAME and the applicable ORGANIZATIONS. The list of AFFILIATE’s sites under this Agreement are as follows: B. Structure schedules for supervising clinicians at AFFILIATE’s facilities in a manner that assures the NAME’s Program Director(s) that adequate supervision is readily available to STUDENTS. C. Provide services and develop systems to minimize the work of STUDENTS that is extraneous to their educational program(s).
RESPONSIBILITIES OF AFFILIATE. AFFILIATE shall: A. Be responsible for the provision of client services. AFFILIATE agrees that it will not use TRAINEES as substitute AFFILIATE staff and will not expect TRAINEES to render client services except as identified for educational value as part of the Program. AFFILIATE’s staff will be solely responsible for the provision of client services and for the direction and supervision of TRAINEE in the performance of any and all experiential activities. B. Provide education and training to TRAINEE. C. Maintain adequate staff and facilities at its locations listed below that meet the educational goals and objectives of the SCHOOL's Program in a manner consistent with the standards and requirements established by SCHOOL. D. Provide a supervised experiential learning program and, insofar as possible, provide orientation, laboratory facilities, administrative guides, and practical instruction to TRAINEES as necessary to complete assigned tasks. On any day when TRAINEES are in training at AFFILIATE, AFFILIATE shall provide access to office space, computer equipment, telecommunication devices, and any other equipment necessary to complete TRAINEES’ assigned tasks, as well as permit the TRAINEES access to its cafeteria, dining rooms, or other common areas normally used by its professional staff. E. Designate, after consultation with SCHOOL, a primary person to coordinate TRAINEES' activity schedules and activities while at AFFILIATE. Provide SCHOOL with evaluative comments of the abilities and training experience of the TRAINEE. F. Comply with all applicable laws, regulations, State licensing requirements, applicable specialty, accrediting or professional organizations. AFFILIATE shall notify SCHOOL within five (5) days of receipt of notice that AFFILIATE is not in compliance with any such laws, regulations, or requirements, or violation of any state or federal regulations regarding compliance matters. G. To the extent AFFILIATE generates or maintains educational records related to the TRAINEE, AFFILIATE agrees to comply with the Family Educational Rights and Privacy Act (FERPA), to the same extent as such laws and regulations apply to the SCHOOL and shall limit access to only those employees or agents with a need to know.
