Scope of Work and Compensation. Subject to and in accordance with the provisions of this Agreement, Service Provider is willing to provide and University wishes to obtain those certain professional services described in Appendix A attached hereto and incorporated herein by this reference (the “Services”). All Services provided by Service Provider under this Agreement shall be provided in a competent, prompt, and professional manner. Service Provider agrees to cooperate in good faith with University in connection with the resolution of any concerns that may arise with respect to any of the Services. The compensation due to Service Provider for any Services (“Compensation”) is detailed in Appendix A. Unless expressly provided otherwise in Appendix A, the Compensation includes all expenses related to the Services, and no expenses of any kind relating to the Services may be separately charged to University without University’s prior written approval. If the Parties agree in Appendix A or in an amendment to this Agreement that any expenses relating to the Services shall be reimbursed by University, the following shall apply: (i) all such expenses to be reimbursed by University must be actually incurred, reasonable, and necessary to the performance of the Agreement, and may in no event include office overhead or salaries or any items or expenses for which Service Provider receives reimbursement from third parties; (ii) long-distance travel and lodging shall be coordinated in advance with University and shall not be initiated without University’s prior approval in each case; (iii) if the costs of any hardware, software, or equipment or services (other than the Services) are to be reimbursed to Service Provider, University must have consented in writing in advance to the specific hardware, software, equipment, or services, and to the cost thereof, and consented in writing in advance that the cost of these specific items is not included in the Compensation and may be separately charged to University; (iv) any invoice requesting reimbursement shall itemize in reasonable detail the incidental expense for which reimbursement is requested, and (v) upon University’s request, Service Provider shall promptly (and in no event later than ten (10) calendar days following written request from University) provide supporting receipts or other reliable back-up documentation for any expense invoiced to University. Scope of Work and Compensation. During the Term, Contractor shall be paid a fixed fee to perform the services described on Exhibit “A” attached hereto. In no event shall this fee increase. However, the GCSD will always take advantage of price decreases. Such services shall be performed in a competent and professional manner, and in compliance with the terms and conditions set forth in the Contract.
Scope of Work and Compensation. On projects which Xxxxx requires services which Subcontractor provides, Xxxxx will pay Subcontractor according to the payment terms specified in Attachment A of this Agreement.
Scope of Work and Compensation. The Services include project inspection services for each component as listed below. 2.1. Inspector shall prepare a separate itemized statement for each Site that the Inspector provides Services. The itemized statement shall show the days and hours worked each workday that the Inspector performs Services for the previous month. District will permit a one (1) month grace period beyond this time for the Inspector to submit its invoice for a particular month’s work. No amounts shall be due or owing to the Inspector if it fails to submit an invoice to the District at or before the end of that grace period. 2.5. Payment of all undisputed amounts will be due within thirty (30) days of receipt of Inspector’s invoice. 2.6. The daily job log referred to herein shall detail the time spent by the Inspector in the performance of Services pursuant to this Agreement. 2.7. Inspector shall provide to the District on a timely basis and to not cause a delay in DSA’s approval of the Project, all verified report(s) for all scope(s) of Work and all other required Project documents if not already completed and provided to the District. 2.8. If requested by the District, the Inspector shall provide additional or extended Services for the Project as may be necessary because of changed conditions including, without limitation, conditions made necessary by Work damaged by fire or other Acts of God during construction or prolongation of the initial construction c...
Scope of Work and Compensation. This is Exhibit 1 to the Master Vendor Printing Services Agreement effective as of April 1st, 2004 (the “Agreement”) between Citicorp Credit Services, Inc. (“CCSI”) and Primerica Life Insurance Company (“Vendor”). The terms and conditions of the Agreement are incorporated herein.
Scope of Work and Compensation. Consultant is to perform the services and be entitled to compensation for such services as described in Appendix A Scope of Work and Appendix B Reporting and Deliverables and any future appendices signed by both parties. See details in Appendices A and B. Applying his/her judgment regarding the work to be performed, Consultant is to choose the means and methods of performing the duties described herein. Consultant agrees to hold CAGBN harmless for any claims arising from, connected to, or caused in whole or in part by any negligent act or omission of the Consultant.

If requested by the District, the Inspector shall provide additional or extended Services for the Project as may be necessary because of changed conditions including, without limitation, conditions made necessary by Construction Work damaged by fire or other Acts of God during construction or prolongation of the initial construction contract time beyond the construction contract time schedule. Those additional or extended Services shall be as agreed to by the District and shall be based on rates at or below the hourly, daily, weekly, or monthly rates as indicated here: 2.7.1. Scope of Work and Compensation. SCDC agrees to perform work as determined by the City Manager on projects in the Agreement Scope of Work (Exhibit “A”) for an amount not to exceed $20,000 annually. This fee is inclusive of all incidental expenses that SCDC may incur while carrying out Scope of Work tasks, including mileage and printing costs. The $20,000 fee will allow for approximately 364 hours at $55 per/hour annually. This fee entitles the City of Brookings to SCDC membership benefits such as: recognition on printed materials, footers of all published documents, footer of xxxxxxx.xxx, and a platinum board seat position upon receipt of payment. The Scope of Work may be amended, renewed, or extended by mutual agreement by both parties.
Scope of Work and Compensation. From September 1, 2006 until the Termination Date, Xx. Xxxxxx will devote approximately 50% of his full business time and effort providing services to the Company and its partner companies. The Company shall continue to provide Contractor with a blackberry, office space and administrative support. The Company shall reimburse Contractor for direct business expenses that are properly documented. Contractor hereby forfeits 156,771 stock appreciation rights (“SARs”) and 37,500 shares of restricted stock granted to Contractor in July 2005. The vesting schedule for unvested equity retained by Contractor shall be as follows: 12,000 shares of restricted stock will vest in August 2006, 6,000 shares of restricted stock will vest in each of August 2007 and 2008, 25,500 shares of restricted stock will vest in November 2006, 12,750 shares of restricted stock will vest in each of November 2007 and 2008, and the remaining 156,771 unvested SARs will vest pro rata over 35 months beginning September 2006. Additionally, management will recommend to the Compensation Committee of the Company’s Board of Directors that Consultant be awarded additional equity grants in the future similar to those to be awarded to the managing directors of ICG, taking into account the percentage of Consultant’s business time devoted to the Company. Consultant acknowledges that during the term of the Agreement he shall not be entitled to receive equity grants or cash compensation in respect of his service on the Company’s Board of Directors.
