Content of Cooperation. 1. Party B shall place the intelligent cabinet for maintenance parts at Party A’s operation site, and Party A shall provide Party B with the site and necessary conditions for the operation of intelligent cabinet for maintenance parts, including but not limited to power supply and so on. Party B has no need to pay any charges to Party A, but Party A shall pay Party B a deposit of RMB [ ] per set of intelligent cabinet. 2. Party B shall provide Party A with the variety and quantity of maintenance parts required by Party A through intelligent cabinet with high quality and low price. Party A shall purchase the products from Party B in accordance with actual business needs in the following way: (1) The category, model, quantity, specification, unit price and other information of the products shall be subject to the information shown in the smart cabinet of maintenance parts of Party B or on Autozi auto after-market cloud platform (website: xxxx://xxx.xxxxxx.xxx) operated by Party B. (2) Party A shall, before using the smart cabinet of maintenance parts of Party B, complete the registration on Autozi auto after-market cloud platform and bind the payment account as required by Party B, and shall buy goods from the smart cabinet of maintenance parts according to the operation procedure of the smart cabinet of maintenance parts of Party B. 3. Party A agrees and accepts the Registration Service Agreement of Autozi auto after-market cloud platform and the terms, regulations and statements published on the website. The Registration Service Agreement and such terms, regulations and statements are annexes to this Agreement and shall have the same legal effect as this Agreement.

Content of Cooperation. The Cooperation Agreement applies to the completion of the doctoral thesis of Public Sector PhD Candidate……………………… (hereafter called “Candidate”) in accordance with the enclosed project description included as attachment 1 of the Cooperation Agreement (hereafter called “Project description”). The Project requires continuous, iterative interaction with the Project Manager’s research and development programme, as well as unimpeded access to the Project Manager’s intellectual property (hereafter called IP). The Parties therefore agree that the Project is led by the Project Leader appointed by the Project Manager. The frame and progress of the Project is determined by the professional resources and budget as stated in this Cooperation Agreement and in accordance with requirements imposed by the current Regulations for the degree of Philosophiae Doctor (PhD) at the University of Oslo and Supplementary rules pertaining to the Regulations for the degree of Philosophiae Doctor (PhD) at the Faculty of Medicine. Changes beyond the frames defined in this Cooperation Agreement shall be agreed upon explicitly and shall be documented separately in an attachment to the Cooperation Agreement. The content of the Cooperation Agreement cannot conflict with the requirements set by UiO regarding the completion of the Candidate’s PhD programme and signed contract for the PhD programme, including any attachments.
Content of Cooperation. 1.1 Party B agrees to produce solely for Party A three kinds of multimedia message products namely “GoTone Phoenix Weekly”, “GoTone Phoenix Observer”, and “Phoenix Express” based on the programs of Phoenix Satellite TV. Content of Cooperation. 3.1 For sales or other forms of business promotion in the new energy vehicle market where both parties cooperate, Party A will make use of its own product advantages and select suitable models according to product characteristics, or jointly develop intelligent battery swappable/chargeable EV models based on Party B’s actual needs together with Party B. The process of developing common vehicle models will be underlined by the principle of risk-sharing, the quality and production capacity of the vehicle will be ensured, sales plans will be jointly created, and the R&D costs will be apportioned to the sales of the models in a stepwise manner. The specific sales plan and income distribution plan are subject to the actual designated written documents. 3.1.1 The first phase of cooperation is on the current S50 EV model (battery swappable version) ; 3.1.2 The second phase of cooperation will be on the SUV and MPV models (New Energy battery swappable version). 3.2 Party B will utilize its own channel advantages, and treat its online and offline platforms, interchangeable battery swapping technology and stations as carriers; combining these with the advantages of the new energy intelligent battery swappable/chargeable version of vehicles jointly developed by both parties and the operation system jointly built, Party B will provide the related battery swapping technology solutions for the common vehicle model. Besides, both parties’ resources and research advantages will be consolidated in order to complete the R&D and upgrade of the common battery swappable model together. At the same time, both parties will be responsible for channel promotion and financial packages for vehicle sales, enlargement of both parties’ brand effects and ultimately raising the two parties’ market shares. 3.3 Based on Party B’s advantages in manufacturing intelligent battery swapping stations, Party B will export to Party A intelligent power swapping station products that are suitable for the vehicle models, integrate resources, and jointly promote the sales business of the intelligent battery swapping station and the battery swapping cloud platform service developed by Party B. Content of Cooperation. 1. Party B can only place procedural advertisements on the traffic transaction service platform through the DSP confirmed by Party A in writing or email and that meets Party A's standards and requirements, and connect with Party A's traffic transaction system in accordance with the technical specifications provided by Party A, Party A will provide traffic transaction services in accordance with the Agreement. Party B confirms that Party A has the right to adjust or reduce the DSP that meets Party A's standards and requirements and will notify Party B in advance. The account of Party B as registered in the system is Hesai Technology. All actions performed on the Supplier Portal through this account will be considered to be operated by Party B. In case of damages arisen from loss or improper preservation of the account number or password, Party B shall adduce evidence thereof and be liable for the adverse consequences therefrom. 5. Party B agrees that Party A may resell the products it purchases from Party B to its customers (including, without limitation, sale of the combination thereof with those products self-developed by Party A to its customers ("Product Combinations")) at the prices to be set by Party A. For the resold products, Party B guarantees the end customers (including but not limited to vehicle suppliers, vehicle distributors and vehicle owners) with the same quality assurance, installation and warranty services with those products as agreed herein.
